Theareaofthislandparcelis13263.08m2,itsplanneduseisforcomprehensiveland,thelanduseageisfromJuly24th,2006toJuly25th,2056.

 

Uponexaminationandapproval,thesellerbuiltcommercialbuildingonthelandparcel.Thebuilding’spresentnameisQingqingJiayuan,BonanNewArea.theNo.ofPermitforAPlannedConstructionProjectisNo.13(2007),TheConstructionPermitNo.is5226201.

 

Article2BasisforSaleofCommodityHouse

Thecommodityhousepurchasedbythebuyerispre-salecommodityhouse.Thepre-saleofthecommodityhouseisapprovedbyKailiHousingAdministration,theNo.ofPre-salePermitofCommodityHouseisKaishangFangyuziNo.080042

 

Article3GeneralInformationoftheCommodityhousepurchasedbythebuyer

Thecommodityhousepurchasedbythebuyer(referredtoasthiscommodityhouse”hereinafter.Seeattachment1theretoforthefloorplan.Theapartmentno.issubjecttoattachment1)is:

Article4ChargingMethodandPrice

Thesellerandthebuyeragreetocalculatethepriceofthiscommodityhouseinthefirstmethodasfollows:

Article5.Areaconfirmationandareadifferencetreatment.

Basedonthechargingmethodchosenbytheparties,theareashallbeconfirmedandtheareadifferenceshallbehandledaccordingto[floorarea](called“area”forshortinthisclause).

Thisclauseisnotapplicabletothesituationwherethepartieschoosethemethodofchargingbyset.

Wherethereisdifferencebetweentheareaagreedincontractandthatinpropertyrightregistration,thelattershallprevail.

Wherethedifferencebetweentheareaagreedincontractandthatinpropertyrightregistrationoccursafterthiscommodityhousehasbeendelivered.Bothpartiesagreetodealwiththedifferenceinthesecondmethod:

Wherethebuyerdoesn’treturnthehouse,iftheareainpropertyrightregistrationislargerthanthatagreedincontract,thehousepaymentincurredfromtheareadifferencerationwithin3%(3%included)shallbemadeupbythebuyerandthehousepaymentincurredfromtheareadifferencerationabove3%shallbepaidbytheseller;iftheareainpropertyrightregistrationissmallerthanthatagreedincontract,thesellershallreturntothebuyerthepaymentincurredfromtheareadifferenceratiotheabsolutevalueofwhichiswithin3%(3%included)andshallpaytothebuyertwicethepaymentincurredfromtheareadifferencerationtheabsolutevalueofwhichisabove3%.

Wheretheareadifferenceisresultedfromalterationofdesign,ifbothpartiesdon’tcancelthiscontract,thesupplementaryagreementshallbeconcluded.

Article6Paymentmethodandperiod

Article7Buyer’sbreachLiabilitiesforoverduepayment

Wherethebuyerfailstomakepaymentwithinthetimelimitagreedinthiscontract,settleitinthefirstmethod:

1.Settlerespectively(noaccumulation)accordingtooverduedays:

1)Wherethepaymentisoverduewithin30days,fromthenextdayofthepaymentdeadlineagreedinthiscontracttothedatewhenthepaymentoverduehasbeenpaidoffactually,thebuyershallpaytheseller0.1%ofthepaymentoverdueperdayaspenaltyandthiscontractshallbeperformedcontinuously.

2)Wherethepaymentisoverdueover30days,thesellerisentitledtocancelthiscontract.Ifthesellercancelsthiscontract,thebuyershallpaytheseller3%oftheaccumulatedfundpayableaspenalty.Ifthebuyeriswillingtocontinueperformingthiscontract,thiscontractmaybeperformedcontinuouslythroughtheseller’sconsent,andfromthenextdayofthepaymentdeadlineagreedinthiscontracttothedatewhenthepaymentoverduehasbeenpaidoffactually,thebuyershallpaytheseller0.1%(thisproportionshallbenotsmallerthanthatspecifiedinitem

(1)ofthepaymentoverdueperdayaspenalty.

Thepaymentoverdueinthisclausereferstothedifferenceofthepaymentpayableatmaturityspecifiedinarticle6ofhiscontractsubtractingtheamountwhichhasbeenactuallypaidinthatperiod;ifthepaymentismadebyinstallments,thepaymentoverdueshallbedeterminedaccordingtothedifferenceoftheamountpayablesubtractingtheamountwhichhasbeenactuallypaidinthesameperiod.

Article8Termofdelivery

PriortoMarch30th,2010,thesellershalldeliverthecommodityhousewhichmeetsthefirstconditionasfollowsandthatcomplieswiththeprovisionsofthiscontracttothebuyerforuseinpursusantofrelevantrulesofstateandlocalpeople’sgovernment.

2.thiscommodityhouseisqualifieduponcomprehensiveinspectionbeforeacceptance

3.thiscommodityhouseisqualifieduponcomprehensiveinspectionbystagesbeforeacceptance

4.thiscommodityhousehasobtainedtheApprovingDocumentonDeliveryandUseofCommercialbuilding

Wherethespecialreasonsasfollowsappear,exceptthatbothpartiesagreetocanceloramendthiscontractuponnegotiation,thesellermayextendthecontractaccordingtoactualcircumstances:

1.incaseofforcemajeure,thesellerhasnotifiedthebuyerwithin30daysupontheoccurrenceoftheforcemajeure;

Article9Seller’sbreachliabilitiesforoverduedelivery

ExceptforspecialconditionsspecifiedinArticle8ofthiscontract,ifthesellerfailstodeliverthiscommodityhousetothebuyerforusewithinthetimelimitspecifiedbythiscontract,settleitinthefirstmethod:
