IntheeventofanyambiguityorconflictbetweentheContractDocumentslistedabove,theorderofprecedenceshallbetheorderinwhichtheContractDocumentsarelistedinArticle1.1（ContractDocuments）above.

合同价格和支付方式（参考第1卷的ITB中的GC11和GC12）

2.1XXherebyagreestopaytotheContractortheContractPriceinconsiderationoftheperformancebytheContractorofitsobligationsstatedintheContract.TheLumpSumContractPriceshallbetheaggregateof:

（1）ForeignCurrencyPortion（amountofforeigncurrency）and

（2）LocalCurrencyPortion（amountoflocalcurrency）ThebreakdownoftheLumpSumContractpriceinaccordancewithformsisgiveninPriceSchedule–Appendix9hereto.

Within3monthsafterEffectiveDateofContract,ifrequestedbytheContractor,theForeignCurrencyPortionandLocalCurrencyPortionmaybere-corrected.

XX同意根据合同规定的承包商的履约范围对其支付合同价格，合

同价格是下列两项之和：

（1）外币支付部分（外币金额）

（2）当地货币支付部分（当地货币金额）。

合同价格的分项价格列于附件9：

分项报价表

合同生效之日起3个月内，如果承包商要求，外币支付部分和当地货币支付部分可以重新调整。

2.2TheContractPriceshallbeafixedlumpsumnotsubjecttoanyalterationexceptintheeventofaChangeintheWorks（GC38）orotherwiseprovidedintheContract.

除非根据GC38（工程的变更）以及合同其它的规定，否则合同价

格为固定的总价，不允许变更。

2.3TheContractPricespecifiedinArticle2.1includes:

条款2.1中注明的合同价格包括

（1）AlloffeesandtaxesexceptImporttaxandVATforimportequipment（refertoGC14–Taxandfee）whichconstitutethe

fixedassetsofMMPowerPlant.

进口设备除了进口税和VAT之外的所有费用和税款（参考GC14–税费）

（2）ThesupplyofessentialsparepartsrequireduptotheFinalAcceptanceofthePlant（OfficialtakingoverofthePlantattheendofGuaranteeperiod）.However,theContractPricedoesnotcoverthetotalsumforsupplyofoptionalspareparts.

电厂最终验收（电厂在性能担保期限结束时的正式移交）前的所有必需的备品备件的费用

2.4TheContractpricedefinein2.1includedtheprovisionalsumof300,000USD（threehundredthousandUSDollar）forpaymentofexpenses（consistoftravellingexpenses,accommodation,allowance,...accordingtointernationalrules）relatetoparticipationofXXand/orConsultantforthesedesignmeetingsareorganizedintheContractor’sheadofficeandparticipationofXX/Consultantand/orthirdparty（qualitycontrolcompanies）ontesting/inspectionofmajorequipmentsatContractor’sworkshop.ThisprovisionalamountofmoneywhichtheContractorwillspendwithapprovalbyXXisreimbursable.TheunusedpartofthisprovisionalamountofmoneywillbedeductedfromEPCcontractprice.

条款2.1中注明的合同价格包括300,000美元的临时费用（包括根据国际规则的交通费、膳宿补贴费和津贴等），用于XX和/或顾问到承包商的总部参加设计会议、XX和/或顾问和/或第三方（比如质量控制公司）到承包商的工厂参加主要设备的试验和检测所发生的临时性费用。

这笔临时费用，承包商经XX批准可以使用和索偿，未使用的部分从合同价格中扣除。

2.5Theamount,ifany,tobeaddedtoordeductedfromtheContractpriceinrespectofanyChangeintheWorksspecifiedinGC38（ChangeintheWorks）oftheGeneralConditionsshallbecalculatedinaccordancewithGC38.5oftheGeneralConditions/Volume1-ITB.

如果根据GC38（工程的变更）的规定，合同价格有所增加或者减少，应该根据第1卷-ITB的GC38.5的规定计算。

2.6.TheTermsandProceduresofPaymentaccordingtowhichXXwillreimbursetheContractoraregivenAppendix1（TermsandModeofPayment）hereto

XX将向承包商偿付的付款方式和程序见附录1：

TheContractshallenterintofullforceandbecomeeffectiveonthedatewhenallofthefollowingconditionshavebeenfulfilled:

（2）TheContractorhassubmittedtoXXthePerformanceBondandAdvancePaymentBond.

（3）TheContractorhasreceivedtheAdvancePaymentfromXXinaccordancewithrelevanttermsoftheContract.

承包商收到了XX按照合同相关条件支付的预付款

Article4.Appendices

条款4：

附件

TheAppendiceslistedinthePartIIofArticle1formanintegralpartofthisContractAgreement.

条款1中所列的第二部分的附件构成合同协议整体不可分割的部分

ReferenceintheContracttoanyAppendixshallmeantheAppendicesattachedheretoandtheContractshallbereadandconstruedaccordingly.

合同中所提及的任何附件，指的是合同所附的附件。

Article5.Commencement,Completion,PossessionandLiquidatedDamages

条款5：

开工，竣工，进场和约定赔偿金TimeforCommencement开工时间

5.1TheContractorshallcommencetheWorksrightaftertheEffectiveDateaccordingtothetimescheduleasdescribedinAppendix4oftheContract.

承包商须在合同生效日后，立即按照合同附件4的时间进度要求开始工作。

TimeforCompletion竣工时间

5.2WithoutprejudicetoGC26.2oftheGeneralConditionsVolume1Biddingdocument,theContractorshallproceedwiththeWorksinaccordancewiththetimeschedulespecifiedinAppendix4（ProjectImplementationSchedule）heretoandshallattainProvisionalAcceptanceoftheMMCoal-firedThermalPowerPlantwithin36monthsforUnitNo.1and42monthsforUnitNo.2andthewholePlantfromtheEffectiveDateofContract.

在不违背招标文件第1卷的GC26.2的规定的前提下，承包商应该根据附件4（项目实施进度表）的规定，在合同生效之日起36个月内获得MM燃煤火电厂1号机组的临时验收，在合同生效之日起42个月内获得MM燃煤火电厂2号机组和整个电厂的临时验收。

5.3XXshallgivefullpossessionofandaccordallrightsofaccesstotheSiteandrightstoallotherareasforimplementationofContractonorbeforethedate（s）ofContractEffectiveDate.

XX在合同生效之日或者之前,给承包商进入和占用现场各部分实施合同的权利.

LiquidatedDamagesforDelay工期延迟约定损害赔偿金

5.4IftheContractorfailstoattainProvisionalAcceptanceoftheMMCoal-firedThermalPowerPlantoranypartthereofwithintheTimeforCompletionSpecifiedinArticle5.2（TimeforCompletion）aboveorwithinsuchextendedtimetowhichtheContractorshallbeentitledunderGC39（ExtensionofTimeforCompletion）oftheGeneralConditions/Volume1-ITB,theContractorshallpaytoXXUSD120,000/dayxtotaldaysofdelayforeachUnitpursuanttoGC26.2oftheGeneralConditions.Suchamountshallbepaidasliquidateddamagesandnotexceedtenpercents（10%）ofContractPrice.

如果承包商未能按照条款5.2（竣工时间）的规定时间获得MM燃煤火电厂的临时验收，或者根据第1卷（ITB）的GC39（竣工时间的延长）的

规定，在延长后的担保竣工之日仍未获得MM燃煤火电厂的临时验收，那么根据GC26.2的规定，从规定竣工之日起开始计算，承包商应该向XX支付的工期延迟违约赔偿金为每台机组120,000USD/天，作为延迟违约赔偿金支付的金额不得超过合同总价格的10%。

5.5GuaranteePeriod保证期
