本合同由买卖两方订立，依据本合同规定的条款，
买方赞同购置，卖方赞同销售下述商品：

（11）包装：
PACKING：
须用牢固的新木箱包装，合适长途空运/陆运，防
湿、防潮、防震、防锈、耐粗暴搬运。
因为包装不良所发生
的损失，因为采纳不充足或不当善的防备举措而造成的任何
锈损、损坏，卖方应负担由此而产生的全部花费和损失。
包
装箱内应包括一整套服务操作手册。
卖方使用的木质包装应
经薰蒸办理，并在木质包装表面标上清楚的
IPPC表记。

bebornebytheSellers.Onefullsetofserviceand
operationmanualsconcernedshallbeenclosedinthecase（s）.ThewoodpackagingtheSellerusedshallbefumigatedandmarkedwithIPPConthesurfaceofwoodpackaging.
（12）唛头：
SHIPPINGMARK:
卖方应在每件包装上，用不退色油墨清楚地标刷件
号、尺码、毛重、净重、此端向上、当心轻放、切勿受潮等
字样，并刷有以下唛头:

（13）付款条件：

100%的合同金额经过电汇支付。

（14）票据：

1.正本空运单（收货人联），注明运费已付及唛头，
买方为收货人及通知方。

andnotifytheBuyer.
2.涵盖100%合同金额的商业发票三正三副，注明合同号、唛头。
Commercialinvoicecovering100%ofcontractamountin3originalsand3copies,indicatingcontractnumber,shippingmark.
3.装箱单三正三副，注明毛、净重、尺码和所装货物的包装形式及数目。
DetailedPackingListin3originalsand3
copiesindicatingbothgrossandnetweights,
measurementsandpackingconditionandquantityofeach
itempacked.
4.卖方出具的质量及数目证书正本三份。
Certificateofqualityandquantityissuedbysellerin3originals.
5.卖方出具的原产地证书一正一副。
Certificateoforiginin1originaland1copy
issuedbySeller.
6.货物装运后24小时内卖方发给买方装运通知传
真复印件一份。
Copyoffaxfromsellertothebuyeradvising
theparticularsofshipmentwithin24hoursafter
shipmentismade.
7.保险单或保险证明一正一副，依据合同金额
110%投保全部险及战争险。
InsurancePolicyorCertificatefor110%contractvalue,coveringAllRisksandWarRiskin1originaland1copy.
8.卖方申明外包装表面标有IPPC表记证书正本一份,或卖方出具的非木质包装证明正本

（15）装运通知：
SHIPPINGADVICE：
TheSellersshallfaxtotheBuyer
ReadinessNotificationoneweekbeforethegoodsto

卖方在发货前一周物向买方传真货物备妥通知。
TheSellersshall,immediatelyuponthecompletionoftheloadingofthegoodsin24hours,send
theBuyersAir
Waybill,
Invoice
andPacking
list
byfax.
装运通知：
卖方应在货物装运完成后
24小时内用
传真将空运单、发票和装箱单发给买方。
如卖方未准时向买方通知上述装运状况所致使损
失由卖方肩负。
LossesshallbebornebytheSellersincase
theSellersdontinformtheBuyersoftheaboveshippingstatusontime.
（16）质量保证：
GUARANTEEOFQUALITY:
卖方保证订货系用最上等的资料和优等工艺制成，
崭新的，不曾使用过的,并完整切合本合同规定的质量、规
格和性能。
卖方并保证本合同订货在正确安装、正常使用和
维修的状况下，自安装之日起十二个月或货物装运之日起十
五个月内运行优秀，以先到期者为准。
因为人为造成的、易
损易磨件除外。
TheSellersshallguaranteethatforaperiodof12monthscalculatedfromthedateofinstallation
or15monthsstartingfromthedateofshipment,whicheveristheearlier.Faultsduetomal-operation
aswellaswearandtearpartsareexcluded.
（17）迟交货及罚款：
LATEDELIVERYANDPENALTY
除合同第16条人力不行抗拒事故外，如卖方不可以
按合同规定的时间交货，买方应赞同卖方支付罚款的条件下
缓期交货。
罚款可由议付银行在议付货款时扣除，罚款率按
每7天收0.5%，不足7时节以7天计算。
但罚款不得超出迟
交货物总价的5%。
如卖方缓期交货超出合同规定
10周时，
买方有权取消合同，此时，卖方仍应不延误地按上述规定向
买方支付罚款。
买方有权对所以遭到的其余损失向卖方提出索赔。
ShouldtheSellersfailtomakedeliveryon
timeasstipulated
in
the
Contract,
with
the
exception
ofForceMajorcausesspecifiedinClause16ofthis
Contract,
the
Buyers
shall
agree
to
postpone
the
deliveryonconditionthattheSellersagreetopaya
penalty
whichshall
bededucted
bythepaying
bankfrom
thepaymentundernegotiation.Thepenalty,however,
shallnotexceed5%ofthetotalvalueofthegoods
involvedinthelatedelivery,therateofpenaltyis
charged
at0.5%for
every
sevendays,
odddaysless
than
sevendaysshould
becountedassevendays.Incasethe
Sellersfailtomakedeliverytenweekslaterthanthe
timeofshipment
stipulated
in
theContract,
theBuyers
shallhavetherighttocancelthecontractandthe
Sellers,
inspite
ofthe
cancellation,
shall
still
pay
theaforesaidpenaltytotheBuyerswithoutdelay.Thebuyershallhavetherighttolodgeaclaimagainstthesellerforthelossessustainedifany.
（18）查验和索赔:
INSPECTIONANDCLAIMS:
如发现货物的质量、数目/重量与本合同不符,买
方有权在货物抵达目的地后60天内依据中华人民共和国出
入境查验检疫局出具的商检证书向卖方提出索赔。
由承运人
和保险企业负责的补偿除外。
Ifthequalityand/orquantity/weightbe
notinconformitywiththepresentcontract,the
shallbeentitledtolodgeclaimswiththeSelleron
thebasisoftheCertificateissuedbyChinaExitand
EntranceInspectionandQuarantineBureauwithin60
daysafterthegoodsarrivalinthedestination.With
theexception,however,ofthoseclaimsforwhichthe
carrierand/orinsurancecompanyaretobe
found

responsible.
（19）人力不行抗拒事故：
FORCEMAJEURE：
因为人力不行抗拒事故，而卖方交货延缓或不可以交
货时，责任不在卖方，但卖方应立刻将事故通知买方，并于
事故发生后十四天内将事故发生地政府主管机关出给的事
故证明书用空邮寄交买方为证，并获得买方认同。
在上述情
况下，卖方仍负有采纳全部必需举措赶快交货的责任。
假如
事故连续超出十个礼拜买方有权撤除本合同。
TheSellersshallnotbeheldresponsiblefor
anydelayindeliveryornon-deliveryofthegoodsduo
toForceMajeure.However,theSellersshalladvisethe
Buyersimmediatelyofsuchoccurrenceand
withinfourteendaysthereafter,shallsendby
airmailtothebuyersfortheiracceptancea
certificate
issuedbythecompetentgovernmentauthoritiesoftheplacewhereaccidentoccursasevidence
thereof.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeall
necessarymeasurestohastenthedeliveryof
thegoods.Incasetheaccidentlastsformorethantenweeks,theBuyersshallhavetherightto
cancelthisContract.
（20）仲裁：
ARBITRATION:
凡因履行本合同所发生的或与本合同相关的全部
争议，应由两方经过友善磋商予以解决，应提交中国国际经
济贸易仲裁委员会依据中国国际经济贸易仲裁规则进行仲
裁，仲裁判决是终局的，对两方都有拘束力。

through
negotiation

then

Economic
and

Arbitration

Shanghai
arbitration
in
accordance
withTheRules
of
Arbitration
of
ChinaInternational
Economic&Trade
Commission.
Theawardrenderedbythesaidcommission
shall
befinal
andbindinguponbothparties.
（21）通知NOTICE
全部通知用中/
英文写成，依据合同所列地点用传
真/快递送到给各方。
假如地点有更改，一方应在更改后

日内书面通知另一方。
AllnoticeshallbewritteninChineseorEnglishandservedtobothpartiesbyfax/courieraccordingtotheaddressesshowninthiscontract.If
anychangesoftheaddressesoccur,onepartyshallinformtheotherpartyofthechangeofaddresswithin3daysafterthechange.
（22）其余MISCELLANEOUS
本合同一式二份，买方执一份，卖方执一份，由双
方代表正式署名盖印奏效。
Thepresentcontractisinthreecopiesofthe
sameform,thebuyerholdstwo;thesellerholdsone.
Thecontractissignedbytheauthorizedrepresentative
ofbothpartiesandshallbecomeeffectiveuponthe
formalandmutualsigningandstampingofthecontract.
