WHEREAS,bothpartieshavingacceptedtheprincipleofcollectivebargainingasameansofestablishingwages,hoursandworkingconditionsofthecoveredemployeesandbeingdesirousofcontinuingtodosoforthepurposeoffosteringrelationsofmutualinterest,and
WHEREAS,itisthepurposeandintentofthepartiestopromotesoundandpeacefullaborrelations,
WITNESSETH:
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereinaftersetforth,thepartiesdoherebyagreeasfollows:
I.UNIONRECOGNITION
1.TheCompanyrecognizestheUnionasthesolecollectivebargainingagentforpurposesofcollectivebargainingwithrespecttoratesofpay,wages,hoursandothertermsandconditionsofemploymentforallitsfull-timeandregularpart-timeemployeesemployedbytheCompanyatitsfacilitiespresentlylocatedat_________(address),_________(address)and_________(address);
excludingofficeclericalemployees,professionalemployees,maintenancetradeandengineeringemployees,laboratoryemployees,FoodServiceemployees,Groundskeepingemployees,andguardsandsupervisorsasdefinedintheNationalLaborRelationsAct.
However,itisagreedthatallnewhiresforhelperandanyadditionalcraftsmanbeyondthecurrentthree(3)slotsinplantmaintenancewillberepresentedbytheUnion.
II.MANAGEMENTRIGHTS
1.TheCompanyhas,retainsandshallpossessandexerciseallrightsandfunctions,powers,privilegesandauthoritynotspecificallyandexpresslycontractedawayorlimitedbythetermsofthisAgreement.
2.AsillustrativeoftherightstheCompanypossessesandretains,butinnowaytobeconstruedasalimitation,theCompanyshallhavetheexclusiverightto:
managealloftheCompany'
soperationsanditsbusinessaffairs;
directtheworkforce;
determineproductionmethodsandprocedures;
assignwork,evaluatejobsandtheperformanceofjobsforpaypurposesandtoreevaluatethem;
decidethemethods,meansandprocessesofmanufacture,typeofmachineryandequipmenttobeused,thenumberandclassificationsofemployeestobeusedinthevariousaspectsoftheCompany'
soperationsorforparticularassignments,typesandquantityofbusinesstobescheduledforproduction,qualityofmaterial,andthestandardsofefficiencyandqualityofworkmanshiprequired;
decidesellingpricesandproducts,methodsofsellinganddistributingproducts;
determinethelocationofthebusinessandtorelocateanypartoralloftheCompany'
soperations;
discontinueoperationsinwholeorinpart;
allocateandtransferproduction;
introduceneworimprovedmethodsorfacilities,ortochangeexistingmanufacturingpractices,decidemethodsandfacilities,maintainorderandefficiency;
therighttohire,promote,demot
