Representation,WarrantyandIndemnityAgreement代表担保及补偿协议-
ThisRepresentation,WarrantyandIndemnityAgreementisenteredintoasof_________(M/D/Y)(thisAgreement),amongAAACorporation,a_________(STATE)Corporation(Buyer),andthecorporationsidentifiedonthesignaturepageofthisAgreement(individuallyanEntityandcollectively,theEntities).
WHEREAS,BuyerhasenteredintoaPurchaseAgreement,datedasof_________(M/D/Y)(thePurchaseAgreement),withtheSellersandCorporationsidentifiedinthePurchaseAgreement;
WHEREAS,theEntitiesareformerpartnersofoneormoreoftheParentPartnerships(asdefinedinthePurchaseAgreement);and
WHEREAS,eachofBuyerandtheEntitiesdesiretomakecertainrepresentations,warrantiesandagreementswithrespecttothePurchaseAgreement.
NOW,THEREFORE,inconsiderationofthemutualpromisescontainedhereinandintendingtobelegallybound,thepartiesagreeasfollows:
1.TheEntitiesshallbedeemedtobeCorporations(asthattermisusedinthePurchaseAgreement)forallpurposesunderthePurchaseAgreement,includingbutnotlimitedto,forpurposesofArticlesII,III,VI,andIXandSection10.10andallancillaryagreementsandclosingdocumentsdeliveredinconnectiontherewith,asiftheEntitieshadexecutedanddeliveredthePurchaseAgreementasCorporations;provided,however,thatreferencesinSection3.3ofthePurchaseAgreementtothisAgreementshallbedeemedtorefertothisRepresentation,WarrantyandIndemnityAgreementandnotthePurchaseAgreement.
2.ThisAgreementmaybeamendedonlybyagreementinwritingofallparties.NowaiverofanyprovisionnorconsenttoanyexceptiontothetermsofthisAgreementshallbeeffectiveunlessinwritingandsignedbythepartytobeboundandthenonlytothespecificpurpose,extentandinstancesoprovided.
3.ThisAgreementconstitutestheentireagreementamongthepartiespertainingtothesubjectmatterhereofandsupersedesallprioragreementsandunderstandingsofthepartiesinconnectiontherewith.
4.ThisAgreement,thelegalrelationsbetweenthepartiesandanyAction(asdefinedinthePurchaseAgreement),whethercontractualornon-contractual,institutedbyanypartywithrespecttomattersarisingunderorgrowingoutoforinconnectionwithorinrespectofthisAgreement,includingbutnotlimitedtothenegotiation,execution,interpretation,coverage,scope,performance,breach,termination,validity,orenforceabilityofthisAgreement,shallbegovernedbyandconstruedinaccordancewiththelawsoftheStateof_________applicabletocontractsmadeandperformedinsuchStateandwithoutregardtoconflictsoflawdoctrines.
5.NeitherthisAgreementnoranyrightsorobligationsunderitareassignable,exceptthatBuyermayassignitsrightshereundertoanyAffiliates(asdefinedinthePurchaseAgreement)ofBuyer,inwhicheventBuyershallremainliabletotheCorporationsforallobligationsofBuyerhereundernotwithstandingapermittedassignment.
6.ThisAgreementmaybeexecutedinanynumberofidenticalcounterparts,eachofwhichwhenexecutedanddeliveredshallbeanoriginal,butallsuchcounterpartsshallconstitutebutoneandthesameinstrument.Anysignaturepageofthisinstrumentmaybedetachedfromanycounterpartwithoutimpairingthelegaleffectofanysignaturesthereof,andmaybeattachedtoanothercounterpart,identicalinformthereto,buthavingattachedtoitoneormoreadditionalsignaturepages.Deliverybyanypartyoritsrespectiverepresentativesoftelecopied(counterpart)signaturepagesshallbeasbindinganexecutionanddeliveryofthisAgreementbysuchpartyasiftheotherpartyhadreceivedtheactualphysicalcopyoftheentireAgreementwithaninksignaturefromsuchparty.
7.Allinformationdisclosedbyanyparty(oritsrepresentatives)whetherbeforeorafterthedatehereof,inconnectionwiththetransactionscontemplatedby,orthediscussionsandnegotiationspreceding,thisAgreementtoanyotherparty(oritsrepresentatives)shallbekeptconfidentialbysuchotherpartyanditsrepresentativesandshallnotbeusedbyanysuchPersons(asdefinedinthePurchaseAgreement)otherthanascontemplatedbythisAgreement,excepttotheextentthatsuchinformation(i)wasknownbytherecipientwhenreceived,(ii)itisorhereafterbecomeslawfullyobtainablefromothersources,(iii)isnecessaryorappropriatetodisclosetoaGovernmentalEntity(asdefinedinthePurchaseAgreement)havingjurisdictionovertheparties,(iv)asmayotherwiseberequiredbylawor(v)totheextentsuchdutyastoconfidentialityiswaivedinwritingbytheotherparty;provided,however,thatfollowingtheClosingDate(asdefinedinthePurchaseAgreement)nothinginthissectionshallapplytoorrestricttheuseofinformationbyBuyerortheHomebuildingEntities(asdefinedinthePurchaseAgreement)intheirbusinesses.
8.IntheeventofanydisputeordisagreementbetweentheEntitiesandBuyerastotheinterpretationofanyprovisionofthisAgreementorthePurchaseAgreement,ortheperformanceofobligationshereunder,themattershallbedeterminedinthemannerprovidedinSection10.10ofthePurchaseAgreementand,ifanArbitration(asdefinedinthePurchaseAgreement)hasbeenrequestedorinstituted,shallbedeterminedaspartofthatArbitrationwiththeEntitiesparticipatingtothesameextentastheCorporationscouldparticipate.
9.Anynoticeorothercommunicationhereundermustbegiveninwritinganddeliveredinpersonorsentbytelecopy,byanationally-recognizedovernightcourierserviceorbycertifiedorregisteredmail,postageprepaid,receiptrequested,addressedasfollows:

AAAandCompanyagreetothefollowing:
1.EngagementofServices
a.AAAwillprovideadvertisingsalesrepresentationandconsultationforCompany’swebsite,locatedontheWorldWideWebathttp:
//www._________.comandotherinteractivemarketingvehiclessuchasSurfboardandMy100Hot.
b.AAAwillupdateCompanyontheprogressanddemandoftheInternetadvertisingmarketplace.
2.SalesMarketingSupport
a.CompanyandAAAwillwriteanddistributepressreleasesforanyworthyadvertisingprogramsthataredevelopedandsoldbyAAAandCompany.AAAwillnotdistributepressreleaseswithouttheconsentofBBB,whichshallnotbereasonablywithheld.
b.AAAwillprovideCompanywiththefollowingSalesandMarketingSupport:
I.AAAwillhighlightCompanyinitsmediakitandWebsiteasoneofitsPremiumWebsitePartnersincludingdetailedinformationinbothitsWebsiteandBeyondtheBannersections.
II.AAA’sSalesexecutiveswillworkwithCompanytoorchestrateprogramsthatincreaseCompany’soverallrevenuestream.
c.CompanywillprovideAAAwiththefollowingSalesandMarketingSupport:
I.Companywillallocateappropriatebudgetstodevelopadvertisingsalesmaterialforgeneralmediakitpurposesandforspecialadvertisingprograms.
II.OnCompany’sAdvertisinginformationpage,CompanywillrefertoAAAasitsexclusivethird-partyAdvertisingSalesRepresentationfirmandwilllinktoacustomizedpageonCompany’ssitethatprovidesAAASalescontactinformation.
III.CompanyagreestoprovideAAAwiththenecessarysalesandmarketingresourcesreasonablyrequiredtosupportnewadvertisingrecommendationsanddemonstrations.
3.ScheduleServingTracking
a.ExcludingallReachEfficiencycampaigns,CompanywilluseitsbesteffortstoserveandtrackallbannerschedulesthatAAAbooksforCompanywithinfourmonthsoftheexecutionofthisagreement.Untilsuchtime,servingandtrackingwillcontinueunderthesystemusedbyCompanyandAAAasofthedateofthisagreement.OnceCompanybeginstohandleservingandtracking,CompanywilluseitsbesteffortstoprovideAAAwithonlinetrackingresultsthatlistdailyimpressionandclickdataforeachbannercreative.
b.AAAwillserveandtrackallofCompany’sReachEfficiencyschedules(networkbuys)thataresoldbyAAAsalesexecutives.AAAwillprovideonlinetrackingresultsthatwilllistimpressionandclickdataforeachbannercreative.ReachEfficiencyschedulesaredefinedasthoseschedulesthatarebookedaspartofanetworkbuy,whereAAAsellsanumberofitssitesasonebuy.
c.CompanyacknowledgesthatitisAAA’spreferencetoserveandtrackallofWeb21’sadvertisingschedules.ThepartiesagreetodiscussthepossibilityoftransferringallofCompany’sservingtrackingmanagementtoAAA.
d.TotheextentthatAAAservesandtracksnon-ReachEfficiencycampaigns(forexamplerichmediadealsthatthecurrentsystemortheCompanysystemwillnotsupport),thecommissiontoAAAwillbenegotiatedonacase-by-casebasis.
4.SalesManagement
a.TomaximizerevenuesforallCompanyproperties(including,Surfboard,andMy100hot),thepartiesagreetoutilizebothAAAandBBB’ssalesstaff.Bothpartiesaresensitivetothepossibilityofclientconfusionandsalesconflictandasaresult,eachsalesstaffwilladheretothefollowingguidelines:
