Guarantee保证书-

WHEREAS,DDDLimited,a_________（STATE）corporation（SELLER）,andEEE,acorporationorganizedunderthelawsofthe_________（ADDRESS）（THINTERNATIONAL）,aredirectorindirectsubsidiariesoftheGuarantor;and

WHEREAS,simultaneouslywiththeexecutionanddeliveryofthisGuarantee,theBuyerPartieswillenterintoaStockPurchaseAgreement,datedasofthedatehereof（asamendedfromtimetotime,theSTOCKPURCHASEAGREEMENT）,withSeller,pursuanttowhichSellerwillselltoBBB,andBBBwillpurchasefromSeller,alloftheissuedandoutstandingsharesofcapitalstockofTHInternational.

NOW,THEREFORE,inconsiderationofthepremiseshereinandtoinducetheBuyerPartiestoenterintotheStockPurchaseAgreement,theGuarantorherebyagreeswiththeBuyerPartiesasfollows:

1.DEFINEDTERMS.Unlessotherwisedefinedherein,termswhicharedefinedintheStockPurchaseAgreementandusedhereinaresousedassodefined.

2.GUARANTEE.TheGuarantorherebyunconditionallyandirrevocablyguaranteestotheBuyerPartiesthepromptandcompletepaymentandperformanceofallobligationsoftheSellerintheStockPurchaseAgreement.TheGuarantorfurtheragreestopayanyandallreasonableexpenses（including,withoutlimitation,allfeesanddisbursementsofcounsel）whichmaybepaidorincurredbytheBuyerPartiesinenforcinganyoftheirrightsunderthisGuarantee.

NopaymentorpaymentsmadebytheSelleroranyotherpersonorreceivedorcollectedbyanyBuyerPartyfromtheSelleroranyotherPersonbyvirtueofanyactionorproceedingoranyset-offorappropriationorapplication,atanytimeorfromtimetotime,inreductionoforinpaymentoftheobligationsguaranteedhereundershallbedeemedtomodify,reduce,releaseorotherwiseaffecttheliabilityoftheGuarantorhereunderwhichshall,notwithstandinganysuchpaymentorpayments,remainliablehereunder.

3.NOSUBROGATION,CONTRIBUTION,REIMBURSEMENTORINDEMNITY.NotwithstandinganythingtothecontraryinthisGuarantee,theGuarantorherebyirrevocablywaivesallrightswhichmayhaveariseninconnectionwiththisGuaranteetobesubrogatedtoanyoftherightsofanyBuyerPartyagainsttheSellerforthepaymentoftheobligationsguaranteedhereunder.TheGuarantorherebyfurtherirrevocablywaivesallcontractual,commonlaw,statutoryorotherrightsofreimbursement,contribution,exonerationorindemnity（oranysimilarright）fromoragainsttheSelleroranyotherPersonwhichmayhaveariseninconnectionwiththisGuarantee.

4.AMENDMENTS,ETC.WITHRESPECTTOTHEOBLIGATIONS.TheGuarantorshallremainobligatedhereundernotwithstandingthat,withoutanyreservationofrightsagainsttheGuarantor,andwithoutnoticetoorfurtherassentbytheGuarantor,anydemandforpaymentofanyoftheobligationsmadebyanyBuyerPartymayberescindedbysuchBuyerParty,andanyoftheobligationsguaranteedhereundercontinued,andtheobligationsguaranteedhereunder,ortheliabilityofanyotherpartyuponorforanypartthereof,orguaranteetherefororrightofoffsetwithrespectthereto,may,fromtimetotime,inwholeorinpart,berenewed,extended,amended,modified,accelerated,compromised,waived,surrenderedorreleasedbytheBuyerParties,andtheStockPurchaseAgreementmaybeamended,modified,supplementedorterminated,inwholeorinpart,astheBuyerPartiesmaydeemadvisablefromtimetotime,andanyguaranteeorrightofoffsetatanytimeheldbytheBuyerPartiesforthepaymentoftheobligationsguaranteedhereundermaybesold,exchanged,waived,surrenderedorreleased.

5.GUARANTEEABSOLUTEANDUNCONDITIONAL.TheGuarantorwaivesanyandallnoticeofthecreation,renewal,extensionoraccrualofanyoftheobligationsguaranteedhereunderandnoticeoforproofofreliancebyanyBuyerPartyuponthisGuaranteeoracceptanceofthisGuarantee;theobligationsguaranteedhereunder,andanyofthem,shallconclusivelybedeemedtohavebeencreated,contractedorincurredinrelianceuponthisGuarantee;andalldealingsbetweentheSellerortheGuarantor,ontheonehand,andtheBuyerParties,ontheother,shalllikewisebeconclusivelypresumedtohavebeenhadorconsummatedinrelianceuponthisGuarantee.TheGuarantorwaivesdiligence,presentment,protest,demandforpaymentandnoticeofnonpaymenttoorupontheSellerortheGuarantorwithrespecttotheobligationsguaranteedhereunder.ThisGuaranteeshallbeconstruedasacontinuing,absoluteandunconditionalguaranteeofpaymentwithoutregardto（a）thevalidityorenforceabilityoftheStockPurchaseAgreementoranydocumentsdeliveredpursuantthereto,anyoftheobligationsguaranteedhereunderoranyguaranteeorrightofoffsetwithrespecttheretoatanytimeorfromtimetotimeheldbytheBuyerParties,（b）anydefense,set-offorcounterclaim（otherthanadefenseofpaymentorperformance）whichmayatanytimebeavailabletoorbeassertedbytheSelleragainstanyoftheBuyerParties,or（c）anyothercircumstancewhatsoever（withorwithoutnoticetoorknowledgeoftheSellerortheGuarantor）whichconstitutes,ormightbeconstruedtoconstitute,anequitableorlegaldischargeoftheSellerfortheobligationsguaranteedhereunder,oroftheGuarantorunderthisGuarantee,inbankruptcyorinanyotherinstance.WhenpursuingtheirrightsandremedieshereunderagainsttheGuarantor,theBuyerPartiesmay,butshallbeundernoobligationto,pursuesuchrightsandremediesastheymayhaveagainsttheSelleroranyotherPersonoragainstanyguaranteefortheobligationsguaranteedhereunderoranyrighttooffsetwithrespectthereto,andanyfailurebytheBuyerPartiestopursuesuchotherrightsorremediesortocollectanypaymentsfromtheSelleroranysuchotherPersonortorealizeuponanysuchguaranteeortoexerciseanysuchrightofoffset,oranyreleaseoftheSelleroranysuchotherPersonoranysuchguaranteeorrightofoffset,shallnotrelievetheGuarantorofanyliabilityhereunder,andshallnotimpairoraffecttherightsandremedies,whetherexpress,impliedoravailableasamatteroflaw,ofanyBuyerPartyagainsttheGuarantor.

6.REINSTATEMENT.ThisGuaranteeshallcontinuetobeeffective,orbereinstated,asthecasemaybe,ifatanytimepayment,oranypartthereof,ofanyoftheobligationsguaranteedisrescindedormustotherwiseberestoredorreturnedbyanyBuyerPartyupontheinsolvency,bankruptcy,dissolution,liquidationorreorganizationoftheSelleroruponorasaresultoftheappointmentofareceiver,intervenororconservatorof,ortrusteeorsimilarofficerfor,theSelleroranysubstantialpartofitsproperty,orotherwise,allasthoughsuchpaymentshadnotbeenmade.

7.PAYMENTS.TheGuarantorherebyagreesthattheobligationswillbepaidtotheBuyerPartieswithoutset-offorcounterclaiminUnitedStatesDollarstoanaccountdesignatedbyParent.

8.LIMITATIONONGUARANTEE.Notwithstandinganythinghereintothecontrary,theGuarantorshallnotberequiredtomakepaymentsunderthisGuaranteeinexcessof$,_________.

9.REPRESENTATIONSANDWARRANTIES.TheGuarantorrepresentsandwarrantsthat:

（a）theGuarantorisacorporationdulyincorporatedunderthelawsofthe_________andhasthecorporatepowerandauthorityandthelegalrighttoownandoperateitsproperty,toleasethepropertyitoperatesandtoconductthebusinessinwhichitiscurrentlyengaged;

（b）theGuarantorhasfullpowerandauthoritytoenterintoandperformthisGuarantee,whichhasbeendulyauthorizedbyallnecessarycorporateaction;

（c）thisGuaranteeconstitutesavalidandlegallybindingobligationoftheGuarantorenforceableagainsttheGuarantorinaccordancewithitsterms;and

（d）theexecutionanddeliveryofthisGuaranteebyGuarantor（i）willnotviolateorrequireanyconsent,approval,filingornoticeunderanyprovisionofanylaw,rule,statuteorregulationororder,judgment,writ,injunctionordecreeofanycourtorGovernmentalAuthorityapplicabletotheGuarantor,and（ii）willnotconflictwith,orresultinthebreachorterminationofanyprovisionof,orconstituteadefaultunder,orresultintheaccelerationoftheperformanceoftheobligationsoftheGuarantorunder,orresultinthecreationofalien,pledge,securityinterest,chargeorencumbranceuponanyofthepropertiesorassetsoftheGuarantorpursuantto,theorganizationalandgoverningdocumentsofGuarantor,oranyindenture,mortgage,deedoftrust,lease,contract,instrumentorotheragreementtowhichGuarantorisapartyorbywhichGuarantororanyofitspropertiesorassetsisbound.

10.SEVERABILITY.AnyprovisionofthisGuaranteewhichisprohibitedorunenforceableinanyjurisdictionshall,astosuchjurisdiction,beineffectivetotheextentofsuchprohibitionorunenforceabilitywithoutinvalidatingtheremainingprovisionshereof,andanysuchprohibitionorunenforceabilityinanyjurisdictionshallnotinvalidateorrenderunenforceablesuchprovisioninanyotherjurisdiction.

11.NOWAIVER;CUMULATIVEREMEDIES.NoBuyerPartyshallbyanyact（exceptbyawritteninstrumentpursuanttoSection12hereof）,delay,indulgence,omissionorotherwisebedeemedtohavewaivedanyrightorremedyhereunderoranybreachofanyofthetermsandconditionshereof.Nofailuretoexercise,noranydelayinexercising,onthepartofanyBuyerParty,anyright,powerorprivilegehereundershalloperateasawaiverthereof.Nosingleorpartialexerciseofanyright,powerorprivilegehereundershallprecludeanyotherorfurtherexercisethereofortheexerciseofanyotherright,powerorprivi
