二手船买卖合同1993年挪威格式（NSF＇93）

译注：

　国际上二手船的合同,称之为MemorandunofAgreement 可译称协议备忘录,简称M.O.A.,目前国际上通行的有两种标准版：

一种是挪威标准,另一种是日本标准.两种二手船舶买卖合同的标准略有不同,日本的标准版本略为偏向于卖方的益处,尽管两种都是标准的条款,然而经过买卖双方的谈判、增加、删减或修改之后,最后也“面目全非”,因此采用何种条款问题都不大,最终双方签署的M.O.A,将是双方获得一致,都可以接受的并且受到有关法律保护的正式文件。

　　由于二手船买卖涉及的方面很多,交易金额高,买方风险大,因此,二手船买卖的双方通常会选择标准合同文本作为合同谈判的基础.国际上二手船买卖合同通常称之为协议备忘录,即MemorandumofAgreement,简称M.O.A.目前国际上使用最多的就是挪威买卖格式,尤其以采用1993年版本的最多.另外也有其他的国际二手船买卖的标准格式,如1985年伦敦船舶买卖格式,即theLondonShipSaleContract,1985,1999年的日本船舶买卖格式,即Nipponsale,1999,不过二手船交易双方使用这两种版本的较少.日本标准版本比较偏向卖方的利益.国内的二手船交易双方通常也是参照挪威买卖格式的中文译本而订立的.通常,合同文本由卖方提供.因此买方应该熟悉二手船买卖标准版本的内容,以便对卖方提供的合同文本进行合适的修改.

此合同的船舶遵循以下条款：

 Definitions定义

"Bankingdays"aredaysonwhichbanksareopenbothinthecountryofthecurrencystipulatedforthePurchasePriceinClause1andintheplaceofclosingstipulatedinClause8.

"Inwritingor"written"meansaletterhandedoverfromtheSellerstotheBuyersorviceversa,aregisteredletter,telex,telefaxorothermodernformofwrittencommunication.

"ClassificationSociety"or"Class"meantheSocietyreferredtoinLine4.

“银行日”是指第一条下购买价格的币种可以交易的并在第八条约定的地点附近的银行对外营业的日数。

“书面的”或“书面地”指一份由卖方递交给买方或者买方递交给卖方的信件、挂号信、电传、传真或其它现今形式的书面交流。

“船级社或船级”指第四行提及的社会团体。

 1.   PurchasePrice     买价：

 2.   Deposit    押金

Asasecurityforthecorrectfulfilmentofthiscontract,theBuyersshallpayadepositof10%-tenpercent-ofthePurchaseMoneywithinbankingdaysfromthedateofthisagreement.ThisdepositshallbedepositedwithandheldbytheminajointaccountfortheSellersandtheBuyers,tobereleasedinaccordancewithjointwritteninstructionsoftheSellersandtheBuyers.Interest,ifany,tobecreditedtheBuyers.AnyfeechargedforholdingsaiddepositshallbeborneequallybytheSellersandtheBuyers.

为了能确保此合同的执行，买方要在此合同生效日起   银行日内支付买价的10%作为押金。

押金要由买卖双方的联名账户保管并且需要通过双方的书面指示提取。

如果发生利息的话，利息归于买方。

任何由于保管上述押金而产生的费用由买卖双方平均承担。

 3.   Payment   付款

ThesaidPurchaseMoneyshallbepaidfreeofbankchargestoondeliveryofthevessel,butnotlaterthanthreebankingdaysaftertheVesselisineveryrespectphysicallyreadyfordeliveryinaccordancewiththetermsandconditionsofthisAgreementandNoticeofReadinesshasbeengiveninaccordancewithClause5.

在船舶交付时，上述购买价应全额支付，不负担银行手续费。

买方支付船款日期应不迟于船舶本身在各方面已按本合同的条款规定处于交付状态，且准备通知书已按第5a条的要求递交后的3个银行工作日。

 4.   Inspections    检查

a）  TheBuyershaveinspectedandacceptedtheVessel'sclassificationrecords.TheBuyershavealsoinspectedtheVesselat/in   on    andhaveacceptedtheVesselfollowingthisinspectionandthesaleisoutrightanddefinite,subjectonlytothetermsandconditionsofthisAgreement.

买方已检查并接受船舶的船级记录。

买方已在   （日期）在        （地点）对船舶进行检查。

买方根据该检查已接受船舶，那么船舶买卖关系即告确立，这仅限于此合同的条款。

b）  TheBuyersshallhavetherighttoinspecttheVessel'sclassificationrecordsanddeclarewhethersameareacceptedornotwithinTheSellersshallprovideforinspectionofthevesselat/inTheBuyersshallundertaketheinspectionwithoutunduedelaytothevessel.ShouldtheBuyerscausesuchdelaytheyshallcompensatetheSellersforthelossestherebyincurred.TheBuyersshallinspecttheVesselwithoutopeningupandwithoutcosttotheSellers.Duringtheinspection,theVessel'sdeckandenginelogbooksshallbemadeavailableforexaminationbytheBuyer's.Ifthevesselisacceptedaftersuchinspection,thesaleshallbecomeoutrightanddefinite,subjectonlytothetermsandconditionsofthisAgreement,providedtheSellersreceivewrittennoticefromtheBuyerswithin72hoursaftercompletionofsuchinspection.ShouldnoticeofacceptanceoftheVessel'sclassificationrecordsandoftheVesselnotbereceivedbytheSellersasaforesaid,thedeposittogetherwithinterestearnedshallbereleasedimmediatelytotheBuyers,whereafter thiscontractshallbenullandvoid.

买方有权检查船舶的船级记录，并在    （时间）内宣布是否予以承认。

卖方应在   （地方）为买方安排船舶检查。

买方不得因船舶检查而延误船期，否则，买方应向卖方赔偿由此引起的损失。

买方在船舶检验时，不可将其拆解，也不可给给卖方带来费用上的负担。

在检查过程中，船舶的轮机日志和航海日志应提供给买方查阅。

如果经检查，凭卖方在检验后72小时内收到买方认可书面通知为准，一旦船舶获得认可，船舶买卖关系即告确立，这仅限于此合同的条款。

卖方如果未能收到上述所提到的船舶船级记录的认可通知，保证金及利息应立即交还给买方，本合同宣告无效。

4a）and4B）arealternatives;deletewhicheverisnotapplicable.Intheabsenceofdeletions,alternative4a）toapply.

 4a条款和4b条款要两选一，删除任一条都不适用，不删减的情况下，选4a

5.   Notices,timeandplaceofdelivery   交船通知，时间及地点

a）   TheSellers shallkeepthebuyerswellinformedof theVessel'sitineraryandshallprovidetheBuyerswith   ,and    daysofestimatedtimeofarrivalattheintendedplaceofdry-docking/underwaterinspection/delivery.Whenthevesselisattheplaceofdeliveryandineveryrespectphysicallyreadyfordeliveryinaccordancewiththisagreement,theSellersshallgivetheBuyersawrittenNoticeofReadinessfordelivery.

卖方应及时将船舶动态告知买方并提供   和    （填上多少天）进船坞/水下检查/交付的通知。

当船舶在交付地点并且本身在各方面处于交付状态时，卖方要提交给买方书面的准备交付通知书。

b）  Thevesselshallbedeliveredandtakenoversafelyafloatatasafeandaccessibleberthoranchorageat/inintheSellersoption.

Expectedtimeofdelivery:

Dateofcancelling（seeClauses5c）,6b）,（III）and14）:

船舶要在卖方指定的泊位或锚地，并在漂浮的状态下进行交付。

预期的交付时间：

销约期（见条款5C,6B（iii）和14）

c）   IftheSellersanticipatethat,notwithstandingtheexerciseofduediligencebythem,thevesselwillnotbereadyfordeliverybythecancellingdatetheymaynotifytheBuyersinwritingstatingthedatewhenthatthevesselwillbereadyfordeliveryandproposeanewcancellingdate.UponreceiptofsuchnotificationtheBuyersshallhavetheoptionofeithercancellinghisagreementinaccordancewithclause14within7runningdaysofreceiptofthenoticeorofacceptingthenewdateasthenewcancellingdate.IftheBuyershavenotdeclaredtheiroptionwithin7runningdaysofreceiptoftheSellersnotificationoriftheBuyersacceptthenewdate,thedateproposedintheSellers'notificationshallbedeemedtobethenewcancellingdateandshallbesubstitutedforthecancellingdatestipulatedinline61.

 Ifthisagreementismaintainedwiththenewcancellingdateallothertermsandconditionshereofincludingthosecontainedinclause5a）and5c）shallremainunalteredandinfullforceandeffect.CancellationorfailuretocancelshallbeentirelywithoutprejudicetoanyclaimfordamagestheBuyersmayhaveunderclause14forthevesselnotbeingreadybytheoriginalcancellingdate.

如果卖方尽力而不能在销约期前交船，那么卖方要书面通知买方新的交船日期和销约期。

买方有权在接到通知后7天内决定是否取消此合同（根据第14条）。

如果买方未能在该7天内作出决定，或接受新的日期和销约期，那么新的销约期将取代第61行所述的销约期。

d）  Shouldthevesselbecomeanactual,constructiveorcompromisedtotallossbeforedeliverythedeposittogetherwithinterestearnedshallreleasedimmediatelytotheBuyers whereafter thisagreementshallbenullandvoid.

交船前，倘若船舶发生全损或推定全损，本合同宣告无效，保证金及利息应立即交还给买方。

6.    Drydocking/Diversinspection进船坞/水底检

a）TheSellersshallplacethevesselindrydockattheportofdeliveryforinspectionbytheClassificationSocietyoftheVessel'sunderwaterpartsbelowthedeepestloadline,theextentoftheinspectionbeinginaccordancewiththeClassificationSociety'srules.Iftherudder,propeller,orbottomorotherunderwaterpartsbelowthedeepestloadlinearefoundbroken,damaged,ordefective,soastoaffecttheVessel'sclass,suchdefectsshallbemadegoodattheSeller'sexpensetothesatisfactionoftheClassificationSocietywithoutcondition/recommendation.

卖方在交船港的船坞安排船舶检查，由该船舶的船级社负责对船舶低于最深载重线的水下部分进行检查，该检查遵循船级社的条款。

如果发现船舵，螺旋桨或低于最深载重线水下部分有影响船级的损坏或缺陷，那么应由卖方无条件地自费修理，直到满足船级社的要求。

b）（i）TheVesselistobedeliveredwithoutdrydocking.HowevertheBuyersshallhavetherightattheirexpensetoarrangeforanunderwaterinspectionbyadiverapprovedbytheClassificationSocietypriortodeliveryoftheVessel.TheSellersshallattheircostmaketheVesselavailableforsuchinspection.TheextentoftheinspectionandtheconditionsunderwhichitisperformedshallbetothesatisfactionoftheClassificationSociety.Iftheconditionsattheportofdeliveryareunsuitableforsuchinspection,theSeller'sshallmaketheVesselavailableatasuitablealternativeplaceneartothedeliveryport.

船舶不进船坞交船。

那么，买方有权自费安排由船级社审核的潜水员进行水底检查。

卖方承担为船舶检查准备的费用。

该检查和进行的条件应当满足船级社的要求。

如果交船港不合适该检查，那么卖方要在交船港附近安排一个合适该检查的地点。

（ii）   Iftherudder,propeller,bottom,otherunderwaterpartsbelowthedeepestloadLinearefoundbroken,damagedordefectivesoastoaffecttheVessel'sclass,thenunlessrepairscanbecarriedouttothesatisfactionoftheClassificationSociety,theSeller'sshallarrangefortheVesseltobedrydockedattheirexpenseforinspectionbytheClassificationSocietyoftheVessel'sunderwaterpartsbelowthedeepestloadline,theextentoftheinspectionbeinginaccordancewiththeClassificationSociety'srules.Iftherudder,propeller,bottomorotherunderwaterpartsbelowthedeepestloadlinearefounddamagedordefectivesoastoaffectthevesselsclasssuchdefectsshallbemadegoodbytheSellersattheirexpensetothesatisfactionoftheClassificationSocietywithoutcondition/recommendation.InsucheventtheSeller'saretopayforthecostoftheunderwaterinspectionandtheClassificationSociety'sattendance.

如果发现船舵，螺旋桨或其他地域载重线水下部分有影响船级的损坏或缺陷，除非能在船舶漂浮状态下进行维修并满足船级社的要求，不然卖方要自费安排船舶进船坞的检查费用，该检查由船级社负责并遵循船级社的规定。

如果发现船舵，螺旋桨或其他地域载重线水下部分有影响船级的损坏或缺陷，那么卖方要无条件地自费维修，直到满足船级社的要求，在此情况下，卖方应承担水底检费和验船师费。
