1、二手船买卖合同1993年挪威格式中英文MEMORANDUM OF AGREEMENTNORWEGIAN SALE FORM 1993二手船买卖合同1993年挪威格式（NSF93）译注：国际上二手船的合同,称之为Memorandun of Agreement可译称协议备忘录,简称M.O.A.,目前国际上通行的有两种标准版：一种是挪威标准,另一种是日本标准.两种二手船舶买卖合同的标准略有不同,日本的标准版本略为偏向于卖方的益处,尽管两种都是标准的条款,然而经过买卖双方的谈判、增加、删减或修改之后,最后也“面目全非”,因此采用何种条款问题都不大,最终双方签署的M.O.A,将是双方获得一致,都可以接受

2、的并且受到有关法律保护的正式文件。由于二手船买卖涉及的方面很多,交易金额高,买方风险大,因此,二手船买卖的双方通常会选择标准合同文本作为合同谈判的基础.国际上二手船买卖合同通常称之为协议备忘录,即Memorandum of Agreement,简称M.O.A.目前国际上使用最多的就是挪威买卖格式,尤其以采用1993年版本的最多.另外也有其他的国际二手船买卖的标准格式,如1985年伦敦船舶买卖格式,即the London Ship Sale Contract, 1985,1999年的日本船舶买卖格式,即Nipponsale,1999,不过二手船交易双方使用这两种版本的较少.日本标准版本比较偏向卖

This deposit shall be deposited with and held by them in a joint account for the Sellers and the Buyers, to be released in accordance with joint written instructions of the Sellers and the Buyers. Interest, if any, to be credited the Buyers. Any fee charged for holding said de

9、king days after the Vessel is in every respect physically ready for delivery in accordance with the terms and conditions of this Agreement and Notice of Readiness has been given in accordance with Clause 5.在船舶交付时，上述购买价应全额支付，不负担银行手续费。买方支付船款日期应不迟于船舶本身在各方面已按本合同的条款规定处于交付状态，且准备通知书已按第5a条的要求递交后的3个银行工作日。4.I

10、nspections检查a)The Buyers have inspected and accepted the Vessels classification records. The Buyers have also inspected the Vessel at / inonand have accepted the Vessel following this inspection and the sale is outright and definite, subject only to the terms and conditions of this Agreement.买方已检查并接

11、受船舶的船级记录。买方已在（日期）在（地点）对船舶进行检查。买方根据该检查已接受船舶，那么船舶买卖关系即告确立，这仅限于此合同的条款。b)The Buyers shall have the right to inspect the Vessels classification records and declare whether same are accepted or not within The Sellers shall provide for inspection of the vessel at / in The Buyers shall undertake the inspect

12、ion without undue delay to the vessel. Should the Buyers cause such delay they shall compensate the Sellers for the losses thereby incurred. The Buyers shall inspect the Vessel without opening up and without cost to the Sellers. During the inspection, the Vessels deck and engine log books shall be m

13、ade available for examination by the Buyers. If the vessel is accepted after such inspection, the sale shall become outright and definite, subject only to the terms and conditions of this Agreement, provided the Sellers receive written notice from the Buyers within 72 hours after completion of such

14、inspection. Should notice of acceptance of the Vessels classification records and of the Vessel not be received by the Sellers as aforesaid, the deposit together with interest earned shall be released immediately to the Buyers, whereafterthis contract shall be null and void.买方有权检查船舶的船级记录，并在（时间）内宣布是否

15、予以承认。卖方应在（地方）为买方安排船舶检查。买方不得因船舶检查而延误船期，否则，买方应向卖方赔偿由此引起的损失。买方在船舶检验时，不可将其拆解，也不可给给卖方带来费用上的负担。在检查过程中，船舶的轮机日志和航海日志应提供给买方查阅。如果经检查，凭卖方在检验后72小时内收到买方认可书面通知为准，一旦船舶获得认可，船舶买卖关系即告确立，这仅限于此合同的条款。卖方如果未能收到上述所提到的船舶船级记录的认可通知，保证金及利息应立即交还给买方，本合同宣告无效。4a) and 4B) are alternatives; delete whichever is not applicable. 17、dry-docking / underwater inspection / delivery. When the vessel is at the place of delivery and in every respect physically ready for delivery in accordance with this agreement, the Sellers shall give the Buyers a written Notice of Readiness for delivery.卖方应及时将船舶动态告知买方并提供和（填上多少天）进船坞/水下检查/交付的通知。当船舶在交

18、付地点并且本身在各方面处于交付状态时，卖方要提交给买方书面的准备交付通知书。b)The vessel shall be delivered and taken over safely afloat at a safe and accessible berth or anchorage at /in in the Sellers option.Expected time of delivery:Date of cancelling (see Clauses 5c), 6b), (III) and 14):船舶要在卖方指定的泊位或锚地，并在漂浮的状态下进行交付。预期的交付时间：销约期（见条款5C,

19、6B(iii)和14）c)If the Sellers anticipate that, notwithstanding the exercise of due diligence by them, the vessel will not be ready for delivery by the cancelling date they may notify the Buyers in writing stating the date when that the vessel will be ready for delivery and propose a new cancelling dat

Upon receipt of such notification the Buyers shall have the option of either cancelling his agreement in accordance with clause 14 within 7 running days of receipt of the notice or of accepting the new date as the new cancelling date. If the Buyers have not declared their option within 7 running

21、days of receipt of the Sellers notification or if the Buyers accept the new date, the date proposed in the Sellers notification shall be deemed to be the new cancelling date and shall be substituted for the cancelling date stipulated in line 61.If this agreement is maintained with the new cancelling

22、 date all other terms and conditions hereof including those contained in clause 5a) and 5c) shall remain unaltered and in full force and effect. Cancellation or failure to cancel shall be entirely without prejudice to any claim for damages the Buyers may have under clause 14 for the vessel not being

24、eleased immediately to the Buyerswhereafterthis agreement shall be null andvoid.交船前，倘若船舶发生全损或推定全损，本合同宣告无效，保证金及利息应立即交还给买方。6.Drydocking/Divers inspection进船坞/水底检a) The Sellers shall place the vessel in dry dock at the port of delivery for inspection by the Classification Society of the Vessels underwat

25、er parts below the deepest load line, the extent of the inspection being in accordance with the Classification Societys rules.If the rudder, propeller, or bottom or other underwater parts below the deepest load line are found broken, damaged, or defective, so as to affect the Vessels class, such def

26、ects shall be made good at the Sellers expense to the satisfaction of the Classification Society without condition / recommendation.卖方在交船港的船坞安排船舶检查，由该船舶的船级社负责对船舶低于最深载重线的水下部分进行检查，该检查遵循船级社的条款。如果发现船舵，螺旋桨或低于最深载重线水下部分有影响船级的损坏或缺陷，那么应由卖方无条件地自费修理，直到满足船级社的要求。b) (i)The Vessel is to be delivered without dry do

27、cking. However the Buyers shall have the right at their expense to arrange for an underwater inspection by a diver approved by the Classification Society prior to delivery of the Vessel. The Sellers shall at their cost make the Vessel available for such inspection. The extent of the inspection and t

28、he conditions under which it is performed shall be to the satisfaction of the Classification Society. If the conditions at the port of delivery are unsuitable for such inspection, the Sellers shall make the Vessel available at a suitable alternative place near to the delivery port.船舶不进船坞交船。那么，买方有权自费

29、安排由船级社审核的潜水员进行水底检查。卖方承担为船舶检查准备的费用。该检查和进行的条件应当满足船级社的要求。如果交船港不合适该检查，那么卖方要在交船港附近安排一个合适该检查的地点。(ii)If the rudder, propeller, bottom, other underwater parts below the deepest load Line are found broken, damaged or defective so as to affect the Vessels class, then unless repairs can be carried out to the s

30、atisfaction of the Classification Society, the Sellers shall arrange for the Vessel to be drydocked at their expense for inspection by the Classification Society of the Vessels underwater parts below the deepest load line, the extent of the inspection being in accordance with the Classification Soci

31、etys rules. If the rudder, propeller, bottom or other underwater parts below the deepest load line are found damaged or defective so as to affect the vessels class such defects shall be made good by the Sellers at their expense to the satisfaction of the Classification Society without condition/reco

32、mmendation. In such event the Sellers are to pay for the cost of the underwater inspection and the Classification Societys attendance.如果发现船舵，螺旋桨或其他地域载重线水下部分有影响船级的损坏或缺陷，除非能在船舶漂浮状态下进行维修并满足船级社的要求，不然卖方要自费安排船舶进船坞的检查费用，该检查由船级社负责并遵循船级社的规定。如果发现船舵，螺旋桨或其他地域载重线水下部分有影响船级的损坏或缺陷，那么卖方要无条件地自费维修，直到满足船级社的要求，在此情况下，卖方应承担水底检费和验船师费。(iii)If the
