InternationalTenderingCompanyofChinaNationalTechnicalImportandExportCorporation,BeijingPRC（hereinafterreferredtoasthe

“Licensee”）ontheonehand,andCompanyGermany（hereinafter

referredtoasthe"Licensor”）ontheotherhand,

WhereastheLicensorhasthetechnicalknow-howfordesign,manufacture,assembly，installation，test，inspection，adjustment，operation，maintenance,managementandsaleofRailwayasrequiredby

Licensee;

WhereastheLicensorhastherightandagreestotransfertheabove-

mentionedtechnicalknow—howtotheLicenseeforthemanufactureof

Railwayproduct;

WhereastheLicensoragreestosupplytotheLicenseeandtheLicensee

agreestoobtainfromtheLicensoracertainamountofpartsandcomponents

fortheassemblingandmanufacturingoftheRailwayproductunder

othercontract.

Theauthorizedrepresentativesofbothpartiesnegotiations,haveagreedtoenterintotheContractunderthetermsandconditionsasstipulatedbelow;

ARTICLE1DEFINITIONS

1.1“TheLicensee”meansInternationalTenderingCompanyofChinaNationalTechnicalImportandExportCorporation,Beijing,P.R.C.

1.2“TheLicensor”meansCompanyGermany.

1.3“TheContract”meanstheagreemententeredbetweentheLicenseeandtheLicensor,asrecordedintheContractsignedbybothpartiesincludingallannexes,attachmentsandappendicestheretoandalldocumentsincorporatedbyreferencetherein.

1.4“ThecontractPrice”meansthepricepayabletotheLicensorbytheLicenseeundertheContractforthefullandproperperformance

ofitscontractualobligations.

1.5“TheContractProducts"meansalltheproductswiththemodelsandspecificationsandperformanceswhicharemanufacturedbythetechnologytransferredbytheLicensortotheLicenseeasstipulatedin

Annex2totheContract.

1.6“TheContractFactory”meanstheplacewheretheLicensee

manufacturestheContractProductsbyusingtheTechnologysuppliedbytheLicensor,ThatisBeijingfactory.

1.7“TheTechnicalDocumentationandSoftware"meansallthedocumentstobesuppliedtotheLicenseebytheLicensorasstipulatedinAnnexIIIoftheContract,Itconsistsofthefollowings:

A.Allthetechnicalindices,drawings,design,technicaldocumentsandsoftwarerelatingtothedesign,manufacture,calculation,assembly,installation,test,managementsinspection,adjustment,operation,maintenance,acceptancetestandsaleoftheContractProducts;

B.Allthetechnicalindices,drawings,design,technicaldocumentsandsoftwarerelatingtotheinspection,installation.Commissioning,testing,acceptance,operationandmaintenanceoftheContractEquipment;

C.Allthetechnicalindices,drawings,technicaldocumentsand

softwarerelatingtotheinspection,testing,adjustment,assemblyandmaintenanceoftheSKD/CKDParts.

1.8“TheTechnicalService”meansthetechnicalassistance,supervision,instruction,trainingandotherservicesunderthecontracttoberenderedbytheLicensortotheLicenseeasstipulatedinAnnexVI_andAnnexVIItotheContract.

1.9“SINOTRANSmeansChinaNationalForeignTradeTransportationCorporation,whichistheappointedagentoftheLicenseeforreceipt

oftheTechnicalDocumentationandSoftware,theContractEquipmentandthePartsattheportsofdestination:

1.12“TheWorldBank”meanstheInternationalBankforreconstructionandDevelopment（I.B.R.D.）andInternationalDevelopmentAssociation.

ARTICLE2OBJECTOFTHECONTRACT

2.1ThelicensorhasagreedtotransfertotheLicenseeandtheLicenseehasagreedtoobtainfromtheLicensorthetechnicalknow-howforthe

design,manufacture,assembly,installation,test,inspection,adjustment,operationandmaintenanceandmanagementoftheContractProducts.Thenamemodel,specificationsandtechnicalindicesoftheContractProductsaredetailedinAnnex_II_totheContract.

2.2TheLicensorhasagreedtogranttheLicenseethelicenseandrighttodesign,manufacture,use,sellinPRCtheContractProductsandexporttheContractProducts.Thelicenseandrightarenon-exclusiveandnon-transferable.

2.3TheLicensorhasagreedtoprovidethelicenseewiththeTechnicalDocumentationandSoftwarerelatedtotheContractProducts.The

contents,copiesandtimeofdeliveryoftheTechnicalDocumentationandSoftwarearedetailedinAnnexVandAnnexVItotheContract.

2.4TheLicensorhasagreedtodispatchhistechnicalpersonneltotheContractFactory,forTechnicalServices.ThespecificcontentsandrequirementsfortheTechnicalServicesaredetailedinAnnexIXtotheContract.

2.5TheLicensorhasagreedtogivetheLicensee'spersonneltechnicaltraininginLicensor'sfactoriesandattheContractfactory,toensurethattheLicensee'stechnicalpersonnel;shallmastertheabovetechnicalknow-knowtransferredtotheLicensee.ThespecificcontentsandrequirementsoftechnicaltrainingaredetailedinAnnexXtothe

Contract.

2.6TheLicensorhasagreed,upontherequestoftheLicenseefora

periodof10（ten）yearsafterthedateofvalidityoftheContract,tosupplytheLicenseeatthemostfavorablepricewiththeparts,

componentsrawmaterialsandaccessorieswhicharenecessaryformanufacturingthecontractProductsunderaseparatecontracttobesignedinduetime.

2.7TheLicensorhasagreed,upontherequestoftheLicenseeforaperiodof10（ten）yearsafterthedateofvalidityoftheContract,tosupplytheLicenseeatthemostfavorablepricewithequipmentand

softwarewhicharemadeordevelopedbytheLicensorandarenecessaryformanufacturingtheContractsoftwarewhicharemadeordevelopedbythethirdpartyandarenecessaryformanufacturingtheContractProducts.

2.8TheLicensorhasagreedtogranttheLicenseethelicenseandrighttouse,onthecontractProductsmanufacturedbythecontractFactory,

theword“MadeinChinaunderlicenseof“followedbyNameoftheLicensor,attheoptionoftheLicensee,providedtheContractProductscanmeetthetechnicalandqualityrequirementasspecifiedinAnnexIIoftheContract.

ARTICLE3CONTRACTPRICE

3.1ThetotalContractprice,whichisbasedonthecontentsandscope

stipulatedinArticle2totheContractandtheLicensor'sfulfillment

ofhisobligationsundertheContract,shallbeDEM（SAY:

3.1.1PriceforTechnicalKnow-how:

3.2Theabove-mentionedtotalContractPriceshallbefirmandfixed

pricefortheLicensor'sobligationunderthecontractincludingallexpensesincurredfordeliveryoftheTechnicalDocumentationandSoftwareCIFBeijingAirport,China.

ARTICLE4TERMSOFPAYMENT

4.1AllthepaymentstipulatedintheContractshallbeeffectedinDEUTSCHMARK（DEM）throughanirrevocableletterofcreditpartial

shipmentallowedundertheI.B.R.D.LoanNo.forthepricefortheTechnicalKnow-howobtainedfromtheWorldBankopenedinfavoroftheLicensor.

4.2TheLicenseeshallwithinthirty（30）workingdaysafter

effectivenessoftheContract,openanirrevocableletterofcreditby

theBankofChina,BeijinginfavoroftheLicensor,inabankinhiscountrynominatedbytheLicensorandacceptedbytheLicensor,forandamountequivalenttothetotalContractprice,theletterofcreditshallpermitpaymentsasstipulatedinArticle4.3.

4.3PaymentforthePricefortheTechnicalKnow-how

4.3.110%（tenpercent）ofthetotalpriceforthetechnicalknow-how

underArticle3,namelyDEM（SAY:

DEUTSCHMARKONLY）shall

bepaidaftertheLicensorhaspresentedthefollowingdocumentsprovidedtheyareinconformitywiththestipulationsoftheContract.

A.OnePhotostatcopyofvalidexportlicenseissuedbytherelevant

authoritiesoftheLicensor'sofLicensor'ssubcontractor'scountry,oronecopyoftheletterissuedbytherelevantauthorityoftheLicensor'scountrystartingthatthevalidexportlicenseisnotrequired.

B.Oneoriginalandonecopyoftheirrevocableletterofguarantee

issuedbytheLicensor'sBankforasumof10%ofthetotalpriceoffor

thetechnicalknow-howinfavoroftheLicensee,Thespecimenofthe

letterofguaranteeisdetailedinAnnexXIItothecontract.

C.Fourcopiesoftheproformalinvoicecoveringthetotalpricefor

thetechnicalknow-how

D.TwocopiesofthesightdrafttobedrawnontheLicenseetotheBankofChina,Beijing.

E.Fourcopiesofcommercialinvoice.

Theabove-mentioneddocumentsshallbepresentednotearlierthan30

daysaftereffectivenessoftheContract.

4.3.225%（twentyfivepercent）ofthetotalpriceforthetechnical

know-howunderArticle3,namelyDEM（SAY:

DEUTSCHARQNLY）shallbepaidaftertheLicensorhasdeliveredthefirstbatchofthe

technicalDocumentation/SoftwareasstipulatedinAnnexVItotheCntractandagainstpresentationofthefollowingdocumentsprovidedtheyareinconformitywiththestipulationsoftheContract:

A.Fivecopiesofthecommercialinvoice.

B.TwocopiesofthesightdrafttobedrawnontheLicens
