　　甲、乙双方经友好协商，本着平等、自愿、诚实、互惠互利的原则，就合作事宜达成如下协议：

　　Throughfriendlynegotiations,basedontheprincipleofequality,voluntary,honestandmutualbenefit,PartyAandPartyBmadeandenteredintothefollowingagreementon:

　　1.委任

　　Appointment

　　甲方授权乙方作为甲方产品中国地区的唯一授权经销商。

　　PartyAauthorizesPartyBastheonlyauthorizeddealersofPartA’sproductinChina.

　　所涉及的：

　　2.有效期

　　Validity

　　本协议自双方签字盖章之日起生效，有效期至年月日止。

ThisAgreementshallbecomeeffectiveasofthedateofsignatureandsealbybothparties.Validuntil当本协议期满，如双方同意续约，应在本协议有效期满前_______个工作日内签署书面续约协议。

　　Upontheexpirationofthiscontract,ifbothpartiesagreetorenewing,shallsignawrittenrenewcontractwithinworkingdayspriortotheexpiryofthisagreement.

　　3.甲方责任和义务

　　PartyAresponsibilitiesandobligations

　　基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方以外的渠道向代理区域顾客销售或出口甲方产品第一条所列商品或服务。

　　Inconsiderationoftheexclusiverightsgrantedherein,PartyAshallnot,directlyorindirectly,sellorexportthecommodityorservicestipulatedinArticle1tocustomersinterritorythroughchannelsotherthanPartyB.

　　在本协议有效期内，甲方应将其收到的来自代理区域其他商家的有关代理产品或服务的询价或订单转交给乙方。

　　PartyAshallrefertoPartyBanyenquiriesofordersforthecommodityorserviceinquestionreceivedbyPartyAfromotherfirmsinterritoryduringthevalidityofthisagreement.

　　甲方应对乙方人员进行必要的培训，以保证乙方人员的工作达到甲方的要求。

　　PartyAshallprovidethenecessarytrainingtoPartyB,inordertoensurethattheworkofPartyBreachtherequirementsofPartyA.

　　4.乙方责任和义务

　　PartyBresponsibilitiesandobligations

　　乙方可以用“甲方产品唯一授权经销商”的名义进行一切合法的商业活动。

　　PartyBcanundertakeallthelegitimatebusinessactivitiesinthenameof"PartAproduct’sonlyauthorizeddealers".

　　乙方不得招揽或接受以到代理区域以外的地区销售为目的的订单。

对于跨地区销售，一经发现，将给予警告；对于连续两次违反者，甲方有权取消其代理资格和本协议给予的一切权益。

　　PartyBshallnotsolicitoracceptordersforthepurposeofsellingthemoutsideterritory.Oncecross-area-salesbefounding,PartyAwillgivePartyBawarning.Fortwosuccessiveviolators,PartyAshallhavetherighttocancelPartyB’sagentqualificationandalltherightstothisagreement.

　　5.退货

　　Return

　　如产品存在质量问题，乙方须在收到货物后60日内向甲方提交退货申请，甲方应同意退货；

　　乙方退回的产品及其包装必须达到不影响再次销售的要求，否则，甲方不予退款；甲方在收到退货并确认符合上述要求后退款。

　　Fortheproductqualityreason,PartyBshallsubmitareturnapplicationtoPartyA,andPartyAshallagree.

　　TheproductsbyPartyBreturned,anditspackagingmustmeettherequirementsofthesalesagain,otherwise,PartyAwillnotberefund.

　　PartyArefundsafterreceivingthereturnproductsandconfirmingtheymeettherequirements.

　　6.运保费

　　Transportation&InsuranceFee

　　发货时，运保费由甲方承担；

　　若乙方对运输工具有特殊要求，超出的运费由乙方自行承担；

　　退货时，运保费由乙方承担。

　　WhendeliverthetransportationandinsurancefeeshouldbebornebyPartyA.IfPartyBhasspecialrequirements,thebeyondfeeshallbebornebypartyB.WhenReturnthetransportationandinsurancefeeshouldbebornebyPartyB.

　　7.不可抗力

　　ForceMajeure

　　因水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。

但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件证明寄交对方。

　　Eitherpartyshallnotbeheldresponsibleforfailureordelaytoperformalloranypartofthisagreementduetoflood,fire,earthquake,draught,waroranyothereventswhichcouldnotbepredicted,controlled,avoidedorovercomebytherelativeparty.However,thepartyaffectedbytheeventofForceMajeureshallinformtheotherpartyofitsoccurrenceinwritingassoonaspossibleandthereaftersendacertificateoftheeventissuedrelevantauthoritiestotheotherpartywithin15daysafteritsoccurrence.

　　8.仲裁

　　Arbitration

　　一切因履行本协议发生的争端应通过友好协商解决。

如协商不成，均应提交至乙方所在地的人民法院，按照申请仲裁时该会实施的仲裁规则进行仲裁。

仲裁裁决终局的，对双方均有约束力。

　　Alldisputesarisingfromtheperformanceofthisagreementshallbesettledthroughfriendlynegotiation.Shouldnosettlementbereachedthrough

　　negotiation,thecaseshallbesubmittedtocourtwhereisPartyBislocated,whichshallbeconductedinaccordancewiththeCommission’sarbitrationrulesineffectatthetimeofapplyingforarbitration.Thearbitralawardisfinalandbindinguponbothparties.

　　本协议以中英文书就，如中英文内容存在不一致，以中文为准。

　　ThisagreementismadeinbothChineseandEnglish.Intheeventofanydiscrepancybetweenthetwoversions,theChineseversionshallprevail.

　　9.本协议正本一式两份，双方各执一份，具有相同的法律效力。

　　Thisagreementisintwooriginals,eachpartyholdsone,thetwohavethesamelegaleffect.

　　本协议未尽事宜，经甲乙双方协商另行签订补充协议规定，补充协议与本协议具有同等的法律效力。

　　本意向书不具有约束力所包含之条款有待上述潜在卖方与买方就可能发生之交易本处应指“资产出让”进行磋商。

本意向书不应被视为任何合同、或具有法律约束力的协议而应视作仅为磋商之目的而订立的有关本意向书项下可能达成之合同的条款概述。

签署本意向书之目的是为了能够便于潜在买方就购买价格筹措资金。

双方应对本意向书之内容保密且除了本意向书项下双方及其雇员、律师、会计师和潜在买方之潜在贷款方之外不得向任何其他第三方透露。

本次磋商之交易条款随附其后但是除非且直到潜在的买卖双方签署书面协议这些条款及潜在卖方自身将不具有约束力。

在货到目的口岸45天内如发现货物品质，规格和数量与合同不附，除属保险公司或船方责任外，买方有权凭中国商检出具的检验证书或有关文件向卖方索赔换货或赔款。

　　（13）不可抗力：

由于人力不可抗力的原由发生在制造，装载或运输的过程中导致卖方延期交货或不能交货者，卖方可免除责任,在不可抗力发生后，卖方须立即电告买方及在14天内以空邮方式向买方提供事故发生的证明文件，在上述情况下，卖方仍须负责采取措施尽快发货。

　　ForceMajeure:

　　Thesellersshallnotbeheldresponsibleforthedelayinshipmentornon-deli-veryofthegoodsduetoForceMajeure,whichmightoccurduringtheprocessofmanufacturingorinthecourseofloadingortransit.ThesellersshalladvisetheBuyersimmediatelyoftheoccurrencementionedabovethewithinfourteendaysthereafter.theSellersshallsendbyairmailtotheBuyersfortheiracceptanceacertificateoftheaccident.UndersuchcircumstancestheSellers,however,arestillundertheobligationtotakeallnecessarymeasurestohastenthedeliveryofthegoods.

　　（14）仲裁：

凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁，仲裁将是终局的，双方均受其约束，仲裁费用由败诉方承担。
