　　ChapterIGeneralProvisions

　　Article1ThisLawisenactedinordertoregulatethebehaviorofpartnerships,toprotectthelawfulrightsandinterestsofpartnershipsandthepartnersandcreditorstherein,tomaintainsocialandeconomicorder,andtopromotethedevelopmentofthesocialistmarketeconomy.

　　Article2ForthepurposesofthisLaw,“partnerships”refertobothgeneralpartnershipsandlimitedliabilitypartnerships,bothofwhichareestablishedaccordingtothisLawbynaturalpersons,legalpersonsorotherorganizationswithintheterritoryofChina.

　　Ageneralpartnershipiscomposedofgeneralpartnerswhobearunlimitedjointandseveralliabilityforthedebtsofthepartnership.WheretherearespecialprovisionsinthisLawontheformsofliabilitybornebygeneralpartners,thoseprovisionsshallprevail.

　　Alimitedliabilitypartnershipiscomposedofgeneralpartnersandlimitedpartners,withtheformerbearingunlimitedjointandseveralliabilityforthedebtsofthepartnershipandthelatterbearingliabilityforsuchdebtsrespectivelywithinthelimitsofthecapitalcontributionssubscribedfor.

　　Article3AwhollyState-ownedcompany,aState-ownedenterprise,alistedcompany,orapublicwelfareundertakingorpublicorganizationshallnotbecomeageneralpartner.

　　Article4Apartnershipagreementshallbelawfullyconcluded,inwrittenform,onthebasisofagreementreachedbyallthepartnersthroughconsultation.

　　Article5Theprinciplesoffreewill,equality,fairnessandgoodfaithshallbeobservedinconcludingapartnershipagreementandestablishingapartnership.

　　Article6Thepartnersofapartnershipshall,accordingtothetaxregulationsoftheState,respectivelypaytaxesonthepartnership'sincomesderivedfromproduction,businessoperationandothersources.

　　Article7Apartnershipanditspartnersshallabidebylawsandadministrativeregulations,observesocialandbusinessethicsandshouldersocialresponsibility.

　　Article8Thelawfulpropertyandrightsandinterestsofapartnershipandthepartnersthereinshallbeprotectedbylaw.

　　Article9Fortheapplicationforestablishmentofapartnership,suchdocumentsasawrittenapplicationforregistration,apartnershipagreementandtheidentitypapersofthepartnersshallbesubmittedtotheenterpriseregistrationauthority.

　　Wherewithinthebusinessscopeofapartnershipthereisanyitemforwhichapprovalisrequiredpriortoregistrationofthepartnership,asprovidedforbylawsoradministrativeregulations,suchapprovalshallbeobtainedaccordingtolawandtheapprovaldocumentshallbesubmittedwhenapplyingforregistration.

　　Article10Wheretheapplicationmaterialssubmittedforregistrationbyanapplicantarecompleteandconformtothestatutoryform,theenterpriseregistrationauthorityshall,ifitcan,granttheregistrationonthespotandissueabusinesslicense.

　　Intheabsenceofwhatisprescribedintheprecedingparagraph,theenterpriseregistrationauthorityshall,within20daysfromthedateitreceivesanapplicationforregistration,decidewhetherornottograntregistration.Ifitdecidestograntregistration,itshallissueabusinesslicense;otherwise,itshallgiveawrittenreplyandstatethereasons.

　　Article11Thedateofissuanceofthebusinesslicensetoapartnershipshallbethedateofestablishmentofthepartnership.

　　Beforeapartnershipobtainsthebusinesslicense,nopartnerthereinshallengageinanypartnershipactivitiesinthenameofthepartnership.

　　Article12Whereapartnershipintendstosetupabranch,itshallapplyforregistrationtotheenterpriseregistrationauthorityattheplacewherethebranchistobelocated,inordertoobtainabusinesslicense.

　　Article13Wherearegistereditemofapartnershipneedstobealtered,themanagingpartnershall,within15daysfromthedateadecisiononalterationismadeorthecauseforalterationarises,applytotheenterpriseregistrationauthorityforregistrationofalteration.

　　ChapterIIGeneralPartnerships

　　Section1EstablishmentofaPartnership

　　Article14Forestablishmentofapartnership,thefollowingconditionsshallbemet:

（1）havingtwoormorepartners.Ifapartnerisanaturalperson,heshallhavefullcapacityforcivilconduct;

（2）havingawrittenpartnershipagreement;

　　（3）havingcapitalsubscribedfororactuallycontributedbypartners;

　　（4）havinganameforthepartnershipaswellasproductionandbusinesspremises;and

　　（5）otherconditionsprovidedforbylawsandadministrativeregulations.

　　Article15Thewords“generalpartnership”shallbeclearlyindicatedinthenameofapartnership.

　　Article16Apartnermaymakecapitalcontributionsincashorinkind,orintheformofintellectualpropertyrights,land-userightorotherpropertyrights,orlaborservices.

　　Whereapartnermakescapitalcontributionsinkindorintheformofintellectualpropertyrights,land-userightorotherpropertyrights,thevalueofwhichneedstobeassessed,thevaluemaybedeterminedbyallthepartnersthroughconsultation,orbeassessedbyastatutoryassessmentinstitutionauthorizedbyallthepartners.

　　Whereapartnermakescapitalcontributionsintheformoflaborservices,themethodofassessmentshallbedeterminedbyallthepartnersthroughconsultationandbeclearlystatedinthepartnershipagreement.

　　Article17Apartnershallfulfilltheobligationofcapitalcontributionsincompliancewiththeform,amountandtimelimitforcontribution,asarespecifiedinthepartnershipagreement.

　　Wherecapitalcontributionsaremadewithnon-monetarypropertyand,accordingtotheprovisionsoflawsoradministrativeregulations,formalitiesfortransferofthesaidpropertyneedtobecompleted,suchformalitiesshallbecompletedaccordingtolaw.

　　Article18Inapartnershipagreement,thefollowingitemsshallbestatedclearly:

（1）thenameofthepartnershipandthelocationofitsprincipalpremisesforbusiness;

（2）theobjectivesofpartnershipandthescopeofbusinessofthepartnership;

　　（3）thenamesortitles,anddomicilesofthepartners;

　　（4）theform,amountandtimelimitforcapitalcontributionstobemadebythepartners;

　　（5）thewayofdistributingprofitsandsharinglosses;

　　（6）themanagementofpartnershipaffairs;

　　（7）theenteringintoandretiringfromthepartnership;

　　（8）themethodofdisputesettlement;

　　（9）thedissolutionandliquidationofthepartnership;and

　　（10）theliabilityforbreechofagreement.

　　Article19Apartnershipagreementshallbecomeeffectiveafterallthepartnershavesignedoraffixedtheirsealstoit.Apartnershallenjoyrightsandundertakeliabilitiesinaccordancewiththepartnershipagreement.

　　Amendmentandsupplementtothepartnershipagreementshallbesubjecttoagreementreachedbyallthepartners,unlessotherwisestipulatedinthepartnershipagreement.

　　Foramatterwhichisnotincludedinthepartnershipagreementorwhichisnotclearlystatedintheagreement,itshallbedecidedonbythepartnersthroughconsultation;whereconsultationfails,itshallbehandledaccordingtotheprovisionsofthisLawandofotherlawsoradministrativeregulations.

　　Section2PropertyofaPartnership

　　Article20Allthecapitalcontributionsmadebythepartners,theincomesderived,andotherpropertylawfullyobtained,inthenameofthepartnershipconstitutethepropertyofthepartnership.

　　Article21Priortoliquidationofapartnership,nopartnermayrequesttodividethepropertyofthepartnership,unlessotherwiseprovidedforinthisLaw.

　　Where,priortoliquidationofapartnership,apartnerprivatelytransfersordisposesofthepropertyofthepartnership,thepartnershipshallnotsetitupagainstabonafidethirdparty.

　　Article22Whenapartnerintendstoassignallorpartofhissharesofthepartnershippropertytoanyoneotherthanthepartnerstherein,heshallobtainconsentofalltheotherpartners,unlessotherwisestipulatedinthepartnershipagreement.

　　Whenapartnerintendstoassignallorpartofhissharesofthepartnershippropertytoanotherpartner,heshallnotifytherestofthepartners.
