12TermsofPayment:

OnemonthpriortothetimeofshipmenttheBuyershallopenwiththeBankof_______anirrevocableLetterofCreditinfavouroftheSellerpayableattheissuingbankagainstpresentationofdocumentsasstipulatedunderClause18.A.ofSECTIONII,theTermsofDeliveryofthisContractafterdepartureofthecarryingvessel.ThesaidLetterofCreditshallremaininforcetillthe15thdayaftershipment.

13OtherTerms:

UnlessotherwiseagreedandacceptedbytheBuyer,allothermattersrelatedtothiscontractshallbegovernedbySectionII,theTermsofDeliverywhichshallformanintegralpartofthisContract.AnysupplementarytermsandconditionsthatmaybeattachedtothisContractshallautomaticallyprevailoverthetermsandconditionsofthisContractifsuchsupplementarytermsandconditionscomeinconflictwithtermsandconditionshereinandshallbebindinguponbothparties.

SECTION2

14FOB/FASTERMS

14.1TheshippingspaceforthecontractedgoodsshallbebookedbytheBuyerortheBuyer'sshippingagent__________.

14.2UnderFOBterms,theSellershallundertaketoloadthecontractedgoodsonboardthevesselnominatedbytheBuyeronanydatenotifiedbytheBuyer,withinthetimeofshipmentasstipulatedinClause8ofthisContract.

14.3UnderFASterms,theSellershallundertaketodeliverthecontractedgoodsunderthetackleofthevesselnominatedbytheBuyeronanydatenotifiedbytheBuyer,withinthetimeofshipmentasstipulatedinClause8ofthisContract.

14.410-15dayspriortothedateofshipment,theBuyershallinformtheSellerbycableortelexofthecontractnumber,nameofvessel,ETAofvessel,quantitytobeloadedandthenameofshippingagent,soastoenabletheSellertocontacttheshippingagentdirectandarrangetheshipmentofthegoods.TheSellershalladvisebycableortelexintimetheBuyeroftheresultthereof.Should,forcertainreasons,itbecomenecessaryfortheBuyertoreplacethenamedvesselwithanotherone,orshouldthenamedvesselarriveattheportofshipmentearlierorlaterthanthedateofarrivalaspreviouslynotifiedtotheSeller,theBuyeroritsshippingagentshalladvisetheSellertothiseffectinduetime.TheSellershallalsokeepinclosecontactwiththeagentortheBuyer.

14.5ShouldtheSellerfailtoloadthegoodsonboardortodeliverthegoodsunderthetackleofthevesselbookedbytheBuyer.WithinthetimeasnotifiedbytheBuyer,afteritsarrivalattheportofshipmenttheSellershallbefullyliabletotheBuyerandresponsibleforalllossesandexpensessuchasdeadfreight,demurrage.Consequentiallossesincurreduponand/orsufferedbytheBuyer.

14.6Shouldthevesselbewithdrawnorreplacedordelayedeventuallyorthecargobeshutoutetc.,andtheSellerbenotinformedingoodtimetostopdeliveryofthecargo,thecalculationofthelossinstorageexpensesandinsurancepremiumthussustainedattheloadingportshallbebasedontheloadingdatenotifiedbytheagenttotheSeller（orbasedonthedateofthearrivalofthecargoattheloadingportincasethecargoshouldarrivetherelaterthanthenotifiedloadingdate）.Theabovementionedlosstobecalculatedfromthe16thdayafterexpiryofthefreestoragetimeattheportshouldbebornebytheBuyerwiththeexceptionofForceMajeure.However,theSellershallstillundertaketoloadthecargoimmediatelyuponthecarryingvessel'sarrivalattheloadingportatitsownriskandexpenses.Thepaymentoftheafore-saidexpensesshallbeeffectedagainstpresentationoftheoriginalvouchersaftertheBuyer'sverification.

15C&FTerms

15.1TheSellershallshipthegoodswithinthetimeasstipulatedinclause8ofthisContractbyadirectvesselsailingfromtheportofloadingtoChinaport.TranshipmentonrouteisnotallowedwithouttheBuyer'spriorconsent.ThegoodsshallnotbecarriedbyvesselsflyingflagsofcountriesnotacceptabletothePortAuthoritiesofChina.

15.2ThecarryingvesselcharteredbytheSellershallbeseaworthyandcargoworthy.TheSellershallbeobligedtoactprudentlyandconscientiouslywhenselectingthevesselandthecarrierwhencharteringsuchvessel.TheBuyerisjustifiedinnotacceptingvesselscharteredbytheSellerthatarenotmembersofthePICLUB.

15.3ThecarryingvesselcharteredbytheSellershallsailandarriveattheportofdestinationwithinthenormalandreasonableperiodoftime.Anyunreasonableaviationordelayisnotallowed.

15.4TheageofthecarryingvesselcharteredbytheSellershallnotexceed15years.Incaseherageexceeds15years,theextraaverageinsurancepremiumthusincurredshallbebornebytheSeller.Vesselover20yearsofageshallinnoeventbeacceptabletotheBuyer.

15.5Forcargolotsover1,000M/Teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbytheBuyer,theSellershall,atleast10dayspriortothedateofshipment,informtheBuyerbytelexorcableofthefollowinginformation:

thecontractnumber,thenameofcommodity,quantity,thenameofthecarryingvessel,theage,nationality,andparticularsofthecarryingvessel,theexpecteddateofloading,theexpectedtimeofarrivalattheportofdestination,thename,telexandcableaddressofthecarrier.

15.6Forcargolotsover1,000M/Teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbytheBuyer,theMasterofthecarryingvesselshallnotifytheBuyerrespectively7（seven）daysand24（twenty-four）hourspriortothearrivalofthevesselattheportofdestination,bytelexorcableaboutitsETA（expectedtimeofarrival）,contractnumber,thenameofcommodity,andquantity.

15.7IfgoodsaretobeshippedperlinervesselunderlinerBillofLading,thecarryingvesselmustbeclassifiedasthehighest____________orequivalentclassaspertheInstituteClassificationClauseandshallbesomaintainedthroughoutthedurationoftherelevantBillofLading.

Nevertheless,themaximumageofthevesselshallnotexceed20yearsatthedateofloading.Thesellershallbeartheaverageinsurancepremiumforlinervesselolderthan20years.Undernocircum-stancesshalltheBuyeracceptvesselover25yearsofage.

15.8Forbreakbulkcargoes,ifgoodsareshippedincontainersbytheSellerwithoutpriorconsentoftheBuyer,acompensationofacertainamounttobeagreeduponbybothpartiesshallbepayabletotheBuyerbytheSeller.

15.9TheSellershallmaintainclosecontactwiththecarryingvesselandshallnotifytheBuyerbyfastestmeansofcommunicationaboutanyandallaccidentsthatmayoccurwhilethecarryingvesselisonroute.TheSellershallassumefullresponsibilityandshallcompensatetheBuyerforalllossesincurredforitsfailuretogivetimelyadviceornotificationtotheBuyer.

16CIFTerms:

UnderCIFterms,besidesClause15C&FTermsofthiscontractwhichshallbeappliedtheSellershallberesponsibleforcoveringthecargowithrelevantinsurancewithirrespectivepercentage.

17AdviceofShipment:

Within48hoursimmediatelyaftercompletionofloadingofgoodsonboardthevesseltheSellershalladvisetheBuyerbycableortelexofthecontractnumber,thenameofgoods,weight（net/gross）orquantityloaded,invoicevalue,nameofvessel,portofloading,sailingdateandexpectedtimeofarrival（ETA）attheportofdestination.ShouldtheBuyerbeunabletoarrangeinsuranceintimeowingtotheSeller'sfailuretogivetheabovementionedadviceofshipmentbycableortelex,theSellershallbeheldresponsibleforanyandalldamagesand/orlossesattributabletosuchfailure.

18ShippingDocuments

18.ATheSellershallpresentthefollowingdocumentstothepayingbankfornegotiationofpayment:

18.A.1Fullsetofcleanonboard,"freightprepaid"forC&F/CIFTermsor"Freighttocollect"forFOB/FASTerms,OceanBillsofLading,madeouttoorderandblankendorsed,notifying___________attheportofdestination.

18.A.2Fivecopiesofsignedinvoice,indicatingcontractnumber,L/Cnumber,nameofcommodity,fullspecifications,andshippingmark,signedandissuedbytheBeneficiaryofLetterofCredit.

18.A.3Twocopiesofpackinglistand/orweightmemowithindicationofgrossandnetweightofeachpackageand/ormeasurementsissuedbybeneficiaryofLetterofCredit.

18.A.4Twocopieseachofthecertificatesofqualityandquantityorweightissuedbythemanufacturerand/oraqualifiedindependentsurveyorattheloadingportandmustindicatefullspecificationsofgoodsconformingtostipulationsinLetterofCredit.

18.A.5OneduplicatecopyofthecableortelexadviceofshipmentasstipulatedinClause17oftheTermsofDelivery.

18.A.6AletterattestingthatextracopiesofabovementioneddocumentshavebeendispatchedaccordingtotheContract.

18.A.7AletterattestingthatthenationalityofthecarryingvesselhasbeenapprovedbytheBuyer.

18.A.8Therelevantinsurancepolicycovering,butnotlimitedtoatleast110%oftheinvoicevalueagainstallandwarrisksiftheinsuranceiscoveredbytheBuyer.

18.BAnyoriginaldocument（s）madebyrephotographicsystem,automatedorcomputerizedsystemorcarboncopiesshallnotbeacceptableunlesstheyareclearlymarkedas"ORIGINAL."andcertifiedwithsignaturesinhandwritingbyauthorisedofficersoftheissuingcompanyorcorporation.

18.CThroughBillofLading,StaleBillofLading,ShortFormBillofLading,shallnotbeacceptable.

18.DThirdPartyappointedbytheBeneficiaryasshippershallnotbeacceptableunlesssuchThirdPartyBillofLadingismadeouttotheorderofshipperandendorsedtotheBeneficiaryandblankendorsedbytheBeneficiary.

18.EDocumentsissuedearlierthantheopeningdateofLetterofCreditshallnotbeacceptable.

18.FInthecaseofC&F/CIFshipments,CharterPartyBillofLadingshallnotbeacceptableunlessBeneficiaryprovidesonecopyeachoftheCharterParty,Master'sofMate'sreceipt,shippingorderandcargoorstowageplanand/orotherdocumentscalledforintheLetterofCreditbytheBuyer.

18.GThesellershalldispatch,incareofthecarryingvessel,twocopieseachoftheduplicatesofBillofLading.InvoiceandPackingListtotheBuyer'sreceivingagent,_______________attheportof
