4、yoneachpackage.12TermsofPayment:OnemonthpriortothetimeofshipmenttheBuyershallopenwiththeBankof_anirrevocableLetterofCreditinfavouroftheSellerpayableattheissuingbankagainstpresentationofdocumentsasstipulatedunderClause18.A.ofSECTIONII,theTermsofDeliveryofthisContractafterdepartureofthecarryingvessel.

5、ThesaidLetterofCreditshallremaininforcetillthe15thdayaftershipment.13OtherTerms:UnlessotherwiseagreedandacceptedbytheBuyer,allothermattersrelatedtothiscontractshallbegovernedbySectionII,theTermsofDeliverywhichshallformanintegralpartofthisContract.Anysupplementarytermsandconditionsthatmaybeattachedto

6、thisContractshallautomaticallyprevailoverthetermsandconditionsofthisContractifsuchsupplementarytermsandconditionscomeinconflictwithtermsandconditionshereinandshallbebindinguponbothparties.FORTHESELLERFORTHEBUYERSECTION214FOB/FASTERMS14.1TheshippingspaceforthecontractedgoodsshallbebookedbytheBuyerort

7、heBuyersshippingagent_.14.2UnderFOBterms,theSellershallundertaketoloadthecontractedgoodsonboardthevesselnominatedbytheBuyeronanydatenotifiedbytheBuyer,withinthetimeofshipmentasstipulatedinClause8ofthisContract.14.3UnderFASterms,theSellershallundertaketodeliverthecontractedgoodsunderthetackleoftheves

8、selnominatedbytheBuyeronanydatenotifiedbytheBuyer,withinthetimeofshipmentasstipulatedinClause8ofthisContract.14.410-15dayspriortothedateofshipment,theBuyershallinformtheSellerbycableortelexofthecontractnumber,nameofvessel,ETAofvessel,quantitytobeloadedandthenameofshippingagent,soastoenabletheSellert

9、ocontacttheshippingagentdirectandarrangetheshipmentofthegoods.TheSellershalladvisebycableortelexintimetheBuyeroftheresultthereof.Should,forcertainreasons,itbecomenecessaryfortheBuyertoreplacethenamedvesselwithanotherone,orshouldthenamedvesselarriveattheportofshipmentearlierorlaterthanthedateofarriva

10、laspreviouslynotifiedtotheSeller,theBuyeroritsshippingagentshalladvisetheSellertothiseffectinduetime.TheSellershallalsokeepinclosecontactwiththeagentortheBuyer.14.5ShouldtheSellerfailtoloadthegoodsonboardortodeliverthegoodsunderthetackleofthevesselbookedbytheBuyer.WithinthetimeasnotifiedbytheBuyer,a

11、fteritsarrivalattheportofshipmenttheSellershallbefullyliabletotheBuyerandresponsibleforalllossesandexpensessuchasdeadfreight,demurrage.Consequentiallossesincurreduponand/orsufferedbytheBuyer.14.6Shouldthevesselbewithdrawnorreplacedordelayedeventuallyorthecargobeshutoutetc.,andtheSellerbenotinformedi

12、ngoodtimetostopdeliveryofthecargo,thecalculationofthelossinstorageexpensesandinsurancepremiumthussustainedattheloadingportshallbebasedontheloadingdatenotifiedbytheagenttotheSeller(orbasedonthedateofthearrivalofthecargoattheloadingportincasethecargoshouldarrivetherelaterthanthenotifiedloadingdate).Th

13、eabovementionedlosstobecalculatedfromthe16thdayafterexpiryofthefreestoragetimeattheportshouldbebornebytheBuyerwiththeexceptionofForceMajeure.However,theSellershallstillundertaketoloadthecargoimmediatelyuponthecarryingvesselsarrivalattheloadingportatitsownriskandexpenses.Thepaymentoftheafore-saidexpe

14、nsesshallbeeffectedagainstpresentationoftheoriginalvouchersaftertheBuyersverification.15C&FTerms15.1TheSellershallshipthegoodswithinthetimeasstipulatedinclause8ofthisContractbyadirectvesselsailingfromtheportofloadingtoChinaport.TranshipmentonrouteisnotallowedwithouttheBuyerspriorconsent.Thegoods

15、shallnotbecarriedbyvesselsflyingflagsofcountriesnotacceptabletothePortAuthoritiesofChina.15.2ThecarryingvesselcharteredbytheSellershallbeseaworthyandcargoworthy.TheSellershallbeobligedtoactprudentlyandconscientiouslywhenselectingthevesselandthecarrierwhencharteringsuchvessel.TheBuyerisjustifiedinnot

16、acceptingvesselscharteredbytheSellerthatarenotmembersofthePICLUB.15.3ThecarryingvesselcharteredbytheSellershallsailandarriveattheportofdestinationwithinthenormalandreasonableperiodoftime.Anyunreasonableaviationordelayisnotallowed.15.4TheageofthecarryingvesselcharteredbytheSellershallnotexceed15years

17、.Incaseherageexceeds15years,theextraaverageinsurancepremiumthusincurredshallbebornebytheSeller.Vesselover20yearsofageshallinnoeventbeacceptabletotheBuyer.15.5Forcargolotsover1,000M/Teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbytheBuyer,theSellershall,atleast10dayspriortothedateofshipment

18、,informtheBuyerbytelexorcableofthefollowinginformation:thecontractnumber,thenameofcommodity,quantity,thenameofthecarryingvessel,theage,nationality,andparticularsofthecarryingvessel,theexpecteddateofloading,theexpectedtimeofarrivalattheportofdestination,thename,telexandcableaddressofthecarrier.15.6Fo

19、rcargolotsover1,000M/Teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbytheBuyer,theMasterofthecarryingvesselshallnotifytheBuyerrespectively7(seven)daysand24(twenty-four)hourspriortothearrivalofthevesselattheportofdestination,bytelexorcableaboutitsETA(expectedtimeofarrival),contractnumber,the

20、nameofcommodity,andquantity.15.7IfgoodsaretobeshippedperlinervesselunderlinerBillofLading,thecarryingvesselmustbeclassifiedasthehighest_orequivalentclassaspertheInstituteClassificationClauseandshallbesomaintainedthroughoutthedurationoftherelevantBillofLading.Nevertheless,themaximumageofthevesselshal

21、lnotexceed20yearsatthedateofloading.Thesellershallbeartheaverageinsurancepremiumforlinervesselolderthan20years.Undernocircum-stancesshalltheBuyeracceptvesselover25yearsofage.15.8Forbreakbulkcargoes,ifgoodsareshippedincontainersbytheSellerwithoutpriorconsentoftheBuyer,acompensationofacertainamounttob

22、eagreeduponbybothpartiesshallbepayabletotheBuyerbytheSeller.15.9TheSellershallmaintainclosecontactwiththecarryingvesselandshallnotifytheBuyerbyfastestmeansofcommunicationaboutanyandallaccidentsthatmayoccurwhilethecarryingvesselisonroute.TheSellershallassumefullresponsibilityandshallcompensatetheBuye

23、rforalllossesincurredforitsfailuretogivetimelyadviceornotificationtotheBuyer.16CIFTerms:UnderCIFterms,besidesClause15C&FTermsofthiscontractwhichshallbeappliedtheSellershallberesponsibleforcoveringthecargowithrelevantinsurancewithirrespectivepercentage.17AdviceofShipment:Within48hoursimmediatelya

24、ftercompletionofloadingofgoodsonboardthevesseltheSellershalladvisetheBuyerbycableortelexofthecontractnumber,thenameofgoods,weight(net/gross)orquantityloaded,invoicevalue,nameofvessel,portofloading,sailingdateandexpectedtimeofarrival(ETA)attheportofdestination.ShouldtheBuyerbeunabletoarrangeinsurance

25、intimeowingtotheSellersfailuretogivetheabovementionedadviceofshipmentbycableortelex,theSellershallbeheldresponsibleforanyandalldamagesand/orlossesattributabletosuchfailure.18ShippingDocuments18.ATheSellershallpresentthefollowingdocumentstothepayingbankfornegotiationofpayment:18.A.1Fullsetofcleanonbo

26、ard,"freightprepaid"forC&F/CIFTermsor"Freighttocollect"forFOB/FASTerms,OceanBillsofLading,madeouttoorderandblankendorsed,notifying_attheportofdestination.18.A.2Fivecopiesofsignedinvoice,indicatingcontractnumber,L/Cnumber,nameofcommodity,fullspecifications,andshippingmark,sign

27、edandissuedbytheBeneficiaryofLetterofCredit.18.A.3Twocopiesofpackinglistand/orweightmemowithindicationofgrossandnetweightofeachpackageand/ormeasurementsissuedbybeneficiaryofLetterofCredit.18.A.4Twocopieseachofthecertificatesofqualityandquantityorweightissuedbythemanufacturerand/oraqualifiedindepende

29、ontract.18.A.7AletterattestingthatthenationalityofthecarryingvesselhasbeenapprovedbytheBuyer.18.A.8Therelevantinsurancepolicycovering,butnotlimitedtoatleast110%oftheinvoicevalueagainstallandwarrisksiftheinsuranceiscoveredbytheBuyer.18.BAnyoriginaldocument(s)madebyrephotographicsystem,automatedorcomp

30、uterizedsystemorcarboncopiesshallnotbeacceptableunlesstheyareclearlymarkedas"ORIGINAL."andcertifiedwithsignaturesinhandwritingbyauthorisedofficersoftheissuingcompanyorcorporation.18.CThroughBillofLading,StaleBillofLading,ShortFormBillofLading,shallnotbeacceptable.18.DThirdPartyappointedbyt

31、heBeneficiaryasshippershallnotbeacceptableunlesssuchThirdPartyBillofLadingismadeouttotheorderofshipperandendorsedtotheBeneficiaryandblankendorsedbytheBeneficiary.18.EDocumentsissuedearlierthantheopeningdateofLetterofCreditshallnotbeacceptable.18.FInthecaseofC&F/CIFshipments,CharterPartyBillofLad

32、ingshallnotbeacceptableunlessBeneficiaryprovidesonecopyeachoftheCharterParty,MastersofMatesreceipt,shippingorderandcargoorstowageplanand/orotherdocumentscalledforintheLetterofCreditbytheBuyer.18.GThesellershalldispatch,incareofthecarryingvessel,twocopieseachoftheduplicatesofBillofLading.InvoiceandPackingListtotheBuyersreceivingagent,_attheportof
