本单元结合国际经贸业务中的典型工作流程、工作场景，概述国际贸易中建立业务联系之后的一个重要环节——“背景调查”：
●背景调查综述：
介绍背景调查在国际贸易业务中的重要地位，以及调查所需要涉及的主要昂面和方法（ReadingA），为进行实际调查工作提供方法指导；
●布置调查任务：
在建立业务联系之后，公司领导委托下属对潜在合作方进行调查（Listening&Speaking&Writing），学习如何以书面和口头形式布置工作任务；
●搜集相关信息：
下属通过各种方式了解前爱合作方信息，并在其过程中与相关人员进行讨论（Listening&Speaking），以熟悉背景调查报告所设计的主要内容和方法；
●形成报告：
提供报告的样本（ReadingB&Writing），熟悉报告的各项内容。

BackgroundInformation
Abusinessbackgroundcheckisaprocessthatallowspotentialcustomers,investors,andpartnerstobecomeacquaintedwithpertinentinformationaboutthehistoryofthecompany.Atthesametime,runningabackgroundcheckonacorporationwillrevealorverifydataaboutthecurrentstatusofthebusiness.Thisdataincludesfinancialdatathatwouldbeimportanttoknowbeforeinvestinginthecompanyorenteringintoapartnershipwiththecorporation.
Conductingabusinessbackgroundcheckinvolveslookingintoanumberofdifferenttypesofpublicrecordsinordertogetatruepictureofthehistoryandpresentstatusofthecompany.

1.Whydocompaniesneedtoconductbusinessbackgroundchecks?
Justasyoudon’twanttomakefriendswithpeoplewhomightfoolyou,youwanttoenterintobusinesswithpartnerswhomyoucanrelyon.Businessworldismorecomplicatedthanpersonallife.Therearenewsandstorieswidelyspreadthathowacompanyhasbeenframedbyitspartnersandtheconsequencecanbefatal.Asaresult,onemustbecarefulaboutwhomtocooperatewithandbesurethatthecompanyisreliable.Themostcommonwaytodosoistoconductabusinessbackgroundcheck.
2.Whatdoyouthinkisthemostimportantpartofabusinessbackgroundcheck?
Well,thatisnotaneasyquestion.IfIhavetochoosewhichpartisthemostimportant,Iwouldliketochoose“criminalrecords”.Nobodylikestodobusinesswithacompanythathasbeensuedmanytimesorhasbeeninvolvedinbusinesscriminals.Itisjusttoodangerous.Dealingwithasmallcompanyorcompanywithillreference,onemightrunintotheriskofpoorgoodsorservicequality,whileworkingwithabigcompanywithcriminalrecords,onemightbedraggedintolawsuitsorputintoprison.

Therearemoreandmorenewsstoriesaboutcompaniesthatdefraudinvestorsofmillionsofdollars.Therefore,itisimportanttobecertainthatthecompanyyouareintendingtoestablisharelationwithisreputableandtheusualpracticetodosoistorunabusinessbackgroundcheck.Inordertodothis,thefollowingstraightforwardstepsarerecommended:

因此，确定合作伙伴有好的信誉尤为重要，而进行商业背景调查是最常用的一种方法。
下面是进行商业背景调查的基本步骤：
（1）FindingBasicInformationofaCompany
Alwaysstartatthelocallevel,especiallyforasmallcompany,asthismaybetheonlysourceofinformationavailable.Allcompaniesmustconformtolocallawsorcodessincetheyareessentiallyrootedinacommunity.Cityrecordsareagoodplacetostart.Theywillprovidetheinformationabouttheoriginofthebusiness,taxevasion,judgmentsfiledoractionsagainstthebusiness.Theinformationisnormallypublicandavailabletoallwhoask.
（1）调查公司基本信息
调查公司的基本信息通常应从公司所在地区开始，特别是对于小公司来说，因为这里可能是信息的唯一来源。
所有的公司都必须遵守当地的法律法规，因为他们是植根于此的。
调查可以从城市记录入手，它们提供有关公司的起源、逃税情况、起诉判决以及违法行为等信息。
这些信息正常都向查询者公开。
（2）CheckingaCompany’sReputation
Referencescanbeexcellentsourcesofconfirmationofbothacompany’sreputationanditsabilitytoliveuptoitscommitments.Beforeyoudobusinesswithacompany,itisimperativethatreferencesbecontactedbyeithertelephoneoremail.Generallyformerclientswillprovideawell-roundedpictureofthecompanyinquestionanditspersonnel.Anothervaluablereferenceisthecompany’svendorlist.Anybodywhoprovideseithergoodsorservicestoacompanycanattesttotheircreditworthiness.
（2）调查公司信誉
第三方证明是肯定一个公司声誉及其履约能力的很好的资源。
在与一个公司做生意之前，必须通过电话或电子邮件的方式联系第三方证明人。
一般来说，以前的客户会提供被调查公司及其人员方面比较全面的情况。
另外一个很有价值的参考是被调查公司的供货商。
任何为被调查公司提供货物或服务的单位都可以证明该公司的信誉情况。
（3）ExploringtheLitigationofaCompany

Suchinformationissignificantasonedoesnotwanttodobusinesswithacompanythathasbeensuedrepeatedly.Whensearchinganycriminaldatabase,remembertoconsiderallvariationsofacompany’sname.
（3）调查公司诉讼情况
公司的诉讼情况，不论是过去还是现在，对于理解公司的业务操守都很重要。
该公司有没有被诉讼过？
该公司有没有任何还未落实的判决或抵押？
这些信息非常重要，因为没有人愿意与官司不断的公司打交道。
在检索犯罪记录数据库的时候，记住要注意公司所使用的不同名称。

（4）SearchingfortheAssetsofaCompanyandItsPrincipals
Thethreemostbasicassetsthatcanbediscoveredarerealestate,automobilesorothersignificantpropertysuchasaboatorothertangibles.
（4）调查公司及其负责人的财产状况
三种最基本的资产包括不动产、汽车、其他财产如船舶或其他有形资产。
（5）CheckingaCompany’sCreditRating
Itisimperativetoknowacompany’screditratingbeforeenteringintoabusinessrelation.Knowingwhatpossibleliabilitiesacompanyisfacingandifitwillfulfillitscommitmentisasignificantfactor.
Company’screditreportsareavailableforanyonetoinspect.Manylargecorporationspublishannualreportsthatareavailablethroughtheirpublicinformationoffice.
（5）调查公司的信用等级
在进行合作之前，必须了解公司的信用等级。
了解合作伙伴可能所面临的债务状况和其履约能力非常关键。
公司信用报告任何人都可以查看。
许多大公司都会公布公司年度报告，这些信息由公共信息办公室发布。
