CONFIDENTIALITYAGREEMENT

ThisConfidentialityAgreement（hereinafterreferredtoas“theAgreement”）ismadeandiseffectiveasfrom,（DD,MM,YY）

Between

WuhanFiberHomeInternationalTechnologiesCo.,Ltd.,acompanyestablishedpursuanttothelawsofPeople’sRepublicofChina（hereinafterreferredtoas“PRC”）,withitsregisteredaddressat88YoukeyuanRoad,HongshanDistrict,Wuhan,HubeiProvince,PRC,furtherhereinaftertobereferredtoasthePartyA;

And

acompanyestablishedpursuanttothelawsof,withitsregisteredaddressat,furtherhereinaftertobereferredtoasthePartyB.

Theterm“bothParties”shallcollectivelymeanPartyAandPartyB.

RECITALS

A.BothpartiesintendtodiscusscertainmattersregardingpotentialbusinesstransactionsinTelecommunication’sAreas.

B.Inconnectionwiththesediscussions,certainconfidentialandproprietaryinformationregardingeachparty（suchpartyshallbestipulatedas“DisclosingParty”）maybedisclosedtotheotherparty,itsemployees,affiliates,agents,contractors,andsubcontractors（suchpartyshallbestipulatedas“ReceivingParty”）.

C.Thepartiesdesiretoestablishthetermsunderwhicheachwilldisclosecertainconfidentialandproprietaryinformation.

AGREEMENT

Bothparties,therefore,agreeasfollows:

1.ConfidentialInformation.ConfidentialInformationshallmean:

a.Anydataorinformationthatiscompetitivelysensitivematerial,andnotgenerallyknowntothepublic,including,butnotlimitedto,products,planninginformation,marketingstrategies,plans,finance,operations,customerrelationships,customerprofiles,salesestimates,businessplans,andinternalperformanceresultsrelatingtothepast,presentorfuturebusinessactivitiesofeitherpartyoranyoftheirsubsidiariesandaffiliatedcompaniesandthecustomers,clients,andsuppliersofanyoftheforegoing;

b.Anyscientificortechnicalinformation,design,process,procedure,formula,orimprovementthatiscommerciallyvaluableandsecretinthesensethatitsconfidentialityaffordseitherpartyacompetitiveadvantageoveritscompetitors;and

c.Allconfidentialorproprietaryconcepts,documentation,reports,dataspecification,computersoftware,sourcecode,objectcode,flowcharts,databases,inventions,information,know-how,show-how,andtradesecrets,whetherornotpatentableorcopyrightable.

ConfidentialInformationincludes,butnotlimitedto,allusermanuals,documents,inventions,substances,engineeringandlaboratorynotebooks,drawings,diagrams,computerprogramsanddata,specifications,billsofmaterial,equipment,prototypesandmodels,andanyothertangiblemanifestation（includingdataincomputerorotherdigitalformat）oftheforegoingwhichnowexistorcomeintothecontrolorpossessionofeitheroftheparties.

2.ConfidentialityObligations.ExceptasexpresslyauthorizedbypriorwrittenconsentoftheDisclosingParty,theReceivingPartyshall:

a.LimitaccesstoanyConfidentialInformationreceivedbyittopersonswhohaveaneed-to-knowinconnectionwiththeevaluationofpotentialbusinesstransactions,andonlyforuseinconnectiontherewith;and

b.AdviseanypersonshavingaccesstotheConfidentialInformationoftheproprietarynaturethereofandoftheobligationssetforthinthisConfidentialityAgreement;and

c.TakeappropriateactionbyinstructionoragreementwithanypersonshavingaccesstotheConfidentialInformationtofulfilltheirobligationsunderthisConfidentialityAgreement;and

d.SafeguardallConfidentialInformationreceivedbyitusingareasonabledegreeofcare,butnotlessthanthatdegreeofcareusedbyitinsafeguardingitsownsimilarinformationormaterial;and

e.UseallConfidentialInformationreceivedbyitsolelyforpurposesofevaluatingthepotentialbusinesstransactionsandfornootherpurposewhatsoever;and

f.Notdisclose,divulge,communicateand/oridentifyanyConfidentialInformationreceivedbyittoanythirdparties;and

g.Notdisclosetheexistenceofthediscussionstoanythirdparty;and

h.NotcopyorreproduceanyConfidentialInformationordistributeanyConfidentialInformationtoanythirdparties;and

i.BeresponsibleforanybreachofthetermshereunderbytheReceivingPartyoranypersonwhoreceivesanyConfidentialInformationfromtheReceivingParty.

UpontherequestoftheDisclosingParty,theReceivingPartyshall（i）surrendertotheDisclosingPartyallmemoranda,notes,records,drawings,manuals,andotherdocumentsormaterials（andallcopiesofsame）pertainingtoorincludingtheConfidentialInformationoftheDisclosingParty,and（ii）destroyallmemoranda,notes,records,drawings,manuals,records,andotherdocumentsormaterials（andallcopiesofsameincluding“copies”thathavebeenconvertedtocomputerizedmediainth
