•Avoidsituationswhereyourpersonalinterestsconflict,orappeartoconflict,withthose

•Youmayownupto1%ofthestockinacompetitor,customerorsupplierwithoutseekingprior
approvalfromyourPrincipalManagersolongasthestockisinapubliccompany
andyoudonothavediscretionaryauthorityindealingwiththatcompany.Ifyouwant
topurchasemorethan1%ofthestockinacustomer,competitororsupplier,orthecompany
isnonpublicoryouhavediscretionaryauthorityindealingwiththecompany,thenthestock
maybepurchasedonlywithpriorapprovalofyourPrincipalManager.
•Directorsmayownthestockofsuppliers,customersandcompetitors.However,adirectormust
removehimselforherselffromanyBoardactivitythatdirectlyimpactstherelationshipbetweenthe
companyandanysupplier,customerorcompetitorinwhichthedirectorhasafinancialinterest.
•Ifyouhaveafinancialinterestinatransactionbetweenthecompanyandathirdparty—even
anindirectinterestthrough,forexample,afamilymember—thatinterestmustbeapproved

committeethattheproposedtransactionisfairtothecompany.
•Ifyou’dliketoserveasanofficerordirectororconsultanttoanoutsidebusinessonyourown
time,youmustreceivepriorapprovalinwritingfromyourPrincipalManager.IfyourPrincipal
Managerchanges,orthecircumstancesoftheoutsidebusinesschangesubstantially,youmust
seekre-approval.(Employeesarepermitted,however,toserveoncharityboardsorinfamily
businessesthathavenorelationshiptothecompany.)Thisruledoesnotapplytonon-employee
directorsoftheCompany.
•Anypotentialconflictofinterestthatinvolvesanofficerofthecompany,ofadivision
orofasubsidiarymustbeapprovedinadvancebytheGeneralCounselandChiefFinancial
Officer.Anypotentialconflictofinterestthatinvolvesadirectororexecutiveofficerofthe
companymustbeapprovedbytheBoardofDirectorsoritsdesignatedcommittee.
