WHEREAS,AAAandBBBenteredintothatcertainMasterDistributorAgreementdated_________（M,D,Y）（Thisagreementanditsincidentalandrelatedagreementsshallbereferredtocollectivelyhereinasthe'

MDA'

WHEREAS,CCC,AAA,andBBBterminatedtheirbusinessrelationshipsinvolvingCCCcomputersoftwareandotherproducts（'

CCCProducts'

）arisingoutoftheJVAandMDAasof_________（M,D,Y）;

and

WHEREAS,anumberofunresolvedissuesremainfromtheterminationofsaidJVAandMDAandthepartiesdesiretoresolvesaidissuesuponthetermsandconditionsdescribedbelow.

NOW,THEREFORE,ITISAGREEDASFOLLOWS:

Section1.Confirmation.CCCterminatedsalesofCCCProductsthroughdistributorsofAAAorthroughotherdistributorsin_________（PLACENAME）asof_________（M,D,Y）.Thepartieshavediscussed,confirmed,andmutuallyagreeuponthefollowingfacts:

1.AsaresultofBBBconveyingitssharesinAAAtoCCCon_________（M,D,Y）,theJVAwasamicablyterminated.

2.TheMDAwasamicablyterminatedasof_________（M,D,Y）.

3.BBBhasintroducedandwillcontinuetointroduceanycustomersithasdevelopedpursuanttoitsactivitiesundertheMDAtoAAAoritsdesigneeandwillassistintheorderlycontinuationofalltransactionsdealingwithCCCProducts.However,AAAanditsdesigneeshallnotberesponsiblefororassumeanyofBBB'

sliabilities（notonlymonetaryliabilities,butserviceliabilities,andanyandallliabilitiesofanytypeandnature）toanyofBBB'

scustomersevenifAAAoritsdesigneereceivedanintroductiontothecustomerfromBBBandenteredintoabusinessrelationshipwithsaidcustomer.

4.PursuanttothetermsandconditionsofthisAgreement,AAAagreestopaytoBBBasumcertaintosettleanyclaimsarisingoutoftheterminationoftheJVAandMDA,ifany,andforBBB'

scustomerlist,goodwill,etc.（hereinafterreferredtocollectivelyas'

SettlementProceeds'

）.TheparticularbreakdownofhowtheSettlementProceedswillbeallocatedamongthevariousmatterswillbedeterminedupondiscussionsbetweenthepartiesheretoasprovidedinSection4below.UponAAA'

spaymentandBBB'

sreceiptoftheSettlementProceeds,eachparty,representingallofeachparty'

srespectivesubsidiaries,affiliatedcompanies,directors,officers,andemployeesthereof,releasesandforeverdischargestheotherparty,representingallofsaidparty'

ssubsidiaries,affiliatedcompanies,directors,officers,andemployeesthereof,forallclaimsarisingoutoforresultingfromtheterminationoftheJVAandMDA.

5.TodateBBBhaspurchasedfromCCCandretainsinitscurrentinventoryacertainquantityofaCCCProductcalleda'

ChipBundle'

.ThepartiesagreethatBBBshallbeentitledtocontinuetosellitscurrentinventoryofsaidChipBundlesin_________（PLACENAME）.BBBagreesnottomakeadditionalnewpurchasesofsaidChipBundlesandAAAagreesnottopurchaseandwillnotallowCCCtopurchaseanyChipBundlesfromBBB.

6.Thepartiesheretoagreethatasbetweenthemtherearenoclaims,debts,obligations,orliabilitiesarisingoutoftheterminationoftheJVAandMDAotherthanthosespecificallyidentifiedinthisAgreement.

Section2.CustomerIntroductionAssistance.

1.BBBhasdisclosedandshalldisclosetoAAAoritsdesigneethefollowinginformationimmediatelyafterthepartiesexecutethisAgreement:

a.AlistofallcustomerswithwhomBBBhasorhadbusinesstransactionsundertheMDA;

b.ThecontentsofanycontractsormaintenanceagreementsbetweenBBBandanycustomersidentifiedintheprecedingclause;

and

c.AlistofpotentialcustomersdiscoveredduringBBB'

sbusinessactivitiesduringtheperiodfrom_________（M,D,Y）to_________（M,D,Y）withwhomBBBbelievesthatAAAoritsdesigneehaveachancetoconcludeanagreementandareportonthestatusofallnegotiationsinprogress.
