ThisCONTRACTisenteredintoandiseffectivethis________dayof__________,2005,本合同于2005年___月___日由以下双方签订并生效。

BP（CNOOC）acorporationincorporatedunderthelawsofthePeople’sRepublicofChina,havingitsregisteredofficeat___________,（hereinafterreferredtoas“Owner”,whichexpressionincludesitssuccessorsintitleandassigns）

BP（该公司依据中华人民共和国法律设立，注册地址为___________，以下简称为“业主”，包括其所有权继承人和受让人）

乙方：

根据法律设立的公司（以下简称为“项目管理承包商”，包括其所有权继承人和所许可的受让人）[根据法律设立的公司和根据中华人民共和国法律设立的公司共同组成的联合体（以下合称为“项目管理承包商”，包括其其权利继承人和允许受让人）]

OwnerandPMCContractorarereferredtohereinindividuallyas“Party”orjointlyas“Parties”.业主和项目管理承包商在本文单独称为“一方”或者合称为“各方”。

WHEREAS,OwnerintendstobuildtheRefineryProject.Thenameplatecrudeprocessingcapacityisfixedat12millionton/yandtheProjectconsistsofthefollowingprocessunits;

crudedistillation12,000kton/ycapacity,catalyticreformingandaromaticsextraction2,000kton/y,diesel/Av.Gashydrodearomatization3,500kton/y,hydrocracking4,000kton/y,delayedcoking4,200kton/y,gasoline/dieselhydrogenation1,800kton/y,catalyticcracking1,500kton/y,gasfractionation250kton/y,alkylation160kton/y,sourwaterstripping,fuelgas,desulfurization/sulfurplant,hydrogenproductionplant,fluidizedbedcombustionofcokeforsteamandpowergeneration,MTBEproduction,andassociatedutilitiesandoffsitefacilities.Theindividualprocessunitcapacitiesandconfigurationareyettobeconfirmed.有鉴于业主拟建设炼油项目。

炼油厂额定原油加工能力定为1200万吨/年，该项目包括一套年产1200万吨原油蒸馏装置，一套年产200万吨催化重整和芳烃抽提装置，一套年产350万吨柴油/航空燃料油加氢脱芳烃装置，一套年产400万吨加氢裂化装置，一套年产420万吨延迟焦化装置，一套年产180万吨汽油/柴油加氢装置，一套年产150万吨催化裂化装置、一套年产25万吨气体分馏装置，一套年产16万吨烷基化装置，一套含硫污水气提、燃料气、脱硫/硫磺装置，一套制氢装置，一套通过硫化床燃烧焦油来生产蒸汽和发电的装置，一套甲基叔丁基醚生产装置，以及相关的公用工程和厂外设施。

各工艺装置生产能力和装置构型仍有待确认。

OwnerthereforedesiresthatPMCContractorrendercertainprojectmanagementandrelatedservicesrequiredtoensurethesmooth,coordinated,expeditiousandstateoftheartexecutionoftheProject;

and业主希望项目管理承包商提供其所需的部分项目管理服务和相关服务，确保顺利、有序、快速地且以当前科技水平实施本项目；

WHEREAS,PMCContractorrepresentsthatitisableandwillingtorendertoOwnersuchservicesduringallphasesoftheProjectimplementation;

鉴于项目管理承包商表明其有能力而且愿意为业主在项目实施的所有阶段提供上述服务；

NOWTHEREFORE,inconsiderationofthemutualcovenantsandobligationsoftheParties,itisherebyagreedasfollows:

UnlessthetermsorcontextofthisContractprovideotherwise,thefollowingtermsshallhavethemeaningssetoutbelow:

1.1“Affiliate”means,withrespecttoanyperson,anyotherpersonthat,aloneortogetherwithanyotherperson,directlyorindirectlythroughoneormoreintermediaries,controls,oriscontrolledbyorisundercommoncontrolwithsuchperson.Forthepurposeofthisdefinition,“control”（includingtheterms“controlling”,“controlledby”and“undercommoncontrolwith”）asusedwithrespecttoanypersonshallmeanthepossession,directlyorindirectly,ofthepowertodirectorcausethedirectionofthemanagementorpoliciesofsuchperson,whetherthroughtheownershipofvotingsecurities,bycontract,agencyorotherwise.“关联方”系指就任何人而言，单独或者
