The nameplate crude processing capacity is fixed at 12 million ton/y and the Project consists of the following process units; crude dist

8、illation 12,000 k ton/y capacity, catalytic reforming and aromatics extraction 2,000 k ton/y, diesel / Av. Gas hydrodearomatization 3,500 k ton/y, hydrocracking 4,000 k ton/y, delayed coking 4,200 k ton/y, gasoline/diesel hydrogenation 1,800 k ton/y, catalytic cracking 1,500 k ton/y, gas fractionati

9、on 250 k ton/y, alkylation 160 k ton/y, sour water stripping, fuel gas, desulfurization / sulfur plant, hydrogen production plant, fluidized bed combustion of coke for steam and power generation, MTBE production, and associated utilities and offsite facilities. The individual process unit capacities

11、基醚生产装置，以及相关的公用工程和厂外设施。各工艺装置生产能力和装置构型仍有待确认。Owner therefore desires that PMC Contractor render certain project management and related services required to ensure the smooth, coordinated, expeditious and state of the art execution of the Project; and业主希望项目管理承包商提供其所需的部分项目管理服务和相关服务，确保顺利、有序、快速地且以当前科技水平实施本

12、项目；并且WHEREAS, PMC Contractor represents that it is able and willing to render to Owner such services during all phases of the Project implementation; 鉴于项目管理承包商表明其有能力而且愿意为业主在项目实施的所有阶段提供上述服务；NOW THEREFORE, in consideration of the mutual covenants and obligations of the Parties, it is hereby agreed as

14、 alone or together with any other person, directly or indirectly through one or more intermediaries, controls, or is controlled by or is under common control with such person. For the purpose of this definition, “control” （including the terms “controlling”, “controlled by” and “under common control with”） as used with respect to any person shall mean the possession, directly or indirectly, of the power to direct or cause the direction of the management or policies of such person, whether through the ownership of voting securities, by contract, agency or otherwise. “关联方”系指就任何人而言，单独或者
