FLIGHTTRAININGAGREEMENT

THISFLIGHTTRAININGAGREEMENT（the“Agreement”）,isenteredintoandeffectiveonAugust30,2020（“EffectiveDate”）,byandbetween**FlightTraining,Inc.（“EFT”）,aCaliforniaCorporationhavingitsprincipalplaceofbusinessatCA,USA,and##AirlinesCo.,,Ltd.（“##”）,anairlinecompanyorganizedunderthelawsofthePeople’sRepublicofChina（“PRC”）,havingaplaceofbusinessat,,Postcode:

本飞行训练协议（简称“协议”）于2020年8月30日（“生效日期”）生效，是由位于加利福尼亚州的**飞行训练股份有限公司（以下简称“EFT”），其主要运营地坐落于，与##航空之间签署的协议。

##航空是依照中华人民共和国（简称“中国”）法律而成立的航空公司，位于，邮编：

RECITALS

WHEREAS,EFTisaleaderininternationalaviationeducationandtrainingwiththeFederalAviationAdministration（“FAA”）14CFRPart141andisaCivilAviationAdministrationofChina（“CAAC”）approvedflighttrainingschoolinNorthern,USA,whichoffersabinitiotrainingandotherpilottrainingprogramstocommercialairlinecontractedcustomersworldwide;and

EFT是国际航空教育和培训的领导者，是经美国航空联邦管理局（简称“FAA”）联邦法规14篇141部和中国民用航空局（简称“CAAC”）认证的位于美国北部的航校。

它不仅可以提供飞行员的初始培训也可以为商业航空公司提供其他的培训项目；

WHEREAS,EFThasdesignedtheEFTProfessionalPilotCertificationCourse,whichstrivestoprepareflightstudents（CadetPilots）selectedby##withthejudgmentandaeronauticalpilotingskillsnecessarytosuccessfullycomplete##firstofficertrainingandultimatelyperformfirstofficerdutiesinthecommercialairline-operatingenvironment;and

EFT已经设置了专业的飞行员资质课程，力求使飞行学员的航空飞行技能最大化的满足中国##航空对于副驾驶的训练要求以及使学员最终在商业航空运行环境下能够充分履行副驾驶的职责；

WHEREAS,##istheofChinarequiringcustomizedabinitiotrainingservicestomeetitspilottrainingrequirementsandseeksalong-termpartnershiptoprovidethoseservices;and

鉴于##航空是中国的航空公司，它要求用户化的初始飞行员训练服务以满足其飞行员训练需要并寻求长期供应商以提供那些训练服务；

WHEREAS,##seekstoretainthetrainingservicesprovidedbyEFTtothe##CadetPilots）andtoadoptthecustomizedabinitiopilottrainingprogramsdevelopedbyEFT;and

而且鉴于##航空寻求保持EFT为其学员提供的训练服务和寻求利用EFT开发的用户化初始飞行训练项目；

WHEREAS,EFTshallsupportthespecificabinitiopilottrainingrequirementsof##andtheCAACaccordingtothetermsandconditionsofthisAgreement;

根据本协议中的条款，EFT将提供具体的初始飞行员训练以满足##航空和中国民航局的要求。

NOWTHEREFORE,inconsiderationofthereciprocalpromisesandagreementsherein,thepartieshereto,intendedtobelegallybound,herebyagreeasfollows:

因此，考虑到双方的承诺和契约，签订协议如下，对双方都具有约束力：

ProfessionalPilotTRAININGPROGRAM

SECTIONONE-TRAININGSERVICES

1.1##agreestoscreenandselectcandidatestoreceiveabinitiopilottrainingfromEFTatEFT’sFlightTrainingCenterintheUSA.##willorganizethesecandidatesintostudentclassesofasizetobeagreedbetweentheparties.##willconfirmthenumberofstudentsforeachclass,four（4）monthspriortotheplannedclasscommencementdate,subjecttoagreementbyEFTastothesizeandschedulingoftheclass.

##航空同意在美国EFT飞行训练中心筛选和选择应试者以接受初始飞行员培训。

##航空会将这些应试者组织成班级，班级大小由双方协商决定。

根据双方协议中班级的大小和时序安排，##航空会在计划开班前4个月确定每个班的学生人数。

1.2Foracceptedclasses,EFTagreestoprovidethe##CadetPilotswiththeEFTProfessionalPilotCertificationCourse（alsoreferredtohereinasthe“Course”）,whichconsistsofEnglishandaviationgroundtraining,flighttraininginbothflighttrainingdevicesandaircraft,andFAAcheckflights,meetingorexceedingminimumFAA14CFRPart141andCAACstandards.EFTwilltrainthecadetpilots（hereafter“##Students”or“Students”）sothatuponcompletionofEnglishandaviationgroundtraining,flighttraining,andcheckflights,eachStudentwillbeissuedaU.S.FAACommercialPilotLicensewithAirplane,Multi-engineLandandInstrumentRatings,AirlineTransportPilotGroundRatingandEnglishProficiencyendorsement.TheCourseisdesignedtonormallybecompletedinfEFTy-eight（58）weeksoftimeintheUnitedStates.TheprogramfortheEFTProfessionalPilotCertificationCourseisprojectedassetforthinExhibitC（subjecttochange）.

对于已经录取的班级，EFT同意为##航空学员提供专业飞行员资质课程（以下简称“课程”），包括英语和航空地面理论培训，在飞行训练器和航空器上的飞行训练，FAA技术检查飞行，满足或超过最低FAA联邦法规14篇141部和CAAC标准。

EFT会培训选择的学员（此后简称“##航空学员”或“学员”），以致一经完成英语和航空地面理论培训、飞行训练和技术检查，每个学员会被签发美国FAA商业驾驶员执照附带飞机、多发陆地和仪表等级，航线运输驾驶员理论考试成绩单和英语等级的签注。

正常情况下，设计的课程在美国58周就会完成。

EFT专业飞行员资质课程具体项目在附件C中已列出（可能会更改）。

1.3##agreestoprovideEFTwiththenecessaryadvancebiographicalandbackgroundinformationforeachselectedStudentinorderforEFTtoissuevisa-eligibilitydocumentationforpurposesofobtainingpermissiontoentertheUnitedStates,andfortheU.S.DepartmentofHomelandSecurityclearanceforeachcandidatetoreceiveflighttrainingintheUnitedStates.

为了EFT给学员签发签证适合性文件以便学员获得进入美国许可以及为获得美国国土安全局的许可使每个学员可以在美国接受飞行训练，##航空同意提供给EFT每个入选学员必要性的个人信息和背景信息。

1.4##Studentswillreceiveeight（8）weeksofEnglishtrainingaspartoftheCourse.

##航空学员将会接受8周的英语培训作为课程的一部分。

1.4.1Four（4）weeksofEnglishtrainingwilloccurintheUnitedStatesconcurrentwiththeStudent’sprivatepilotgroundschooltraining.

在美国，学员私照地面理论培训期间同时将会有4个周的英语培训。

1.4.2UponsuccessfulcompletionoftheCourse,each##StudentwillhavedemonstratedEnglishcompetencysufficienttomeetICAOLevel4EnglishStandardand/orFAAEnglishproficiencyrequirement.

一经顺利完成这些课程，每个##航空学员将会获得足以满足相当于ICAO4级英语标准或者FAA英语熟练要求相对应的英语能力。

1.5##StudentsmustbeabletodemonstrateEnglishproficiencyatleastequivalenttoICAOLevel3（whichwillbedeterminedbyanEFTinstructor）priortobeginningtheEFTProfessionalPilotCertificationCourse.EFTshallnotterminateorimposeextratrainingtoanyofthestudentswhoacceptedbyEFTduetotheunsatisfiedEnglishlevel,otherwise,EFTshallbearalltherelevantcost.##and##cadetpilotswillnotresponsibleforanyofthesecost.

在进行飞行员专业培训课程之前，##航空学员必须能够使自己的英语熟练程度达到相当于ICAO3级水平（具体标准由EFT教员决定）。

任何EFT接受的学生，EFT不能再以航空英语水平未达到标准为由对该学员进行加训或停飞，否则EFT应承担所有相关的费用以使得##和学员免于任何损失。

1.6TheaviationgroundschoolinstructionportionoftheEFTProfessionalPilotCertificationCourseconsistsofovertwohundred（215）fEFTeenhoursofclassroomaviationinstructionasspecificallysetforthinExhibitC.

EFT专业飞行员资质课程中的航空地面理论指导包含不低于215多个小时的课程，详细说明已在附件C里列出。

1.7Theflightinstructionportion（flighttrainingdeviceandaircraft）oftheCourseconsistsofaminimumoftwohundredfEFTy（250）hoursofflightinstructionassetforthinExhibitC.

飞行教学（飞行训练器和航空器）包含最少250小时的飞行训练，已在附件C里列出。

1.8##Studentswillnormallybeaffordedtwo

（2）daysoffperweekandwillreceiveholidaysaspertheEFTStudentManual.EFTreservestheflexibility,however,toconductschoolsix（6）daysperweekandoverdesignatedEFTholidaystosatisfyprogramtargetlengthrequirementsifdelayswouldotherwiseresultfrominclementweatherorotherconditions.

##航空学员通常每周会休息2天并且会按照EFT学员手册享受假期。

然而EFT也保留灵活性。

如果由于恶劣天气或者其他情况造成的延误，EFT也会执行一周6天的课程和利用指定的假期以满足项目目标长度要求。

1.9EFTwillnotify##wheneverEFTestimatesthataStudent（s）willbeunabletomeettheminimumrequirementsofaU.S.FAACommercialPilotLicenseand/orInstrumentRatingand/orAirlineTransportPilotGroundRatingorwhenitfindsthatremedial（supplemental）trainingoutsideoftheCoursesyllabuscouldenablea##StudenttosuccessfullycompletetheCoursewhootherwisewouldbeunlikelytocompletetheCourse.

当EFT发现某学员无法达到美国FAA商业驾驶员执照和／或仪表等级和／或航线运输航空驾驶员理论考试的最低要求时，或发现某学员无法在合同规定的飞行小时数达到课程的要求，但是通过加时可以达到标准，EFT将通知##航空。

1.9.1EFTwillmakeapreliminaryassessmentofeach##Studentsinthefirstten（10）flighttraining（aircraft）hours.ForStudentswhoremainintrainingthereafter,EFTwillprovideitsinitialterminationassessmentatorbeforethirty（30）flighttraining（aircraft）hours.

在最初的飞行训练10小时，EFT会为每位##航空的学员做一个初步的评估。

对于能够继续留下培训的学员，EFT在其飞行训练30小时的时候或者之前将会提供初始停飞检查评估。

1.9.2AtanytimethatCourseterminationorsupplementaltrainingisrecommendedbyEFT,##willdeterminewhethertheStudentshouldbereleasedfromtheCourseorshouldcontinueintraining,andwhetheradditionaltraining,ifrecommendedbyEFT,isacceptable.##shallcommunicateitsdecisionsregardingcontinued,additionalorterminatedtrainingtoEFTinwritingwithinseven（7）workingdaysofreceivingEFT’sassessment.

EFT在建议终止课程或者补充训练的时候，##航空将决定学员是否要终止课程或者继续参加培训，以及决定是否要接受由EFT推荐的补充训练。

##航空在收到EFT的评估后要在7个工作日内以书面的形式告知对方关于学员是否继续参加培训、补充训练或终止培训的决定。

1.10EFTwillprovideallnecessaryreferencematerials,flightmanuals,aircrafthandbooks,equipment,andmaterialsrequiredfortheEFTProfessionalPilotCertificationCourse.

EFT将会提供所有必备的参考材料、飞行手册、飞机手册、设备以及EFT专业飞行员资质课程所要求的材料。

1.11EFTwillissueeachStudentofficialFlightTrainingCenteruniforms,whichwillbethemandatorydressrequirementforthe##CadetPilotsenrolledintheEFTProfessionalPilotCertificationCourse.Uniformswillincludeone

（1）long–sleevedshirt,two

（2）short-sleevedshirts,three（3）pants,three（3）setsofflightlapelsandotherrequiredflightschoolinsignia,and

（1）multi-weatherflightjacket.

EFT将会为每位学员配发官方的飞行训练中心制服，这是要求每位注册登记在EFT学习的##航空的学员必须要穿的。

制服包括一件长袖衬衣，两件短袖衬衣，三条裤子，三套飞行翻领，航校所要求的徽章以及一件飞行夹克。

1.12Test/CheckFailures.

测试/检查不合格

1.12.1EFTwillprovideforthefacilitiesandcostof
