TheSellerwithfullcorporateauthoritytosell,makeanIrrevocableFirmcommitmentunderpenaltyofperjurytosellanddeliveratotalof3,000MetrictonsmonthlyofCopperCathodes（Totalquantityis36,000MT）GradeAStandardCu-Cathod-1,Cupurity99.975-99.99%Minimum（hereaftertheProduct）asmorefullydescribedinArticle03herein.

有全部的法人职权的卖方，在对诈骗的惩罚下，做出了这个不可取消的承诺：

每月出售和运至总共3,000吨的电解铜（总量36,000公吨），Ａ级，标准Cu-Cathode-1,最低铜纯度99.975-99.99%（此后简称产品为货物），具体描述在条款03（Article03）中

EachshipmentmustbeaccompaniedbyAssayCertificatedulysignedbyofficeCongolaisDeControleandSGS.

每笔货必需配有OfficecongolaisDeControle和SGS的正式签名化验证书。

CopperCu99.975-99.99%mincorrespondingcompletelyaspercertificateofinspectionbyanappropriatereputableandacceptabletestingorganizationattheportofdischarge;eitherrepresentativeofSGSorcompatibleWorldClassInspectionInstitutionshallattheportofdischarge,confirminwritingasperaqualifiedandAuthorizedCertificateGradeAstandardCuCathode-1,Cupurity99.975%minimumasperthetermsandconditionsstipulatedherein.

TheBuyerisentitledtohavetheaboveProductinspectedandcheckedbyClQathisown

Costaftereacharrivaloftheproductattheportofdestination，iftheinspectedqualityoftheproductattheportofdestinationisdifferentfromthequalitystatedinthiscontractortheSGS,theSellershallbenotifiedinwritingpromptly.ThecommodityinspectioncertificatebyClQwillbethefinalbankpaymentdocumentaryandwillbethefinalcertificationofthequalityandquantity.

铜品位完全符合99.975％--99.99％，每份检验证书必须由有信誉和双方可接受的测验机构在装船港检测。

在装货港必须有SGS代表到场，并签署铜CuCathode-IA级证书，根据双方的商定，铜最低含量为99.975％。

如果在卸货港的货物质量检查结果不同于在这份合同中声明的质量或SGS结果，买方应尽快地以书面形式通知卖方。

买方有权在卸货港自费邀请CIQ进行商检，该CIQ商检证书作为每批电解铜最终的质量和重量凭证，也是最终的银行议付依据。

TheBuyerandSellerwilltryingoodfaithtoreachamutuallyagreeddeterminationoftheresultofthefinalassayoneachshipment.Ifitismutuallydeterminedbetweenthepartiesthatthedeliveredproductsdoesnotconfirmtothespecificationsetforthinthiscontract,thentheunitpriceandvalueofthiscontractshallbesubjecttodowngradeaccordingtothefinalinspectionresultattheportofdestination.Thebuyerhastherighttorejectreceivingthegoodsinthiscontractifthecopperpurityisbelowon99.975%.TheresultofinspectionsignedbyCIQattheunloadingportshouldbefinal.

买卖双方应在互相信任的前提下，共同确认每笔货物的最后化验结果。

检验品位以到港CIQ检测数据为准，如果铜的品质低于99.975％，买方有权拒收。

如果经双方共同核准：

到港货物确实与合同所说的品位不符，那么货物的单价和整个合同的总价值应该依据到货港的最后检验结果来协商降价。

Forbuyer,failuretosendtheCIQInspectionCertificationdocumentstoSeller’sandBuyer’sbankwithin10bankingdays,willentailpenaltiesattherateof0.2%（pointtwopercent）ofthevalueoftheshipmenteveryday.Thetotalvalueofthepenaltiescannotexceed2%（twopercent）ofthevalueoftheshipmentatwhichtimefullbreechisdeclaredautomatically.

买方要在货物抵达目的港后10个工作日内把CIQ检验报告发送至卖方与买方银行，否则买方每延迟一天将按该批货物总价值的0.2％补偿,但补偿总额不得超过该批货物总价值的2%

IfthereisanydeviationfoundbetweenSGSandCIQ,willconsidertheauthenticityoftheinspectionofCIQ.

如SGS与CIQ检验结果不一致，以CIQ检验结果为准。

PleasenotethattheinspectionbySGSattheloadingportisthesoleresponsibilityoftheSellerforalltheexpensesincurred.TheinspectionbyCIQatthedischargeportisthesoleresponsibilityofthebuyerforalltheexpensesincurred.

请注意所有在装货港的SGS检验费用都应由卖方独自承担。

所有在到货港的CIQ检验费用都应由买方独自承担。

InspectionCertificateatdestinationportandallnecessarydocumentsarefinalDocumentforPaymentagainstLetterofCreditTransfer.

在目的港的检测证书及所有其他必须文件是用L/C方式付账的最终凭证。

PENALTY-INSPECTION处罚条款

Tocompletethecontractnormallyforsellerandbuyer：

在买卖双方在正常履行合同过程中：

Forseller,failuretodeliverfullquantitywithinextendedperiodwillentailpenaltiesattherateof0.2%（pointtwopercent）ofthevalueoftheshipmenteveryday.Thetotalvalueofthepenaltiescannotexceed2%（twopercent）ofthevalueoftheundeliveredgoodsatwhichtimefullbreechisdeclaredautomatically.

卖方不应擅自耽误供货，否则，每迟延一天交货，按该批迟延船运货物总价值的0.2％处罚,但总罚金不得超过该批货物总价值的2%。

Forbuyer,failuretoissue100%letterofcreditforthenextshipmentwithinextendedperiodwillentailpenaltiesattherateof0.15%（pointtwopercent）ofthevalueoftheshipmenteveryday.Thetotalvalueofthepenaltiescannotexceed2%（twopercent）ofthevalueoftheshipmentatwhichtimefullbreechisdeclaredautomatically.

ARTICLE04:

PACKING,MARKING,FORWARDING报装，标记，转交

1.TheGoodsaretobepackedinawaythatguaranteessafetyoftheCopperCathodes99.975-99.99%duringtransportation.SellersendstheCopperCathodes99.975-99.99%packedbytheManufactureraccordingtoManufacturer’sspecificationsinplasticoraluminumpalletsandfinallycontainerloadin20”container.

在运输时，卖方保证是安全包装99.975-99.99％电解铜的，最终将货物装入20英尺集装箱中（用塑料或铝合金板包装的）。

2.Eachpackagehastocontainthefollowinginformation:

每份装箱必需包括以下信息

-NumberoftheContract;合约号码

-Destinationpoint;目的地

-Consigneedetails;收件人详细情况

-Numberofabundle;捆的数量

-WeightGross;毛重

-WeightNet.净重

-InspectionbySGSandsealedbySGS：

ARTICLE05:

PAYMENT:

付款

Payment付款方式:

PaymentshallbemadethroughIRREVOCABLE,TRANSFERABLE,DIVISIBLE,AUTOREVOLVING，CONFIRMED，100%DOCUMENTARYLETTEROFCREDITOFTHEINVOICELETTEROFCREDIT.Receivesthearrivalofshipmentproofandthequality/weightofCIQafterthearrivalofshipmentatportconfirmedpaysthereceipttotalprice100%transferonlytobeableonce,thesellershouldinformthebuyerthefinalL/Creceiver.IfallinspectioncannotbefulfilledthroughCIQ,within10workingdays,PaymentshouldbeaccordingwithSGSofloadingportunconditionally.

不可取消，确认的，全额的，可转让的，可分割的，跟单信用证，在到货港收到到货证明和质量/重量确认后再付收据总价的100%转让只能一次，卖方应将被转让方告知买方。

当货物在目的港的CIQ检验不能在10个工作日内完成，买方无条件根据装货港的SGS来做为付款条件（这些条款必需严谨体现在LC条款中）

Paymentprocess付款程序：

1．Thesellershallissuealetterofguaranteeof2%totalvaluetobuyerwithinseven（7）workingdaysafterthecontractissigned.

合同签订后七个工作日内,卖方向买方开出单船货物总额2%履约保函

2．Withinsevenworkingdaysafterreceiptoftheseller’sPB,thebuyershallissueanirrevocable,transferable,100%shipmentvalue（BasedonLME（atthedatethevesselarrivatdestinationport）minus15%CIFASWPperMT*3,000MT）non-operativeDL/Ctoactiveseller’sPB.

买方收到卖方的2%履约保函后7个工作日内，向卖方开出暂不生效的，价格为单月金额的（合同每月金额按照装货当天LME现金交易价格下调15%每吨*3，000吨），不可撤消的100%付款的、可转让一次并指定受让公司的跟单信用证，并激活卖家2%履约保函。

3．Within45daysafterreceivingletterofcredit,thesellershouldshipthecargotothedesinationportChinadesignatedbythebuyeranddeliveralleffectivecargoshippingdocumentstothebuyer.Lateronthereshouldbeoneshipmentevery30days.

卖方收到买方银行信用证后45天内，将首船货物发至买方指定港；同时装船后把货物相关有效单证移交买方；以后每30天到货一船
