3.Payment
TheBUYERSshallremitninety（90）percentofthePurchasePricetogetherwithextrapaymentforrobbunkersandlubricatingoilsandanyotherpossibleamountsbytelegraphictransfertothesaidbankinthenameoftheBUYERSnotlaterthan2（two）bankingdayspriortoSELLERS’expecteddateofreadinessforDeliverytotheBUYERS.ThisbalanceshallbepaidouttotheSELLERStogetherwiththesaidten（10）percentdepositagainsttheProtocolofDeliveryandAcceptancedulysignedbytheauthorizedrepresentativesfromboththeSELLERSandtheBUYERS.
4.Inspections
ThisofferissubjecttotheBuyers'inspectionofthevesselwhichtobeliftedwithin____July,________.

TheBuyershaveinspectedtheVesselat/in_______________________________on_____June________andhaveacceptedtheVessel.Therefore,thisdealisoutrightanddefinitesubjectonlytothetermsandconditionsofthisagreement.
5.Notices,timeandplaceofDelivery
a）TheSELLERSshallkeeptheBUYERSwellinformedoftheVessel'sitineraryandshallprovidetheBUYERSwith14/7/5and3daysapproximatenoticeoftheestimatedtimeofDeliveryattheintendedplaceofDelivery.TheSELLERSshallprovidetheBUYERSwith1（one）daydefinitenoticeofDelivery/place.WhentheVesselisattheplaceofDeliveryandineveryrespectphysicallyreadyforDeliveryinaccordancewiththisAgreement,theSELLERSshallgivetheBUYERSawrittenNoticeofReadinessforDeliveryviafacsimileore-mail.
b）TheVesselshallbedeliveredandtakenovercharterandcargofree,safelyafloatatoneaccessibleberthoranchoragein_______________________________between_______________________________intheSELLERS'option.
Dateofcancelling:
Laycantobediscussedlaterbutbasicallydeliveryisavailablewithin1monthaftersigningthecontract.
c）IftheSELLERSanticipatethat,notwithstandingtheexerciseofduediligencebythem,theVesselwillnotbereadyforDeliverybythecancellingdate,theymaynotifytheBUYERSinwritingstatingthedatewhentheyanticipatethattheVesselwillbereadyforDeliveryandproposeanewcancellingdate.UponreceiptofsuchnotificationtheBUYERSshallhavetheoptionofeithercancellingthisAgreementinaccordancewithNSF1993Clause14within2（two）runningdaysofreceiptofthenoticeorofacceptingthenewdateasthenewcancellingdate.IftheBUYERShavenotdeclaredtheiroptionwithin2（two）runningdaysofreceiptoftheSELLERS'notificationoriftheBUYERSacceptthenewdate,thedateproposedintheSELLERS'notificationshallbedeemedtobethenewcancellingdateandshallbesubstitutedforthecancellingdatestipulatedinClause5b）herein.
IfthisAgreementismaintainedwiththenewcancellingdateallothertermsandconditionshereofincludingthosecontainedinClauses5a）and5c）shallremainunalteredandinfullforceandeffect.CancellationorfailuretocancelshallbeentirelywithoutprejudicetoanyclaimfordamagestheBUYERSmayhaveunderNSF1993Clause14fortheVesselnotbeingreadybytheoriginalcancellingdate.
d）ShouldtheVesselbecomeanactual,constructiveorcompromisedtotallossbeforeDeliverythedeposittogetherwithinterestearnedshallbereleasedimmediatelytotheBUYERSwhereafterthisAgreementshallbenullandvoid.
6.Drydocking/DiversInspection
TheVesselistobedeliveredwithoutdrydocking,however,priortoDeliveryoftheVessel,theBUYERSshallhavetheoptiontoarrangeinspectionatDeliveryport,limitedlyoftheVessel’sbelowthesummerloadlinebythediversapprovedbytheVessel’scurrentClassificationSociety,withtheClassificationSocietysurveyorinattendance,bydeclaringtheirintentionuponreceiptof14daysnoticestipulatedinClause5herein.
TheBUYERSshallarrangethedivers,whereastheSELLERSshallarrangethesurveyor.
BoththeSELLERS’andtheBUYERS’representativeshavetherighttoattendwithClasssurveyorduringtheunderwaterinspection,whichshallbedoneinamanneracceptabletotheClassandwithoutinterferencetotheShipbuildingworkandClasssurveyor’sjudgment.
AllfeesforunderwaterinspectionincludingthecostoftheClasssurveyorshallbefortheBUYERS’accountincasenoClassrecommendationisimposedontheunderwaterparts.
IncaseClassrecommendation（s）is（are）imposed,allfeesforunderwaterinspectionshallbefortheSELLERS’account.
Incaserecommendation（s）is（are）imposed,bothpartiesshallfollowthesolutioneitherA）orB）herebelow,dependingonthedegreeoftherecommendation（s）.
A）IncasetheClassimposesrecommendationthatdoesnotrequiredrydockingbeforenextdrydockingdue,theSELLERSshallpaytotheBUYERStheestimatedcosttorepairsuchdamagebasedontheaverageofthetwoquotationsobtainedfromreputablerepairyards（oneappointedbytheBUYERSandanotherappointedbytheSELLERS）ascloseasreasonabletotheplaceofDelivery,whichshallreflectonlythedirectcosttorepairsuchdamagetoClasssatisfaction,andnottoincludeanydocking（dockage）andgeneralservicescharges.
ClassrecommendationofthisdegreeshallnotaffecttheSELLERS’tenderingofNoticeofReadinessforDelivery.TheSELLERSshallhavetheoptiontopaytheagreedamounttotheBUYERSassoonaspossibleafterDelivery,however,SELLERSshallissuetheirletterofundertakinginthestyleacceptabletotheBUYERS.
Oncesettledincash,theSELLERSshallbedischargedfromanyclaimwhatsoeverbytheBUYERSinconnectionwiththeunderwaterdamage.
B）IncasetheClassrecommendationrequirestheVesseltobedrydockedbeforenextdrydockingdue,theSELLERSshallwithdrawtheNoticeofReadinessthenplacetheVesselinanearestavailabledrydockattheirexpenseandchoicepriortoDeliveryoftheVesseltotheBUYERSandrepaironlythedamageuptoClasssatisfaction.TheSELLERShavetheoptiontodelivertheVesselatthedockyardinspiteofClause5herein.Thecancellingdateshallbeproperlyextended,takingintoaccountthetimerequiredtofindaproperdockyard,thetimeneededforextrasteamingtothedockyardandthetimeneededforrepairinthedockyard.
TheBUYERShavetherighttoattendtheVesselatthedrydock.TheBUYERSalsohavetherighttoclean/paintandcarryoutotherworkswhiletheVesselisindrydockattheBUYERS’riskandexpensewithoutinterferencetotheSELLERS’works/Deliveryschedule.
TheSELLERSshallre-tendertheNoticeofReadinessforDeliveryoncompletionoftherepairwithClassconfirmationeveniftheBUYERS’worksarenotcompleted.OncetheSELLERSre-tendertheNoticeofReadiness,Clause5hereinshallbeapplied.
Costsfordocking/undockingshallbefortheSELLERS’account,however,anyextratimespentindrydockaftervalidNoticeofReadinessforDeliverytenderedbytheSELLERSshallbefortheBUYERS’account.
7.Sparesandbunkers
TheSELLERSshalldelivertheVesseltotheBUYERSwitheverythingbelongingtoheronboard.AllsparepartsandspareequipmentbelongingtotheVesselatthetimeofinspection,usedorunused,exceptsuchthingsasareinthenormalcourseofoperationsusedduringtheperiodbetweenthesuperficialinspectionandDelivery.ThereareNoSparepropellerandtailshaft.ForwardingchargesrelatedtothisClause,ifany,shallbefortheBUYERS’account.Theradioinstallationandnavigationalequipmentshallbeincludedinthesalewithoutextrapayment,ifsameisthepropertyoftheSELLERS.
TheBUYERSshalltakeoverandpaytheSELLERSfortheremainingbunkersonboardandunusedlubricatingoilsonboardinunbroacheddrums/cansandstoragetankswhichhavenotpassedthroughanysystem.ThebunkersandlubricatingoilsremainingonboardshallbepurchasedatthenetPriceoftheSELLERS’purchaseevidencedbythephotocopiesofthesupportingvouchers.PaymentunderthisClauseshallbemadeonDeliveryoftheVessel,freeofbankcharges,togetherwiththepaymentofandinthesamecurrencyasthePurchasePrice.However,iftheSELLERS’netPurchasePriceeitherforbunkersorlubricatingoilsisindifferentcurrencyfromthePurchasePrice,theT.T.M.rateofthedateoftheDeliveryattheSELLERS’bankshallbeappliedforconversion.
TheexactquantitiesofremainingbunkersandlubricatingoilsshallbemeasuredandagreedbyandbetweentheSELLERS'andtheBUYERS'representatives
