THESTATESPARTIESTOTHISCONVENTION,
BEARINGINMINDthebroadobjectivesintheresolutionsadoptedbPthesiGthspecialsessionoftheGeneralAssemblPoftheUnitedNationsontheestablishmentofaNewInternationalEconomicOrder,
CONSIDERINGthatthedevelopmentofinternationaltradeonthebasisofequalitPandmutualbenefitisanimportantelementinpromotingfriendlPrelationsamongStates,
BEINGOFTHEOPINIONthattheadoptionofuniformruleswhichgoverncontractsfortheinternationalsaleofgoodsandtakeintoaccountthedifferentsocial,economicandlegalsPstemswouldcontributetotheremovaloflegalbarriersininternationaltradeandpromotethedevelopmentofinternationaltrade,
HAVEDECREEDasfollows:
PARTISPHEREOFAPPLICATIONANDGENERALPROVISIONS
ChapterISPHEREOFAPPLICATION
Article1
(1)ThisConventionappliestocontractsofsaleofgoodsbetweenpartieswhoseplacesofbusinessareindifferentStates:
(a)whentheStatesareContractingStates;or
(b)whentherulesofprivateinternationallawleadtotheapplicationofthelawofaContractingState.
(2)ThefactthatthepartieshavetheirplacesofbusinessindifferentStatesistobedisregardedwheneverthisfactdoesnotappeareitherfromthecontractorfromanPdealingsbetween,orfrominformationdisclosedbP,thepartiesatanPtimebeforeorattheconclusionofthecontract.
(3)NeitherthenationalitPofthepartiesnorthecivilorcommercialcharacterofthepartiesorofthecontractistobetakenintoconsiderationindeterminingtheapplicationofthisConvention.
Article2
ThisConventiondoesnotapplPtosales:
(a)ofgoodsboughtforpersonal,familPorhouseholduse,unlesstheseller,atanPtimebeforeorattheconclusionofthecontract,neitherknewnoroughttohaveknownthatthegoodswereboughtforanPsuchuse;
(b)bPauction;
(c)oneGecutionorotherwisebPauthoritPoflaw;
(d)ofstocks,shares,investmentsecurities,negotiableinstrumentsormoneP;
(e)ofships,vessels,hovercraftoraircraft;
(f)ofelectricitP.
Article3
(1)ContractsforthesupplPofgoodstobemanufacturedorproducedaretobeconsideredsalesunlessthepartPwhoordersthegoodsundertakestosupplPasubstantialpartofthematerialsnecessarPforsuchmanufactureorproduction.
(2)ThisConventiondoesnotapplPtocontractsinwhichthepreponderantpartoftheobligationsofthepartPwhofurnishesthegoodsconsistsinthesupplPoflabourorotherservices.
Article4
ThisConventiongovernsonlPtheformationofthecontractofsaleandtherightsandobligationsofthesellerandthebuPerarisingfromsuchacontract.Inparticular,eGceptasotherwiseeGpresslPprovidedinthisConvention,itisnotconcernedwith:
(a)thevaliditPofthecontractorofanPofitsprovisionsorofanPusage;
(b)theeffectwhichthecontractmaPhaveonthepropertPinthegoodssold.(法国是合同订立时转移,德国另外订立物权合同,美国是特定化后转移所有权,英国是特定化后在以当事人的意图决定所有权,我国是动产按照占用交货时转移,不动产按登记。

ThisConventiondoesnotapplPtotheliabilitPofthesellerfordeathorpersonalinjurPcausedbPthegoodstoanPperson.
Article6
ThepartiesmaPeGcludetheapplicationofthisConventionor,subjecttoarticle12,derogatefromorvarPtheeffectofanPofitsprovisions.
ChapterIIGENERALPROVISIONS
Article7
(1)IntheinterpretationofthisConvention,regardistobehadtoitsinternationalcharacterandtotheneedtopromoteuniformitPinitsapplicationandtheobservanceofgoodfaithininternationaltrade.
(2)QuestionsconcerningmattersgovernedbPthisConventionwhicharenoteGpresslPsettledinitaretobesettledinconformitPwiththegeneralprinciplesonwhichitisbasedor,intheabsenceofsuchprinciples,inconformitPwiththelawapplicablebPvirtueoftherulesofprivateinternationallaw.
Article8
(1)ForthepurposesofthisConventionstatementsmadebPandotherconductofapartParetobeinterpretedaccordingtohisintentwheretheotherpartPkneworcouldnothavebeenunawarewhatthatintentwas.
(2)Iftheprecedingparagraphisnotapplicable,statementsmadebPandotherconductofapartParetobeinterpretedaccordingtotheunderstandingthatareasonablepersonofthesamekindastheotherpartPwouldhavehadinthesamecircumstances.
(3)IndeterminingtheintentofapartPortheunderstandingareasonablepersonwouldhavehad,dueconsiderationistobegiventoallrelevantcircumstancesofthecaseincludingthenegotiations,anPpracticeswhichthepartieshaveestablishedbetweenthemselves,usagesandanPsubsequentconductoftheparties.
Article9
(1)ThepartiesareboundbPanPusagetowhichthePhaveagreedandbPanPpracticeswhichthePhaveestablishedbetweenthemselves.
(2)Thepartiesareconsidered,unlessotherwiseagreed,tohaveimpliedlPmadeapplicabletotheircontractoritsformationausageofwhichthepartieskneworoughttohaveknownandwhichininternationaltradeiswidelPknownto,andregularlPobservedbP,partiestocontractsofthetPpeinvolvedintheparticulartradeconcerned.
Article10
ForthepurposesofthisConvention:
(a)ifapartPhasmorethanoneplaceofbusiness,theplaceofbusinessisthatwhichhastheclosestrelationshiptothecontractanditsperformance,havingregardtothecircumstancesknowntoorcontemplatedbPthepartiesatanPtimebeforeorattheconclusionofthecontract;
(b)ifapartPdoesnothaveaplaceofbusiness,referenceistobemadetohishabitualresidence.
Article11
AcontractofsaleneednotbeconcludedinorevidencedbPwritingandisnotsubjecttoanPotherrequirementastoform.ItmaPbeprovedbPanPmeans,includingwitnesses.
Article12
AnPprovisionofarticle11,article29orPartIIofthisConventionthatallowsacontractofsaleoritsmodificationorterminationbPagreementoranPoffer,acceptanceorotherindicationofintentiontobemadeinanPformotherthaninwritingdoesnotapplPwhereanPpartPhashisplaceofbusinessinaContractingStatewhichhasmadeadeclarationunderarticle96ofthisConvention.ThepartiesmaPnotderogatefromorvarPtheeffectorthisarticle.
Article13
ForthepurposesofthisConvention"writing"includestelegramandteleG.
PARTIIFORMATIONOFTHECONTRACT
Article14
(1)AproposalforconcludingacontractaddressedtooneormorespecificpersonsconstitutesanofferifitissufficientlPdefiniteandindicatestheintentionoftheofferortobeboundincaseofacceptance.AproposalissufficientlPdefiniteifitindicatesthegoodsandeGpresslPorimplicitlPfiGesormakesprovisionfordeterminingthequantitPandtheprice.
(2)AproposalotherthanoneaddressedtooneormorespecificpersonsistobeconsideredmerelPasaninvitationtomakeoffers,unlessthecontrarPisclearlPindicatedbPthepersonmakingtheproposal.
Article15
(1)Anofferbecomeseffectivewhenitreachestheofferee.
(2)Anoffer,evenifitisirrevocable,maPbewithdrawnifthewithdrawalreachestheoffereebeforeoratthesametimeastheoffer.
Article16
(1)UntilacontractisconcludedanoffermaPberevokediftherevocationreachestheoffereebeforehehasdispatchedanacceptance.
(2)However,anoffercannotberevoked:
(a)ifitindicates,whetherbPstatingafiGedtimeforacceptanceorotherwise,thatitisirrevocable;or
(b)ifitwasreasonablefortheoffereetorelPontheofferasbeingirrevocableandtheoffereehasactedinrelianceontheoffer.
Article17
Anoffer,evenifitisirrevocable,isterminatedwhenarejectionreachestheofferor.
Article18
(1)AstatementmadebPorotherconductoftheoffereeindicatingassenttoanofferisanacceptance.SilenceorinactivitPdoesnotinitselfamounttoacceptance.
(2)Anacceptanceofanofferbecomeseffectiveatthemomenttheindicationofassentreachestheofferor.AnacceptanceisnoteffectiveiftheindicationofassentdoesnotreachtheofferorwithinthetimehehasfiGedor,ifnotimeisfiGed,withinareasonabletime,dueaccountbeingtakenofthecircumstancesofthetransaction,includingtherapiditPofthemeansofcommunicationemploPedbPtheofferor.AnoraloffermustbeacceptedimmediatelPunlessthecircumstancesindicateotherwise.
(3)However,if,bPvirtueoftheofferorasaresultofpracticeswhichthepartieshaveestablishedbetweenthemselvesorofusage,theoffereemaPindicateassentbPperforminganact,suchasonerelatingtothedispatchofthegoodsorpaPmentoftheprice,withoutnoticetotheofferor,theacceptanceiseffectiveatthemomenttheactisperformed,providedthattheactisperformedwithintheperiodoftimelaiddownintheprecedingparagraph.
Article19
(1)AreplPtoanofferwhichpurportstobeanacceptancebutcontainsadditions,limitationsorothermodificationsisarejectionoftheofferandconstitutesacounter-offer.
(2)However,areplPtoanofferwhichpurportstobeanacceptancebutcontainsadditionalordifferenttermswhichdonotmateriallPalterthetermsoftheofferconstitutesanacceptance,unlesstheofferor,withoutunduedelaP,objectsorallPtothediscrepancPordispatchesanoticetothateffect.Ifhedoesnotsoobject,thetermsofthecontractarethetermsoftheofferwiththemodificationscontainedintheacceptance.
(2)Additionalordifferenttermsrelating,amongotherthings,totheprice,paPment,qualitPandquantitPofthegoods,placeandtimeofdeliverP,eGtentofonepartP'sliabilitPtotheotherorthesettlementofdisputesareconsideredtoalterthetermsoftheoffermateriallP.
Article20
(1)AperiodoftimeforacceptancefiGedbPtheofferorinatelegramoraletterbeginstorunfromthemomentthetelegramishandedinfordispatchorfromthedateshownontheletteror,ifnosuchdateisshown,fromthedateshownontheenvelope.AperiodoftimeforacceptancefiGedbPtheofferorbPtelephone,teleGorothermeansofinstantaneouscommunication,beginstorunfromthemomentthattheofferreachestheofferee.
(2)OfficialholidaPsornon-businessdaPsoccurringduringtheperiodforacceptanceareincludedincalculatingtheperiod.However,ifanoticeofacceptancecannotbedeliveredattheaddressoftheofferoronthelastdaPoftheperiodbecausethatdaPfallsonanofficialholidaPoranon-businessdaPattheplaceofbusinessoftheofferor,theperiodiseGtendeduntilthefirstbusinessdaPwhichfollows.
Article21
(1)AlateacceptanceisneverthelesseffectiveasanacceptanceifwithoutdelaPtheofferororallPsoinformstheoffereeordispatchesanoticetothateffect.
(2)Ifaletterorotherwritingcontainingalateacceptanceshowsthatithasbeensentinsuchcircumstancesthatifitstransmissionhadbeennormalitwouldhavereachedtheofferorinduetime,thelateacceptanceiseffectiveasanacceptanceunless,withoutdelaP,theofferororallPinformstheoffereethatheconsidershisofferashavinglapsedordispatchesanoticetothateffect.
Article22
AnacceptancemaPbewithdrawnifthewithdrawalreachestheofferorbeforeoratthesametimeastheacceptancewouldhavebecomeeffective.
Article23
AcontractisconcludedatthemomentwhenanacceptanceofanofferbecomeseffectiveinaccordancewiththeprovisionsofthisConvention.
Article24
ForthepurposesofthisPartoftheConvention,anoffer,declarationofacceptanceoranPotherindicationofintention"reaches"theaddresseewhenitism
