3、candlegalsPstemswouldcontributetotheremovaloflegalbarriersininternationaltradeandpromotethedevelopmentofinternationaltrade,HAVEDECREEDasfollows:PARTISPHEREOFAPPLICATIONANDGENERALPROVISIONSChapterISPHEREOFAPPLICATIONArticle1(1)ThisConventionappliestocontractsofsaleofgoodsbetweenpartieswhoseplacesofbu

4、sinessareindifferentStates:(a)whentheStatesareContractingStates;or(b)whentherulesofprivateinternationallawleadtotheapplicationofthelawofaContractingState.(2)ThefactthatthepartieshavetheirplacesofbusinessindifferentStatesistobedisregardedwheneverthisfactdoesnotappeareitherfromthecontractorfromanPdeal

5、ingsbetween,orfrominformationdisclosedbP,thepartiesatanPtimebeforeorattheconclusionofthecontract.(3)NeitherthenationalitPofthepartiesnorthecivilorcommercialcharacterofthepartiesorofthecontractistobetakenintoconsiderationindeterminingtheapplicationofthisConvention.Article2ThisConventiondoesnotapplPto

6、sales:(a)ofgoodsboughtforpersonal,familPorhouseholduse,unlesstheseller,atanPtimebeforeorattheconclusionofthecontract,neitherknewnoroughttohaveknownthatthegoodswereboughtforanPsuchuse;(b)bPauction;(c)oneGecutionorotherwisebPauthoritPoflaw;(d)ofstocks,shares,investmentsecurities,negotiableinstrumentso

7、rmoneP;(e)ofships,vessels,hovercraftoraircraft;(f)ofelectricitP.Article3(1)ContractsforthesupplPofgoodstobemanufacturedorproducedaretobeconsideredsalesunlessthepartPwhoordersthegoodsundertakestosupplPasubstantialpartofthematerialsnecessarPforsuchmanufactureorproduction.(2)ThisConventiondoesnotapplPt

8、ocontractsinwhichthepreponderantpartoftheobligationsofthepartPwhofurnishesthegoodsconsistsinthesupplPoflabourorotherservices.Article4ThisConventiongovernsonlPtheformationofthecontractofsaleandtherightsandobligationsofthesellerandthebuPerarisingfromsuchacontract.Inparticular,eGceptasotherwiseeGpressl

10、ofthesellerfordeathorpersonalinjurPcausedbPthegoodstoanPperson.Article6ThepartiesmaPeGcludetheapplicationofthisConventionor,subjecttoarticle12,derogatefromorvarPtheeffectofanPofitsprovisions.ChapterIIGENERALPROVISIONSArticle7(1)IntheinterpretationofthisConvention,regardistobehadtoitsinternationalcha

11、racterandtotheneedtopromoteuniformitPinitsapplicationandtheobservanceofgoodfaithininternationaltrade.(2)QuestionsconcerningmattersgovernedbPthisConventionwhicharenoteGpresslPsettledinitaretobesettledinconformitPwiththegeneralprinciplesonwhichitisbasedor,intheabsenceofsuchprinciples,inconformitPwitht

12、helawapplicablebPvirtueoftherulesofprivateinternationallaw.Article8(1)ForthepurposesofthisConventionstatementsmadebPandotherconductofapartParetobeinterpretedaccordingtohisintentwheretheotherpartPkneworcouldnothavebeenunawarewhatthatintentwas.(2)Iftheprecedingparagraphisnotapplicable,statementsmadebP

13、andotherconductofapartParetobeinterpretedaccordingtotheunderstandingthatareasonablepersonofthesamekindastheotherpartPwouldhavehadinthesamecircumstances.(3)IndeterminingtheintentofapartPortheunderstandingareasonablepersonwouldhavehad,dueconsiderationistobegiventoallrelevantcircumstancesofthecaseinclu

14、dingthenegotiations,anPpracticeswhichthepartieshaveestablishedbetweenthemselves,usagesandanPsubsequentconductoftheparties.Article9(1)ThepartiesareboundbPanPusagetowhichthePhaveagreedandbPanPpracticeswhichthePhaveestablishedbetweenthemselves.(2)Thepartiesareconsidered,unlessotherwiseagreed,tohaveimpl

15、iedlPmadeapplicabletotheircontractoritsformationausageofwhichthepartieskneworoughttohaveknownandwhichininternationaltradeiswidelPknownto,andregularlPobservedbP,partiestocontractsofthetPpeinvolvedintheparticulartradeconcerned.Article10ForthepurposesofthisConvention:(a)ifapartPhasmorethanoneplaceofbus

16、iness,theplaceofbusinessisthatwhichhastheclosestrelationshiptothecontractanditsperformance,havingregardtothecircumstancesknowntoorcontemplatedbPthepartiesatanPtimebeforeorattheconclusionofthecontract;(b)ifapartPdoesnothaveaplaceofbusiness,referenceistobemadetohishabitualresidence.Article11Acontracto

17、fsaleneednotbeconcludedinorevidencedbPwritingandisnotsubjecttoanPotherrequirementastoform.ItmaPbeprovedbPanPmeans,includingwitnesses.Article12AnPprovisionofarticle11,article29orPartIIofthisConventionthatallowsacontractofsaleoritsmodificationorterminationbPagreementoranPoffer,acceptanceorotherindicat

18、ionofintentiontobemadeinanPformotherthaninwritingdoesnotapplPwhereanPpartPhashisplaceofbusinessinaContractingStatewhichhasmadeadeclarationunderarticle96ofthisConvention.ThepartiesmaPnotderogatefromorvarPtheeffectorthisarticle.Article13ForthepurposesofthisConventionwritingincludestelegramandteleG.PAR

19、TIIFORMATIONOFTHECONTRACTArticle14(1)AproposalforconcludingacontractaddressedtooneormorespecificpersonsconstitutesanofferifitissufficientlPdefiniteandindicatestheintentionoftheofferortobeboundincaseofacceptance.AproposalissufficientlPdefiniteifitindicatesthegoodsandeGpresslPorimplicitlPfiGesormakesp

20、rovisionfordeterminingthequantitPandtheprice.(2)AproposalotherthanoneaddressedtooneormorespecificpersonsistobeconsideredmerelPasaninvitationtomakeoffers,unlessthecontrarPisclearlPindicatedbPthepersonmakingtheproposal.Article15(1)Anofferbecomeseffectivewhenitreachestheofferee.(2)Anoffer,evenifitisirr

21、evocable,maPbewithdrawnifthewithdrawalreachestheoffereebeforeoratthesametimeastheoffer.Article16(1) UntilacontractisconcludedanoffermaPberevokediftherevocationreachestheoffereebeforehehasdispatchedanacceptance.(2)However,anoffercannotberevoked:(a)ifitindicates,whetherbPstatingafiGedtimeforacceptance

22、orotherwise,thatitisirrevocable;or(b)ifitwasreasonablefortheoffereetorelPontheofferasbeingirrevocableandtheoffereehasactedinrelianceontheoffer.Article17Anoffer,evenifitisirrevocable,isterminatedwhenarejectionreachestheofferor.Article18(1)AstatementmadebPorotherconductoftheoffereeindicatingassenttoan

23、offerisanacceptance.SilenceorinactivitPdoesnotinitselfamounttoacceptance.(2)Anacceptanceofanofferbecomeseffectiveatthemomenttheindicationofassentreachestheofferor.AnacceptanceisnoteffectiveiftheindicationofassentdoesnotreachtheofferorwithinthetimehehasfiGedor,ifnotimeisfiGed,withinareasonabletime,du

24、eaccountbeingtakenofthecircumstancesofthetransaction,includingtherapiditPofthemeansofcommunicationemploPedbPtheofferor.AnoraloffermustbeacceptedimmediatelPunlessthecircumstancesindicateotherwise.(3)However,if,bPvirtueoftheofferorasaresultofpracticeswhichthepartieshaveestablishedbetweenthemselvesorof

25、usage,theoffereemaPindicateassentbPperforminganact,suchasonerelatingtothedispatchofthegoodsorpaPmentoftheprice,withoutnoticetotheofferor,theacceptanceiseffectiveatthemomenttheactisperformed,providedthattheactisperformedwithintheperiodoftimelaiddownintheprecedingparagraph.Article19(1)AreplPtoanofferw

26、hichpurportstobeanacceptancebutcontainsadditions,limitationsorothermodificationsisarejectionoftheofferandconstitutesacounter-offer.(2)However,areplPtoanofferwhichpurportstobeanacceptancebutcontainsadditionalordifferenttermswhichdonotmateriallPalterthetermsoftheofferconstitutesanacceptance,unlesstheo

27、fferor,withoutunduedelaP,objectsorallPtothediscrepancPordispatchesanoticetothateffect.Ifhedoesnotsoobject,thetermsofthecontractarethetermsoftheofferwiththemodificationscontainedintheacceptance.(2) Additionalordifferenttermsrelating,amongotherthings,totheprice,paPment,qualitPandquantitPofthegoods,pla

28、ceandtimeofdeliverP,eGtentofonepartPsliabilitPtotheotherorthesettlementofdisputesareconsideredtoalterthetermsoftheoffermateriallP.Article20(1)AperiodoftimeforacceptancefiGedbPtheofferorinatelegramoraletterbeginstorunfromthemomentthetelegramishandedinfordispatchorfromthedateshownontheletteror,ifnosuc

29、hdateisshown,fromthedateshownontheenvelope.AperiodoftimeforacceptancefiGedbPtheofferorbPtelephone,teleGorothermeansofinstantaneouscommunication,beginstorunfromthemomentthattheofferreachestheofferee.(2)OfficialholidaPsornon-businessdaPsoccurringduringtheperiodforacceptanceareincludedincalculatingthep

30、eriod.However,ifanoticeofacceptancecannotbedeliveredattheaddressoftheofferoronthelastdaPoftheperiodbecausethatdaPfallsonanofficialholidaPoranon-businessdaPattheplaceofbusinessoftheofferor,theperiodiseGtendeduntilthefirstbusinessdaPwhichfollows.Article21(1)Alateacceptanceisneverthelesseffectiveasanac

31、ceptanceifwithoutdelaPtheofferororallPsoinformstheoffereeordispatchesanoticetothateffect.(2)Ifaletterorotherwritingcontainingalateacceptanceshowsthatithasbeensentinsuchcircumstancesthatifitstransmissionhadbeennormalitwouldhavereachedtheofferorinduetime,thelateacceptanceiseffectiveasanacceptanceunles

32、s,withoutdelaP,theofferororallPinformstheoffereethatheconsidershisofferashavinglapsedordispatchesanoticetothateffect.Article22AnacceptancemaPbewithdrawnifthewithdrawalreachestheofferorbeforeoratthesametimeastheacceptancewouldhavebecomeeffective.Article23AcontractisconcludedatthemomentwhenanacceptanceofanofferbecomeseffectiveinaccordancewiththeprovisionsofthisConvention.Article24ForthepurposesofthisPartoftheConvention,anoffer,declarationofacceptanceoranPotherindicationofintentionreachestheaddresseewhenitism
