　　ChapterIGeneralProvisions

　　Article1ThisLawisformulatedinordertoensurethateconomicdisputesshallbeimpartiallyandpromptlyarbitrated，toprotectthelegitimaterightsandinterestsoftherelevantpartiesandtoguaranteethehealthydevelopmentofthesocialistmarketeconomy.

　　Article2Disputesovercontractsanddisputesoverpropertyrightsandinterestsbetweencitizens，legalpersonsandotherorganizationsasequalsubjectsoflawmaybesubmittedtoarbitration.

　　Article3Thefollowingdisputesshallnotbesubmittedtoarbitration：

　　1.disputesovermarriage，adoption，guardianship，childmaintenanceandinheritance；and

　　2.administrativedisputesfallingwithinthejurisdictionoftherelevantadministrativeorgansaccordingtolaw.

　　Article4Thepartiesadoptingarbitrationfordisputesettlementshallreachanarbitrationagreementonamutuallyvoluntarybasis.Anarbitrationcommissionshallnotacceptanapplicationforarbitrationsubmittedbyoneofthepartiesintheabsenceofanarbitrationagreement.

　　Article5Apeople'scourtshallnotacceptanactioninitiatedbyoneofthepartiesifthepartieshaveconcludedanarbitrationagreement，unlessthearbitrationagreementisinvalid.

　　Article6Anarbitrationcommissionshallbeselectedbythepartiesbyagreement.

　　Thejurisdictionbylevelsystemandthedistrictjurisdictionsystemshallnotapplyinarbitration.

　　Article7Disputesshallbefairlyandreasonablysettledbyarbitrationonthebasisoffactsandinaccordancewiththerelevantprovisionsoflaw.

　　Article8Arbitrationshallbeconductedinaccordancewiththelaw，independentofanyinterventionbyadministrativeorgans，socialorganizationsorindividuals.

　　Article9Thesinglerulingsystemshallbeappliedinarbitration.Thearbitrationcommissionshallnotacceptanyapplicationforarbitration，norshallapeople'scourtacceptanyactionsubmittedbythepartyinrespectofthesamedisputeafteranarbitrationawardhasalreadybeengiveninrelationtothatmatter.

　　Ifthearbitrationawardiscanceledoritsenforcementhasbeendisallowedbyapeople'scourtinaccordancewiththelaw，thepartiesmay，inaccordancewithanewarbitrationagreementbetweentheminrespectofthedispute，re-applyforarbitrationorinitiatelegalproceedingswiththepeople'scourt.

　　ChapterIIArbitrationCommissionsandArbitrationAssociation

　　Article10ArbitrationcommissionsmaybeestablishedinthemunicipalitiesdirectlyundertheCentralGovernment，inthemunicipalitieswherethepeople'sgovernmentsofprovincesandautonomousregionsarelocatedor，ifnecessary，inothercitiesdividedintodistricts.Arbitrationcommissionsshallnotbeestablishedateachleveloftheadministrativedivisions.

　　Thepeople'sgovernmentsofthemunicipalitiesandcitiesspecifiedintheaboveparagraphshallorganizetherelevantdepartmentsandtheChamberofCommercefortheformationofanarbitrationcommission.

　　Theestablishmentofanarbitrationcommissionshallberegisteredwiththejudicialadministrativedepartmentoftherelevantprovince，autonomousregionormunicipalitiesdirectlyundertheCentralGovernment.

　　Article11Anarbitrationcommissionshallfulfilthefollowingconditions：

　　1.itmusthaveitsownname，domicileandArticlesofAssociation；

　　2.itmustpossessthenecessaryproperty；

　　3.itmusthaveitsownmembers；and

　　4.itmusthavearbitratorsforappointment.

　　ThearticlesofassociationoftheanarbitrationcommissionshallbeformulatedinaccordancewiththisLaw.

　　Article12Anarbitrationcommissionshallcompriseachairman，twotofourvice-chairmenandseventoelevenmembers.

　　Thechairman，vice-chairmenandmembersofanarbitrationcommissionmustbepersonsspecializedinlaw，economicandtradeandpersonswhohaveactualworkingexperience.Thenumberofspecialistsinlaw，economicandtradeshallnotbelessthantwo-thirdsofthemembersofanarbitrationassociation.

　　Article13Thearbitrationcommissionshallappointfairandhonestpersonasitsarbitrators.

　　Arbitratorsmustfulfiloneofthefollowingconditions：

　　1.theyhavebeenengagedinarbitrationworkforatleasteightyears；

　　2.theyhaveworkedasalawyerforatleasteightyears；

　　3.theyhavebeenajudgeforatleasteightyears；

　　4.theyareengagedinlegalresearchorlegalteachingandinseniorpositions；and

　　5.theyhavelegalknowledgeandareengagedinprofessionalworkrelatingtoeconomicsandtrade，andinseniorpositionsoroftheequivalentprofessionallevel.

　　Thearbitrationcommissionshallestablishalistofarbitratorsaccordingtodifferentprofessionals.

　　Article14Arbitrationcommissionsareindependentofadministrativeorgansandtherearenosubordinaterelationswithanyadministrativeorgansnorbetweenthedifferentarbitrationcommissions.

　　Article15TheChinaArbitrationAssociationisasocialorganizationwiththestatusofalegalperson.ArbitrationcommissionsaremembersoftheChinaArbitrationAssociation.TheArticlesofAssociationoftheChinaArbitrationAssociationshallbeformulatedbythenationalgeneralmeetingofthemembers.

　　TheChinaArbitrationAssociationisanorganizationinchargeofself-regulationofthearbitrationcommissions.Itshallconductsupervisionovertheconduct（anybreachofdiscipline）ofthearbitrationcommissionsandtheirmembersandarbitratorsinaccordancewithitsarticlesofassociation.

　　TheChinaArbitrationAssociationshallformulateArbitrationRulesinaccordancewiththisLawandtheCivilProcedureLaw.

　　ChapterIIIArbitrationAgreement

　　Article16Anarbitrationagreementshallincludethearbitrationclausesprovidedinthecontractandanyotherwrittenformofagreementconcludedbeforeorafterthedisputesprovidingforsubmissiontoarbitration.

　　Thefollowingcontentsshallbeincludedinanarbitrationagreement：

　　1.theexpressionoftheparties'wishtosubmittoarbitration；

　　2.thematterstobearbitrated；and

　　3.theArbitrationCommissionselectedbytheparties.

　　Article17Anarbitrationagreementshallbeinvalidunderanyofthefollowingcircumstances：

　　1.mattersagreeduponforarbitrationarebeyondthescopeofarbitrationprescribedbylaw；

　　2.anarbitrationagreementconcludedbypersonswithoutorwithlimitedcapacityforcivilacts；and

　　3.onepartyforcestheotherpartytosignanarbitrationagreementbymeansofduress.

　　Article18Ifthearbitrationmattersorthearbitrationcommissionarenotagreeduponbythepartiesinthearbitrationagreement，or，iftherelevantprovisionsarenotclear，thepartiesmaysupplementtheagreement.Ifthepartiesfailtoagreeuponthesupplementaryagreement，thearbitrationagreementshallbeinvalid.

　　Article19Anarbitrationagreementshallexistindependently.Anychangesto，rescission，terminationorinvalidityofthecontractshallnotaffectthevalidityofthearbitrationagreement.

　　Anarbitrationtribunalhastherighttoruleonthevalidityofacontract.

　　Article20Ifthepartiesobjecttothevalidityofthearbitrationagreement，theymayapplytothearbitrationcommissionforadecisionortoapeople'scourtforaruling.Ifoneofthepartiessubmitstothearbitrationcommissionforadecision，buttheotherpartyappliestoapeople'scourtforaruling，thepeople'scourtshallgivetheruling.

　　Ifthepartiescontestthevalidityofthearbitrationagreement，theobjectionshallbemadebeforethestartofthefirsthearingofthearbitrationtribunal.

　　ChapterIVArbitrationProcedure

　　Section1：

ApplicationandAcceptanceforArbitration

　　Article21Thepartiesapplyingforarbitrationshallfulfilthefollowingconditions：

　　1.theymusthaveanarbitrationagreement；

　　2.theymusthaveaspecificclaimwithfactsandargumentonwhichtheclaimisbased；and

　　3.thearbitrationmustbewithinthejurisdictionofthearbitrationcommission.

　　Article22Thepartyapplyingforarbitrationshallsubmittoanarbitrationcommissionthearbitrationagreement，anapplicationforarbitrationandcopiesthereof.

　　Article23Anarbitrationapplicationshallstateclearlythefollowing：

　　1.thename，sex，age，occupation，workunitandaddressoftheparty，thenameaddressandlegalrepresentativeofthelegalpersonorotherorganizationandthenameandpositionofitsperson-incharge；

　　2.thearbitrationclaimandthefactsandargumentonwhichtheclaimisbased；and

　　3.evidenceandthesourceofevidence，thenameandaddressofthewitness（es）。

　　Article24Within5daysfromthedateofreceivingthearbitrationapplication，thearbitrationcommissionshallnotifythepartiesthatitconsiderstheconditionsforacceptancehavebeenfulfilled，andthattheapplicationisacceptedbyit.Ifthearbitrationcommissionconsidersthattheconditionshavenotbeenfulfilled，itshallnotifythepartiesinwritingofitsrejection，statingitsreasons.

　　Article25Uponacceptanceofanarbitrationapplication，thearbitrationcommissionshall，withinthetimelimitprovidedbytheArbitrationRules，serveacopyoftheArbitrationRulesandthelistofarbitratorsontheapplicant，andserveacopyofthearbitrationapplication，theArbitrationRulesandthelistofarbitratorsontherespondent.

　　Uponreceiptofacopyofthearbitrationapplication，therespondentshall，withinthetimelimitprescribedbytheArbitrationRules，submititsdefen
