1）Shippingadvice:

Notlaterthanthefivedaybeforethereadinessofeachshipment.SELLERshallnotifyBUYERbyfaxofthefollowingcontents：

卖方应在准备装船前5天内用传真方式通知买方以下内容：

2）Withintwo

（2）workingdaysaftercompletionofloadingofeachshipment,SELLERshallinformBUYERbyfaxofCONTRACTnumber,thedateandthenumberofBillofLading,nameofthecarryingvesselaswellasname,totalprice,totalnumberofpackages,totalweightandtotalvolumeoftheHighSpeedDiesel.TheSGSinspectionCertificatenumberanddate&theinsuranceCompanyandpolicynumberalsoneedtobenotifiedbySELLER.

在装船完毕后的2个工作日内，卖方须以传真方式通知买方：

合同号、提单日期及号码、承运船只名称、提单号、高速轻柴油品名、总价、包装总数、总重量、总容量、SGS检验证书编号和日期、保险公司名称和保单号。

4.4TheSellershallprovidetheBuyerofthefull-charteredship’sparticulars（generaldimensions,cargosystemarrangementmaximumunloadingcapacityrate,cargotankscapacitiesat98%loaded,manifoldssizedandreductionsavailableonboardthevessel’sregistryandothers）.ThisinformationmustbeprovidedtotheBuyerpriortotheSeller’svesselnomination,soastoassurecomplianceattheBuyer’sdischargeportandshallgettheconfirmationofthebuyer.

通知买方所租用船的规范，并得到买方合理的确认。

4.5Seller’scharteredvessel（s）shallinallrespectsmeetportrulesandregulationsintermsofseaworthiness,fireandcommonsafety,ballastoperations,anddischargingrates,otherwise,orandanydamagescausedbynon-compliancewithsuchrulesandregulationsshallbeimposedontheseller,shallarriveattheloadingportwithhertanksinapreparedstateforfitnessandcleanlinessinspection.Vessel’stanksmustbeclean.Vesselshallbewithdoublehullandlessthan15yearsold.

所租用的船舶要符合卸货港的规定。

具有双层底并保持油舱清洁,船龄小于15年。

4.6TheSELLERshallbookspaceintheshippingcompanieswhichenjoygoodreputation.Thecarryingvesselshallhavegoodrecordoftransportation.Itsservicetimeshallnotbeover15years,anditsflyingflagand/oritsnationamityshallbeacceptablebyBuyer.Ifitsservicetimeisover15years,theSELLERshalltakeouttheinsuranceathisowncostforthisregard.

卖方应向有信誉的船务公司预定租船，运货的船只应有良好的运输记录。

其服务时间应不超过15年，所悬挂的旗帜或国籍都应是买方所能接受的。

如其服务时间超过15年，则应由卖方另付保险费用。

4.7TheSellershall（ship）deliverthegoodsfromtheloadingporttothedestinationportwithindeliverydateinaccordancewiththestipulationsoftheContract.Thesellershallinformthebuyeronthefollowingdaysbeforethegoodsarrivingatthedestinationport:

7thday,5thday3rdday,2ndday,1stday;

卖方需要按照合同规定按时在目的港交货，并提供7/5/3/2/1天的预抵通知。

4.8TheSellershallnotifytheBuyerofanychangesoftheshiparrivallatestforty-eight（48）hoursinadvancebyusingexistingcommunicationequipmentavailableontheship.

船舶动态如有任何变化，卖方要通过船舶电子通讯设备提前48小时通知买方。

4.9TheSellershallsenddirectlythefollowingdocumentsbycouriertotheBuyernotlaterthan72hoursaftertheloadingiscompleted；

装船完毕，卖方要在72小时内将下列文件快递给买方。

1）1/3ofset（including1originaland1copy）BillofLading,cleanonboard,showing“Toorder”,blankendorsed,marked“freightprepaid”andnotifytheBuyer.

已装船清洁海运提单，标注“凭指示”，“空白背书“，“运费已付”通知买方“。

一份正本，3份副本。

2）OnecopyofinspectionReportonQuantityandQualityissuedSGSatloadingport.

装货港SGS数量及重量检验报告，一份副本。

3）SignedCommercialInvoicein1originaland1copyevidencingunitpriceandtotalvalueofthegoodsandB/Lquantityinmetricton,B/Ldate,showingthenumberofB/GandnumberofB/L.

已签署的商业发票，标明单价和总价、装船数量、海运提单编号和日期、合同号、银行保函号。

一份正本，一份副本。

4）CharterPartyinonecopy.

租船合同，一份副本。

Article5-INSURANCE：

保险

Thesellershallprovideandbeartheexpensetoprocureapolicywithafirstclassindustry,marineinsuranceinstitutetocoveronehundredandtenpercent（110%）ofInvoicevalue.TheInsurancePolicyshallcoverAllRisks（InstituteofCargoClausesA）andWarRisks.

卖方应提供一流保险承保的包含110%商业发票金额的保险单。

保单要包括一切险和战争险。

Article6–PAYMENT:

支付

6.1PaymentwillbesecuredbyanIRREVOCABLE,BANKGUARANTEE（BG）fromPRIMEBANK（HSBCHongKongBranch）coveringfullvalueofXXMtsandvalidfor12monthsand15Days.TheBankGuaranteewillbenullandvoidautomaticallyiftheSellerfailedtodeliverythecargowithin60calendardateofBankGuaranteeorwithin60calendardaysafterthelastshipmentdate.

由一流银行开具不可撤销的银行保函作为付款担保，该保函金额为三个月的装船数量，保函期限为三个月另15天。

在开出保函后60日历天或者上一船装完后60日历天内未能装船，该保函则自动失效。

6.2TheSellerwillissue2%PerformanceBondoftotalvalueUSDXXtoBuyer’sBank.IfSellercouldnotdeliverHighSpeedDiesel（exceptforcemajored）toBuyer’sdestinationportasourcontract,Buyerhasrightclaimunderthisperformancebondwithin5bankingdays.

卖方须开出总合同金额2%的履约保函给买方银行。

如果卖方不能按计划（合约条款中银行保函有效期限内）提供商品不论什么原因（除了不可抗力），买方可以在5个有效银行工作日之后预支卖方的履约保函，只要卖方未能按照合同规定交货，买方就有权支取履约保函。

6.2BasisB/LquantityinUSDollars.Ifthereisnolargedifference（0.1%）betweentheB/Lquantityandtheinspectedquantityindischargingport,orthefinalquantityshouldbesubjectedtotheotherinternationalinspectedauthority’sinspectionprovidingforpayment30daysafterB/Ldate（B/Ldatetocountasdayone）againstpresentationofthedocumentsspecifiedinArticle10ofthiscontract.

如按本合同第十条规定提单日期后30天（提单日期作为一天计算）出示单据结算，卸货港检验数量与提单数量无较大（0.1%）差异，则以提单数量计算美金；如差异过大，则最终数量由买卖双方另请国际商检部门商检为准。

6.3TheexpensesofSeller’sbankshallbebornebytheSellerandtheexpensesoftheBuyer’sbankshallbebornebytheBuyer.

卖方银行产生的费用由卖方承担，买方银行的费用由买方承担。

Article7–PROCEDURE:

交易程序

7.1AftersignsthefinalContract.SellershallsendthesignedcontractviaEDTformattotheBuyerandthree（3）OriginalHardCopieswithsignaturestothepartiesviaDHL.

电子形式签订合同后，需要将6份正本文件通过快递给各方进行签字。

7.2Within5internationalbankingdaysafterthesignature,theSeller’sbankshallissuea2%PerformanceBondtotheBuyer’sbank,andtheSeller’sbankprovidetotheBuyer’sbankwiththeProofofProduct.

签约五天内卖方银行开具2%履约保函，同时卖方银行给买方银行开出以买方为受益人的POP。

7.3WithinFive（5）internationalbankingdaysreceiptofNon-Operative2%PBfromSeller’sbank,theBuyer’sbankshallissueanOperativeIrrevocableBankGuaranteetoactivetheSeller’s2%P/Bond.

在收P/Bond后的5个银行工作日内，买方银行开出正式生效的银行保函并启动P/B。

7.4AllbankingfeesandassociatedcostsincludingconfirmationfromBuyer’sbankshallbebornebytheBuyerandallbankingchargesincurredbytheSelleratSeller’sbankshallbebornebytheSeller.

买方银行发生的费用由买方承担，卖方银行发生的费用由卖方承担。

7.5ShouldanyamendmenttotheBankGuaranteeberequestedafterithasissuedfromBuyer’sbank,thePartyrequestingthechangewillberesponsibleforpaymentand/orabsorptionofallcostsassociatedwiththechangeoftermseventuallyagreed,includingamongotheritemsallfeesatbothbanks.Thepartyrequestingthechangeshallbearallsuchfeesandcostsregardlesswhetherandtowhatextentthechangeeventuallyagreedandadoptedmaydepartfromtheoriginalrequestforamendment.

银行保函一出后发生的所有银行费用，由提出修改方承担。

7.7DeliverycommenceasperContract.

按照合同开始交付货物。

7.8TheSellerwillprovidethefollowingdocumentsasPOP:

POP应包含以下文件：

-Copyoflicensetoexport,issuedbytheministryofenergy.

俄罗斯能源部签发的出口许可证。

-Copyofapprovaltoexport,issuedbytheministryofjustice.

俄罗斯司法部签发的出口批文。

-Copyofstatementofavailabilityoftheproduct.

供货能力证明

-Copyoftherefinerycommitmenttoproducetheproduct.

炼油厂提供的供货承诺。

-Copyofthecharterpartyagreement（s）totransporttheproducttodischargeport.

租船合同副本

Article8-INSPECTION：

检验

8.1TheproductshallbeinspectedandcompliantwiththeContractspecificationsattheplaceofloadingby“SocietiesGeneraldeSurveillance”（SGS）.SGSshallissueaninspectioncertificateofQualityandQuantityforeachshipmenttocertifythattheinspectedgoodsareincompliancewiththetermsoftheContract.

双方同意在装货港由SGS对产品的质量和数量进行检验。

8.2TheproductshallbeinspectedandcompliantwiththeContractspecificationsattheplaceofunloadingportbyCIQ.

双方同意在卸货港由CIQ对产品的质量和数量进行检验。

8.3InthecaseofdiscrepancybetweenSGSreportsatloadingportandSGSreportattheunloadingport.Thefinalquantityandquantitysho
