电子商务远程买卖细则
IMPLEMENTATIONRULESOFELECTRONICLONG-DISTANCECOMMERCE

乙方：
PartyB（client）:
甲乙双方本着平等自愿、诚实、信用的原则，经友好协商，就黄金现货交易延期交收的有关事项订立本合同，双方共同遵守执行。

总则 Overviews
1、双方确认：
本合同签署之时，乙方已充分了解黄金现货交易延期交收业务存在的风险。
在进行黄金现货交易延期交收过程中，由于黄金的价格机制受到多种不可预测的世界性因素影响，所以获利和亏损均有可能。
PartiesacknowledgeandagreethatpartyBhasfullyunderstood,onthedateofsignaturehereof,therisksinthebusinessofextensiondeliveryofgoldspottransaction.Attheprocessofgoldspottransactionbothprofitandlossmaybepossibleduetothegoldpricemechanismbeingsubjecttotheinfluenceofuncertainworldfactorsofseveralkinds.
2、在签署本合同前，请仔细阅读本合同及其附件的内容，特别是权利义务的相关约定、免责条款等。
乙方之签署即表明乙方已详细阅读、理解并认可本合同及其附件的全部内容。

3．本合同之签署是依据中金资本有限公司之授权，旨在进行黄金现货延期交易，并由甲方操作开户结算。
ThesignatureofthiscontractissubjecttotheauthorizationofHKGOLDCAPITALLIMITEDwiththepurposeofgoldspottransactionandopeningaccountsettlementforpartyA’soperation.
一、买卖标的品种及质量 VarietyandQualityofTransactionSubject
1}买卖品种及质量品级是指纯度为 99．99% 的，同时符合国内、国际黄金流通市场销售标准的金条或相同品质的黄金制品。
Thekindandqualitygradeoftransactionsubjectsrefertothegoldenbarofwhichthepurityis99.99%andconformtointernationalgoldmarket’ssalestandards,orothergoldenproducts.
2}合同术语的解释：
买入金条：
是指乙方依据国际黄金市场适时价格，买入黄金现货，同时持有可交割现货的权利仓单。
Termexplanation:
thepurchaseofgoldenbarreferstothatpartyB,pursuanttothe currentpriceininternationalmarket, buysthegoldon-handmerchandiseatsametimeholethewarehousereceiptofpropertieswhichmaybedeliveredonspot.
卖出金条：
是指乙方依据国际黄金市场适时价格，卖出持有的现货权利仓单。
SellingoutofgoldbarreferstothatPartyB,pursuanttothecurrentpriceininternationalmarket,sellsoutitsholdingthewarehousereceiptofon–handgoldmerchandise.
交割现货：
是指乙方可依据持有的仓单，提取黄金制品现货，或者客户卖出黄金现货后交回标准金条兑现的行为。
Deliveryofon-handmerchandisereferstothatpartyB,onfundamentalofitsholdingwarehousereceipt,withdrawthegoldproductsorthecustomerreturnscashwhichvalueequaltothestandardgoldenbarsubsequenttosellingoutthegoldenproducts.
二、买卖计价单位 ValuationUnitofTransaction
买卖是以国际标准黄金计量单位：
美元 /盎司计价。
Unitsofmeasurementofgoldtransactionissubjecttointernationalstandard,viz.priceofUSDollar/Ounce.
一盎司＝31.1035克 Anounce=31.1035gram
为了避免承担客户的汇率风险，折算人民币计价时，客户确认固定换汇率人民币 /美元为

三、买卖数量限制 QuantityLimitationofTransaction
本合同所指的黄金现货交易延期交收数量为每个交易单位5盎司。
单笔最大交易为 800盎司。
Theamountoftheextensiondeliveryofgoldspottransactionwhichisreferredhereinis5ouncespertransactionunitandthemaximumamountofeachtransactionis800ounces.
四、买卖价格确定 DeterminationofTransactionPrice
买卖时以国际黄金市场适时价格为依据，并依据国际同步的电子商务平台进行交易，在报价时美元 /盎司是交易数据。
Thetransactionwillbeconductedonthefundamentalofthecurrentpriceofinternationalgoldmarketinadditiontothecommerceplatformbeinginternationalsynchronization,andUSD/Ounceisthetransactionfundamentalforquotationofprice.
五、买卖方式选择 ModeSelectionofTransaction
1、客户可自行选择通过现场或远程方式进行买卖，或远程订货。
Clientmayselectatitsdiscretiontheon-siteorlong-distancetransactionorlong-distanceordering.
2、现场买卖是指乙方在甲方指定的或双方约定的场所依据国际黄金市场适时价格进行买卖。
Thesite-transactionreferstothesameonwhichpartyBconduct,onthecurrentpriceofinternationalgoldmarket,atthesitewhichisdesignatedbypartyAoragreedbypartieshereof.
远程买卖或订货是指乙方在自行选定的场所通过通讯、网络的电子商务平台等进行买卖，具体为：
Thelong-distancetransactionororderingreferstothesamewhichpartyBconductatthesitewhichisselectedbyitself,throughtheelectroniccommercialplatformsofcommunicationandnetworkandsoon,particularsofwhichareasfollows:
（1）电话报单买卖：
乙方通过拔打专线报单电话，以当时工作人员的报价作为买卖的依据，并确定自己的买卖意向及数量，工作人员根据乙方的指令进行操作；
Transactionofphone-declarationreferstothatpartyB,onthefundamentaloftransactionbystaff’scurrentquotation,confirmitsbusinessintentionandamountforwhichstaffconducttheoperationonpartyB’sinstruction.
（2）电子报单买卖：
乙方通过互联网自助报单系统凭买卖帐号和买卖密码登录，以国际黄金市场的电子商务平台进行买卖。
TransactionofelectronicdeclarationreferstothatpartyBconductthetransactiononelectroniccommercialplatformofinternationalgoldmarketthroughtheinternetself-servicedeclarationwhichisenteredintodependingonthetransactionaccountandpassword.
3、乙方可自行选择下列方式进行交货
PartyBmayselectbyitselfoneoffollowingmeanstocarryoutthedelivery.
（1）即期交货：
指乙方要求的实物交收期在下单后买卖合同成立之日起五日内（包括五日）。
Spotdeliveryreferstothe termofgolddeliverywhichisrequiredbypartyBiswithintheperiodoffivedays（andincluding）onandfromtheestablishmentofcontractafterplacinganorder.
（2）预期交货：
指乙方要求的实物交收期在下单后买卖合同成立之日起五日以后（不含五日）具体交收日期由乙方另行指定，甲方根据乙方的指令操作。
AnticipateddeliveryreferstothetermofgolddeliverywhichisrequiredbypartyBiswithintheperiodoffivedays（exceptincluding）onandfromtheestablishmentofcontractafterplacinganorder,thespecificdateofdeliverywillbeotherwisedesignatedbypartyBandpartyAwillmakeoperationunderpartyB’sdirection.
4、乙方通过远程买卖方式进行延期交货买卖的具体规则详见《附件一》；乙方通过现场买卖方式进行延期交货买卖的，参照《附件一》执行。
乙方指定交收日期进行实物交收时，实物交收的程序及规则按照本合同第七条执行。
ThespecificprovisionsofthedeferreddeliverytransactionthroughpartyB’slong-distancetransactionaredefinedin APPENDIXONE;partyBwill,makingreferencetoAPPENDIXONE,conductthedeferreddeliverythroughspottransaction.ProvidedthatpartyBmakedeliveryofgoldonthedatewhichisdesignated,theprocedureandrulesofgolddeliverywillbeexecutedpursuanttoArticleSevernhereof.
六、买卖规则 TransactionRules
1、定金：
乙方的延期交货买卖以定金的形式进行，定金买卖细则详见《附件一》。
Deposit:
PartyB’sdeferreddeliverywillbeconductedbydepositforwhichthedetailrulesaremadereferencetoAPPENDIXONE.
2、买卖程序 TransactionProcedure
（1）乙方的买卖都应订立书面合同，买卖合同包括书面订立合同、保存在电子商务平台的电脑原始记录资料等。
PartyB’stransactionshouldbesubjecttothesignatureofwrittencontract,thetransactioncontractincludethesameinwritingandtheoriginaldatawhicharerecordedincomputeroftheelectroniccommercialplatformandsoon.
（2）乙方通过现场买卖的，乙方应当在进行买卖时签订书面买卖合同。
ProvidedthatpartyBconductthespottransaction,partyBshouldonthetimeofcarryingouttransactionsignwrittencontractofsale.
（3）乙方通过远程买卖的，确认电子商务平台的原始保存资料与书面买卖合同具有同等法律效力，即为每次买卖成立的依据；乙方也可要求到营业场所另行签订书面买卖合同作为补充。
RespecttopartyB’slong-distancetransaction,partyBshouldconfirmtheoriginaldataofelectroniccommercialplatformhavetheequallegalforceandeffectwiththewrittensalecontract,viz.thefundamentalofeachtransaction’sestablishment;PartyBmayrequiretomakesignatureofthewrittencontractatbusinessplaceassupplementaryagreement.
（4）乙方可直接下达买卖指令、定金调拨指令、亦可授权委托他人下达买卖指令、定金调拨指令、签署书面买卖合同。
但不可委托甲方工作人员下达买卖指令、定金调拨指令及签署买卖合同。
PartyBmaydirectlyordertheinstructionsofsale,depositappropriationandmayauthorizeothertoordertheinstructionsofsale,depositappropriationandsignatureofcontract,providedthatnoanyinstructionofsale,depositappropriationandsignatureofcontractcanbeissuedtopartyA’sstaff.
（5）乙方如授权委托他人签署书面买卖合同，应当出具授权委托书，委托书应写明委托期限及授权范围等。
委托书经甲方审查确认，方可由其授权代理人进行相关行为。
乙方的授权代理人的行为产生的法律后果由乙方自行承担。
IntheeventthatpartyBentrustothertomakethesignatureofwrittensalecontract,partyBshouldsubmitthePowerofAttorneyonwhichtheentrustedtermlimitedandauthorizeditemsshouldbespecified.ThePowerofAttorneyshouldbesubjecttopartyA’sreviewandexambeforetheagentcanconductrelativeactsforwhichanylegalconsequenceswillbeundertakenbypartyBitself.
（6）乙方委托的授权代理人均可在授权范围内代为操作乙方开设的买卖账户。
但授权代理人向乙方作出的任何声明或保证，不构成甲方的任何声明或保证：
乙方明确同意甲方无须对此类授权代理人的任何行为负责。
AnyagentwhichisauthorizedbypartyBcan,withintheauthorizationscope,operatepartyB’ssaleaccountforandonbehalfofpartyB,providedthatanystatementorguaranteemakebyentrustedagenttopartyBwillnotbeconstitutethesameofpartyAandpartyBspecificallyagreethatpartyAwillassumenoliabilityorresponsibilityforanyactandbehaviorconductedbytheauthorizedagentofsuchkind.
3、结算 Settlement
在交易时间内电子商务系统将按照国际市场价格的变化对乙方的订单情况进行即时结算。
TheimmediatesettlementofpartyB’sorderwill,withintheperiodoftransaction,pursuanttothealterationofinternationalmarketprice,beconductedbyelectroniccommercialsystem.
4、代理费 CommissionFees
乙方根据以下条款向甲方支付代理费。
PartyBshouldontheprovisionshereinafterpaythecommissionfeestopartyA.
（1）乙方申请实物交收的，按本合同第七条第 3款第（3）项支付相关费用。
