ValueAddedResellerAgreement

MANGOSOFT,INC.

3COMCORPORATION

VALUEADDEDRESELLERAGREEMENT

ThisValueAddedResellerAgreement（this"Agreement"）ismadebyand

betweenMangoSoft,Inc.（"Licensor"）,withaplaceofbusinessat1500WestPark

Drive,Suite190,Westborough,Massachusetts01581,and3ComCorporation

（"3Com"）,withaplaceofbusinessat5400BayfrontPlaza,SantaClara,CA

95052.TheeffectivedateofthisAgreementshallbethedatesetforthonthe

signaturepagehereto（"EffectiveDate"）.ForpurposesofthisAgreement,"3Com"

shallmean3ComCorporationanditssubsidiaries.

WHEREAS,Licensoristheownerofcertainsoftwareandothertechnology

asmoreparticularlydescribedinExhibitA.

WHEREAS,3ComdesirestoobtainalicensetosuchLicensorsoftwareand

technologyinordertodevelop,manufactureandmarketproductsincorporating

theLicensorsoftwareandtechnologyandLicensoriswillingtogrant3Coma

licenseuponthetermsandconditionssetforthbelow.

NOW,THEREFORE,inconsiderationofthemutualcovenantsherein

contained,theadequacyandsufficiencyofwhichareherebyacknowledged,3Com

andLicensoragreeasfollows:

1.DEFINITIONS.

1.1."CONFIDENTIALINFORMATION"meansthatinformationandknow-howof

eitherparty（"DisclosingParty"）whichisdisclosedtotheotherparty

（"ReceivingParty"）pursuanttothisAgreement,inwrittenformandmarked

"Confidential,""Proprietary"orsimilardesignation,orifdisclosedorally,

theDisclosingPartyshallindicatethatsuchinformationisconfidentialatthe

timeofdisclosureandsendawrittensummaryofsuchinformationtothe

ReceivingPartywithinthirty（30）daysofdisclosureandmarksuchsummary

"Confidential,""Proprietary"orsimilardesignation.Forpurposeshereof,the

LicensorSoftwareshallbedeemedtobeConfidentialInformation.Referencesto

3ComasaReceivingPartyoraDisclosingPartyshallalsoincludeallpresent

andfuturesubsidiaryandparentcompaniesof3Com.

1.2."DOCUMENTATION"meanstheenduserdocumentationfortheLicensor

Softwarewhichisprovidedto3Comtoassist3ComincreatingtheEndUser

documentationforthe3ComProducts.

1.3."ENDUSER"meansathirdpartysublicenseddirectlyorindirectly

by3Comtousethe3ComProductsfortheEndUser'scustomaryinternalbusiness

purposesandnotforredistribution.

1.1."LICENSORSOFTWARE"meanstheobjectcodeofLicensor's

proprietarysoftwareproductsandanyUpdatesthereofasspecificallysetforth

inExhibitAheretowhichareusedtocreatethe3ComProducts.

1.2."UPDATES"meansmaintenancereleasestotheLicensorSoftwareor

Documentationwhicharegenerallyavailable.

1.4."3COMPRODUCTS"meanthevalue-addedsoftwareapplicationsand

relateddocumentationspecificallysetforthonExhibitBhereto,whichcontain

orutilizetheLicensorSoftwareandDocumentationandwhichaddsubstantial

value.3ComProductsmaybebundledwithhardwareproductsormaybelicensedon

astand-alonebasis.

2.LICENSES.

2.1.3COMDISTRIBUTIONLICENSES.Licensorherebygrantsto3Coma

worldwide,perpetual,non-exclusivelicensetouse,reproduce,support,

demonstrate,marketanddistribute,directlyorindirectly（includingoverthe

internetorviaotherelectronicmeans）（i）theLicensorSoftwareinobjectcode

form,solelyaspartofthe3ComProducts,withfullrightstosublicenseand

havesublicensedsuchLicensorSoftwareandtherightsgrantedto3Comhereunder

tothirdparties,including,butnotlimitedto,3Com'sEnd-Usercustomers,

distributors,OEM's,resellersandsystemsintegratorcustomersand（ii）the

Documentation,whenintegratedintoordeliveredwith3Com'sEndUser

documentationforthe3ComProducts,orasotherwiseprovidedunderthis

Agreement,withfullrightstosublicenseandhavesublicensedsuch

Documentationandtherightsgrantedto3Comhereundertothirdparties,

including,butnotlimitedto,3Com'sEndUsercustomers,distributors,OEM's,

resellersandsystemsintegratorcustomers.The3ComProductscanbebundled

withthe3Comhardwareproductsorbelicensedonastand-alonebasis.

2.2.RESTRICTIONSONUSEANDTRANSFER.3Com'suseoftheLicensor

SoftwareandDocumentationshallbelimitedtothepurposesspecificallyset

forthinSection2herein.Withoutlimitingthegeneralityoftheforegoing,

3Comreceivesnorightstoandagreesnottodecompile,disassembleorotherwise

reverseengineertheLicensorSoftware.

2.3.TRADEMARKLICENSE.Licensorherebygrants3Com,subjectto

Licensor'sapproval,suchapprovalnottobeunreasonablywithheld,aworldwide,

non-exclusive,royalty-freeright,duringthetermofthisAgreement,toutilize

Licensor'strademarksspecifiedinExhibitCheretoinconnectionwiththe

advertising,promotionandsaleofthe3ComProducts.WhenusingLicensor's

trademarks,3ComwillindicatethatLicensoristheownerofsuchtrademark（s）.

3.DELIVERY&ACCEPTANCE.

3.1.GENERAL.AsinglecopyoftheLicensorSoftwareandDocumentation

willbedeliveredto3Comviaelectronictransmissionorviahardmedia,as

determinedby3Com.AllsuchshipmentsshallbeF.O.B.Origin.TheLicensor

Software,includinganyUpdates,issubjectto3Com'sinspectionandtestat

3Com'sfacilitybeforefinalacceptance.IfanyLicensorSoftwaredelivered

hereunderfailstoconformtothespecificationsforsuchLicensorSoftwareset

forthinExhibitDhereto,theDocumentationorotherrelevantwrittenmaterials

providedto3Com（collectively,the"Specifications"）,3Comshallnotify

LicensorofsuchfailureandLicensorshallhaveuptothirty（30）daysto

deliverto3ComconformingLicensorSoftware.IfLicensorfailstodeliver

conformingLicensorSoftwarewithinsuchthirty-dayperiod,3Comshallhavethe

right,withoutliability,toeithercancelpurchaseordersfortheLicensor

SoftwareorrequireexpeditedshippingofconformingLicensorSoftwareat

Licensor'ssolecost.

3.2.CONFORMANCETOSPECIFICATIONS.AllLicensorSoftwaredelivered

hereundershallfullycomplywith（i）theSpecificationsand（ii）allapplicable

UnitedStatesandforeignlaws,rulesandregulations.

4.PAYMENTS.

4.1.FEES.AllpaymentsunderthisAgreementshallbemadein

accordancewiththisSection4andwiththetermssetforthinExhibitEhereto.

ThepaymentsdescribedhereinareexpressedinU.S.dollarsanddonotinclude

anytaxes,dutiesorsimilarfeeswhichmaybecollectableorwithheldpursuant

tolaw.

4.2.PAYMENTTERMS.Exceptasotherwisespecifiedherein,allpayments

toLicensorwillbemadeinU.S.dollars,freeofanycurrencycontrolorother

restrictions.PaymentshallnotconstituteacceptanceoftheLicensorSoftware

orDocumentationby3Com.

4.3.TAXES.3Comshallpayallimportduties,customsfees,sales

（unlessanexemptioncertificateisfurnishedby3ComtoLicensor）,use,

withholdingandvalueaddedtaxes（exceptfortaxesimposedonLicensor'snet

income）withrespecttoanyproductssoldorlicensedandanyservicesrenderedto3CominrespectofthisAgreementorfurnishLicensorwithevidenceacceptabletothetaxingauthoritytosustainanexemptiontherefrom.

4.4.REPORTSANDAUDIT.3Comshallkeepadequaterecordstoverifyall

reportsandpaymentstobemadetoLicensorpursuanttothisAgreementfora

periodoftwo

（2）yearsfollowingthedateofsuchreportsandpayments.

Licensoranditsrepresentativesshallhavetherighttoreasonableaccessto

allbooks,accountingrecordsandothermaterialsof3Comanditsaffiliates

thatLicensordeemsrelevantforpurposesofdeterminingthefeespayableto

LicensorpursuanttothisAgreement.Totheextentpossible,3Comshallcause

anyapplicabledistributorof3ComProductstoprovideLicensorandits

representativeswithreasonableaccesstoallbooks,accountingrecordsand

othermaterialsthatLicensordeemsrelevantforpurposesofdeterminingthe

feespayabletoLicensorpursuanttothisAgreement.

5.SUPPORTSERVICES.

5.1.LINESUPPORT.SupportservicesfortheLicensorSoftwareshallbe

providedbythepartiesassetforthinExhibitFhereto.3Comshallbe

responsibleforsupportofthe3ComProducts.

5.2.DEVELOPMENTSUPPORT.Licensorshallprovidedevelopmentsupportto

3Comasmaybeagreedtofromtimetotimebythepartiesinwriting.

6.MARKETINGANDPUBLICITY.

6.1.DISCLOSURE.Licensorshallnot,without3Com'spriorwritten

approval,andexceptasrequiredbylawinthegoodfaithjudgmentofLicensor,

makeanypublicannouncementordisclosureastotheexistenceormattersset

forthinthisAgreement.

6.2.PRESSRELEASEANDHYPERTEXTLINKS.Notwithstandingtheforegoing,

（i）3ComshallpermitLicensortoissueapressreleaseupontheexecutionof

thisAgreementintheformprovidedinExhibitGhereto,subjecttoreasonable

revisionsasrequestedbyLicensor'spublicrelationsfirm;and（ii）3Comand

Licensorshalleachhostahypertextlinkonanappropriatepageoftheir

websiteslinkingausertotheappropriatepageoftheotherparty'swebsite,

allowingsuchusertoaccessrelevantinformationaboutthe3ComProductsand

additionalproductsandservicesoftheotherparty.Thepartiesheretoagreeto

cooperateinthedevelopmentandmanagementofsuchhypertextlinks.

6.3.LICENSORMARKETINGMATERIALS.3ComagreestoplaceLicensor's

printedmarketingmaterialsinthepackagingofthe3ComProducts,such

materialstobeproducedbyLicensorandprovidedto3ComatLicensor'sexpense.

7.PROPRIETARYRIGHTS.

7.1.OWNERSHIP.3ComacknowledgesandagreeswithLicensorthat,as

betweenLicensorand3Com,LicensoristhesoleowneroftheLicensorSoftware

andDocumentationandthatalltitle,includingbutnotlimitedtocopyrights,

trademarks,patentrightsandtradesecrets
