甲乙双方本着平等自愿和诚信的原则，经双方平等协商，就乙方在甲方资助、支持下赴欧洲攻读博士学位事宜，达成如下协议条款，以供签约双方共同遵守执行。
Basedontheprinciplesofequality,voluntarinessandgoodfaith,concerningPartyB’sgoingtoEuropeforaPhDunderthefundofPartyA,twoparties,throughequalnegotiation,havereachedandshallabidebythefollowingagreement.
第一条为招揽人才，甲方自愿资助乙方赴（国家）留学，帮助其至大学的教授处攻读博士学位，资助期限为4年（具体起止时间以乙方录取通知的留学期限为准）。
Article1Inordertoattracttalents,PartyAvoluntarilygrantsfinancialaidtoPartyBtostudyabroadin（country）foraPhDwithProfessorofUniversityforaperiodoffouryears.
第二条在乙方留学攻读博士学位期间，甲方自愿按照每月1350欧元（€1350/月）的标准，向乙方提供生活费资助，即甲方每年应提供资助费用总计16200欧元。
Article2DuringPartyB’spursuitofthePhD,PartyAvoluntarilyprovidePartyBwithlivingexpensesof€1350permonth,atthetotalamountof€16,200peryear.
第三条资助费用的支付
Article3Paymentofthefund
甲方应当于每年月日前通过的方式，将每年资助费用一次性及时、足额支付至乙方指定账户，乙方指定收款账户如下：

第四条服务期约定
Article4Serviceterm
乙方留学结束后回国的，应当服从甲方分配，到甲方安排的工作岗位工作，双方约定服务期不少于2年，自乙方上岗之日起算。
WhenPartyBreturnstoChinaafterstudyingabroad,he/sheshallsubmittoPartyA’sassignmentandworkatthepositionarrangedbyPartyA.Bothpartiesagreethattheservicetermshallbenolessthan2years,startingfromthedateofwork.
乙方在服务期内的具体工资标准及福利待遇由甲乙双方届时另行协商确定，但基本工资不得低于人民币元/月。
Thespecificwagestandardandbenefitsintheservicetermwillbeotherwiseagreedbybothparties.ThebasicwageshallnotbelessthanRMBYuanpermonth.
第五条双方权责
Article5Rightsandobligations
（一）甲方PartyA
1.本协议签订后，甲方应当按照本协议约定，及时、足额将每年的资助费用支付至乙方指定收款账户，以保障乙方顺利完成学业；
Upontheexecutionofthisagreement,PartyAshall,inaccordancewiththeprovisionsofthisagreement,paytheannualfundinfullandintimetotheaccountdesignatedbyPartyB,toensurePartyB’ssuccessfulcompletionofhis/herstudies.
2.乙方留学结束后，甲方有权要求乙方到安排的岗位提供服务。
AftertheendofPartyB’soverseasstudy,PartyAisentitledtorequirePartyBtoprovideserviceatthepositionPartyAarranges.
3.乙方未能够按照计划顺利毕业时，甲方有权对其延期毕业原因进行调查核实。
IfPartyBcannotgraduateaccordingtotheplan,PartyAhasrighttoinvestigateonthereasonsforthedelayedgraduation.
（二）乙方PartyB
1.乙方在留学期间，应当专心学业，提高自身的知识水平与专业技能，完成留学计划。
Duringoverseasstudy,PartyBshallconcentrateonthestudies,improvehis/herknowledgeandprofessionalskills,andcompletetheoverseasstudyplan.
2.乙方留学结束后，应当及时返回国内，按照约定到甲方处参加工作，运用其所学知识与技能为甲方创造实际的经济效益。
Aftertheendofoverseasstudy,PartyBshallreturntoChinaintime,workwithPartyAasagreedandthencreateactualeconomicbenefitsforPartyAbyapplyingtheknowledgeandskillshe/shehasobtainedabroad.
3.如本协议第一条约定的资助期限届满，乙方未能够顺利毕业的，乙方应提前天通知甲方，并及时向甲方申请延长资助期限。
IfPartyBcannotsuccessfullygraduateattheexpiryofthesubsidyperiodunderArticle1ofthisagreement,he/sheshallinformPartyAinadvancedaysandapplytoPartyAtimelyfortheextensionofsubsidyperiod.
第六条资助期限的延长
Article6Extensionofsubsidiaryperiod
如乙方无法顺利毕业非因其个人消极懈怠学业所致，经甲方调查核实后，甲方可根据乙方申请，适当延长资助期限，但每次延长期限最长不超过1年，申请延期次数不得超过2次。
IfPartyAinvestigatesandfindsthatPartyB’sfailuretograduateiscausedbyhis/herbeingnegativeorpassiveinstudy,itmayappropriatelyextendthesubsidyperiodaccordingtoPartyB'sapplication,providedthattheextensionperiodshallnotexceed1yeareachtime,andtheapplicationforextensionshallnotexceed2times.
第七条违约责任
Breachofagreement
1.如约定的资助期限届满，乙方因个人原因，在两次延期后仍然不能毕业的，乙方应向甲方支付违约金，违约金计算方式如下：
违约金=甲方资助总费用×120%。
IfPartyBcannotgraduateaftertwotimesofextensionduetopersonalreasonsattheexpiryoftheagreedsubsidiaryperiod,he/sheshallpayliquidateddamagestoPartyA,whichshallbecalculatedasfollows:
liquidateddamages=thetotalfundspaidbyPartyA*120%.
2.如乙方留学结束后未按约定回国为甲方服务的，乙方应向甲方支付违约金，计算方式如下：
违约金=甲方资助总费用×150%。
IfPartyBdoesnotreturntoprovideserviceforPartyAasagreedaftertheendofoverseasstudy,he/shepayliquidateddamagestoPartyA,whichshallbecalculatedasfollows:
liquidateddamages=thetotalfundspaidbyPartyA*150%.
3.如乙方在服务期限内停止为甲方提供劳务的，乙方应向甲方支付违约金，计算方式如下：
违约金=甲方资助总费用×未服务年限÷总服务年限×150%。
（注：
协议约定服务期限和实际服务期限精确到月，费用金额四舍五入，保留整数。
）
IfPartyBstopsprovideserviceforPartyAduringtheserviceperiod,he/shepayliquidateddamagestoPartyA,whichshallbecalculatedasfollows:
liquidateddamages=thetotalfundspaidbyPartyA*uncompletedyearsofservice/totalyearsofservice*150%.
4.本协议履行期间，如甲方未能按照本协议约定及时、足额支付资助费用的，每逾期一次，甲方应向乙方支付违约金人民币元（大写：
元整）。
逾期支付超过次的，乙方有权解除本协议。
Duringtheperformanceofthisagreement,PartyAshallpayliquidateddamagesofRMBYuantoPartyB（Capital:
Yuan）everytimeforitsfailuretograntthefundinfullandintimeasagreed.
5.除本协议另有约定外，任一方直接或间接违反本协议任何条款的均视为违约，违约方须向守约方支付违约金人民币元（大写：
元整）。
Unlessotherwiseprovidedbythisagreement,anydirectorindirectviolationofanyprovisionsofthisagreementbyanypartyshallbedeemedasbreachofagreementandthebreachingpartyshallpayliquidateddamagesofRMBYuantothenon-breachingparty.
6.甲乙双方均同意赔偿由于自身原因或违反本协议给守约方造成的实际损失（包括直接损失和预期可得收益），并支付守约方为避免或减少损失而支付的合理费用，包括但不限于诉讼/仲裁费、鉴定费、公证费、保全费、律师费。
Bothpartiesagreetocompensatefortheactuallossincludingdirectlossandexpectedgains,causedbyitsownreasonsorbreachofthisagreementtothenon-breachingparty,andpaythenon-breachingpartyforreasonableexpensesincurredforavoidingorreducingloss,includingbutnotlimitedtolitigation/arbitrationfee,authenticationfee,notaryfee,preservationfee,andattorneyfee.
第八条特别约定
Article8SpecialProvision
1.甲方资助乙方留学期间，乙方将同时申请中国国家奖学金。
如乙方申请中国国家奖学金成功的，自该笔奖学金发放至乙方账户之次月，甲方可以停止对乙方的资助，并要求乙方返还已支付的资助费用。
如乙方申请中国国家奖学金失败的，甲方则应当按照本协议约定继续为乙方提供资助，直至乙方毕业。
Duringtheperiodofstudyingabroad,PartyBmayatthesametimeapplyforaChinesenationalscholarship.IfPartyBsuccessfullyappliesfortheChinesenationalscholarship,PartyAmaystopfundingPartyBthenextmonthsincescholarshipispaidtoPartyB'saccountandaskPartyBtoreturnthefundwhichhasbeenalreadygiven.IfPartyBfailstoapplyforaChinesenationalscholarship,PartyAshallcontinuetoprovidefinancialassistancetoPartyBasagreedhereinuntilPartyB’sgraduation.
2.乙方应当在收到申请结果之日起日内，及时将其获奖情况告知甲方。
如乙方申请奖金学成功的，应当在甲方通知返还资助费用之日起一个月内将甲方已支付资助费用一次性退还至甲方指定账户。
本协议自乙方全额退回资助费用之日起失效。
PartyBshall,withindaysuponreceiptoftheapplicationresult,informPartyAoftheawardofscholarship.IfPartyBsuccessfullyappliesforascholarship,he/sheshallrefundtheamountpaidbyPartyAtotheaccountdesignatedbyPartyAinalumpsumwithinonemonthafterPartyA’snoticeofreturnofthefund.ThisagreementshallbecomeinvalidonthedatewhenPartyBrefundsthefullamount.
第九条争议的解决
Article9SettlementofDispute
1.本协议受中华人民共和国法律管辖并按其进行解释。
ThisagreementshallbegovernedbyandconstruedinaccordancewiththelawsofthePeople'sRepublicofChina.
2.凡因履行本协议所发生的争议，各方应友好协商解决，如协商不成，任何一方可向有管辖权的人民法院起诉。
Anydisputearisingoutoftheperformanceofthisagreementshallbesettledbythepartiesthroughfriendlynegotiation.Otherwise,eachpartymayfilealawsuitwiththepeople'scourthavingjurisdiction.
第十条其他事项
Miscellaneous
1.本协议经甲乙双方盖章（签字）后生效。
Thisagreementshallcomeintoforceuponbeingsealed（signed）bybothparties.
2.经甲乙双方协商一致，可对本协议进行补充、修改；补充、修改内容与本协议相冲突的，以补充、修改后的内容为准。
Thisagreementmaybesupplementedormodifieduponconsensusofbothpartiesthroughnegotiation.Incaseofanyconflictbetweenthesupplementaryormodifiedcontentsandthisagreement,thesupplementaryormodifiedcontentsshallprevail.
3.本协议一式贰份，各方各执壹份，具有同等法律效力。
Thisagreementismadeinduplicate,witheachpartyholdingonecopyandeachcopyhavingthesamelegaleffect.
