Forthebalanceofitscomposition,thematerialshallbefreeofconstituent’sdeleteriouselementsharmfultothesmeltingandrefiningprocess.

10000（tenthousand）DryMetricTons,+/-10%（plus/minustenpercent）ZincConcentrates,inSeller’soption.

3.SHIPMENT（装运）:

Incontainers,duringJuly2005,subjecttoSeller’sreceiptoffullyworkableLetterofCreditopenedbyBuyerinfavorofSellerinaccordancewiththeprovisionsofClause7andalsosubjecttosuitablevessel/containeravailability.Furthermore,novesselnominationwillbedoneuntilthefullyworkableLetterofCreditisinplace.

4.DELIVERY（交付）:

TheconcentratesshallbedeliveredonthebasisCIF（Incoterms2000）CYFangcheng/BeihaiormainChinaPorttobedeclaredtimelybybuyer.

AllTHCandothercostatthedisportforbuyer’saccount.

货物按照CIF防城港或北海港或其他中国主要港口的集装箱堆场进行交付且买方要及时知会交付地点。

所有码头操作费及其他费用由买方承担。

5.PRICE（报价）:

Thepriceofthematerialshallbethesumofthefollowingpayablemetals:

材料的价格应为以下金属的应付款项总和:

5.A）PayableMetals（应付款金属）:

5.A.1Zinc（锌）:

Buyershallpay85%（eightyfivepercent）ofthefinalzinccontent,subjecttominimumdeductionof8（eight）units,attheofficialLMECashSettlementquotationforSpecialHighGradeZincaspublishedinMetalBulletin,averagedovertheQuotationalPeriod.

买方应当支付内含物的85%

5.A.2Noothermetalsshallbepayable.

5.B）Deductions:

5.B.1TreatmentCharge（“T/C”）:

TheTreatmentChargeshallbeU.S.Dollars245.00（twohundredfortyfivepointzerozero）perdrymetrictonsofmaterialflatCIFCYFangcheng/BeihaiorMainChinaport.

5.B.2Nootherdeductionsshallbeapplicable.

6.QUOTATIONALPERIOD:

6.A.1TheQuotationalPeriod（“QP”）forzincshallbetheaverageofthesecondmonthfollowingthemonthofshipment（“M+2”）,asevidencedbytheonboarddateofBillofLading.

6.A.2SubjecttoreceiptoffullyworkableLetterofCredit,Buyershall,priortothelastLMEtradingdaybeforeQPstarts,pricethetotalmaterialatanytime,basisQPLMEpriceforzinc.TheminimumquantityforwhichBuyerisallowedtofixapriceeachtimeis500mt.

6.A.3However,ifthematerialisnotpricedpriortothecommencementoftheQP,thenthepriceforthatportionshallbefixedasper6.A.1above.

6.A.4FurthermoreanymaterialpricedpriortocommencementofthecontractualQPcanbeunpricedatanytime.Allvalidpricingorunpricingorderswillhavetobeissuedinwritingandsigned.Suchpricing/unpricingorderscanbecarriedoutifLetterofCreditvaluecoverstheoutstandingvalueofthematerialatthemarketpriceofthepricingorderandtheunpricingorderswillbecarriedoutonlyif90%letterofCreditvaluecoverstheoutstandingvalueofthematerialatthemarketpriceatthetimeoftheunpricingorder.

6.A.5EachtimematerialisunpricedinaccordancewithClause6.A.4above,SellerwillbeentitledtoearnaCommissionofDollars8.00permetrictonofmaterialunpricedor15%ofthegrossunpricingprofit,whicheveristhegreater.Sellershallremitanyremainingprofit,afterdeductingtheCommission,toBuyerwithin7bankingdaysafterfinalisationofthisContract.

6.A.6Thefinalpriceofthematerialshallbetheweightedaverageofeachofthepricesfixedaspertheaboveprovisionsaftertakingintoaccountanyofthematerial,whichhasbeenunpricedandanyover/underpricingovertheQP.

7.PAYMENT:

7.A.1100%paymentbyirrevocabledocumentaryLetterofCredit.Buyershallmake90%provisionalpaymentinDollars,netcash,eitheratsightor90daysaftersightagainstSeller’spresentationofthefollowingshippingdocuments:

ØFullset3/3OriginalcleanonboardOceanBillsofLadingmadeouttoorderandblankendorsed,withnotifypartytobeadvisedtimelybyBuyer.

ØFullsetoriginalcertificateofinsurancefor110%oftheCIFmaterialvalue.

ØProvisionalWeightcertificateindicatingmoistureinpercentage,wetmetrictonsanddrymetrictons,issuedbySeller.

ØProvisionalassaycertificateissuedbySeller.

ØCertificateoforiginissuedbySeller.

ØProvisionalInvoiceissuedbySeller.

PaymentshallbesecuredbywayofanirrevocabledocumentaryLetterofCreditissuedbyafirstClassChinesebanknominatedbyBuyertoSellerandacceptedbySellerandadvisedthroughFirstclassEuropeanbanktobeadvisedbySeller.

ThirdpartyLetterofCreditacceptable,BuyershallprovidewithLCopeningcompany'sinformationpromptlyaftersigningofthecontract.

TheLetterofCreditshallbeopenedbeforeJune27,2005usingpre-shipmentweights,assaysandpricesaveragedovertwofullcalendarweekspriortoSeller’spresentationofcalculationsforpurposeofopeningtheletterofCreditplusrelevantadjustmentcovering110%.SuchLetterofCreditshallbeissuedinaformandsubstanceacceptabletoSellerandshallbepayableeitheratsightor90daysafteronboarddateofbilloflading.TheLetterofcreditshallbeavailablefornegotiationandpaymentatthecountersofanybank.

AllissuingbankchargesareforBuyer’saccount.

Alladvising/negotiatingbankchargesforSeller’saccount.

7.A.2Theprovisionalpayment,shallbebasedupontheprovisionalweightandassaycertificatesissuedbytheSellerandtheapplicableprovisionalpricesasknowntwofullcalendarweekspriortoonboarddateofBillofLading.IfBuyerhaspricedthematerialquantitypriortopresentation,theprovisionalpriceshallthenreflectthetonnagepriced.

Shouldthemarketvalueexceedatanyonetime95%oftheLetterofCreditvalue,theSellershallaskforanamendmentoftheLetterofCredit.Ifsuchamendmentisnotreceivedwithin3daysorifLMEpriceincreaseinsuchawaythatthemarketvalueofthedeliveredgoodsexceed100%ofthe100%LetterofCreditvalue,whicheverisearlier,Sellerhastherightbutnottheobligationtopricethematerialwithoutanyfurthernotice.IffinalsettlementinfavorofBuyer,SellershallpaythebalanceduetoBuyerlatestfiveworkingdaysafterreceivedoffinaldebitnote.

7.A.3TheLetterofCreditshallbeavailablefordrawingbySelleronthefinalsettlementwhenalldetailsrelatingtofinalweight,priceandqualityareknown,againstpresentationofSeller’sfinalinvoice.

Thefinalsettlementshallbethevaluedeterminedinaccordancewiththerelativeclausesinthiscontractregardingweight,assaysandprices,lessprovisionalpaymentseffected.

7.A.4FordeferredpaymentLetterofCredit,BuyershallpaySellerfinancecharges,atthepublishedFinancialTimesofLondonthreemonthsLIBOR（quotedononboarddateofBillofLading）plus1.5%,calculatedfor90calendardays,basis90%provisionalinvoiceamount.SuchchargesshallbeallowedforintheLetterofCreditandshallbeincludedinfirstprovisionaldrawing.

7.A.5IfduedatefallsonaSaturdayorNewYorkbankingholidayotherthanMonday,paymentshallbemadeontheprecedingNewYorkbankingday.IfpaymentduedatefallsonaSundayorMondaybankholidayinNewYork,paymenttobemadeonthenextNewYorkbankingday.

8.WEIGHING,SAMPLINGANDMOISTUREDETERMINATION:

Forthepurposeoffinalsettlement,weighing,samplingandmoisturedeterminationshallbecarriedoutforthebuyer’saccountattheportofdischarge,inaccordancewithstandardinternationalpractises,performedbyCIQ/CCIC.ThefinalweightshallbedeterminedbyCIQ/CCIC,inconjunctionwithSeller’srepresentativeusingdraftsurvey（bulkshipment）orweightscale（containershipment）methodinseller’soptionandsuchweightshallbefinalandbindingonbothparties.TheSellerand/ortheProducerhastherighttobepresentattheseoperationsbyasurveyororrepresentative,actinginnameandonbehalfoftheSellerand/ortheProduceratitsownexpense.Thesamplelotsizeshallbeapproximately500wmtandeachlotshallformaseparateandcompletedeliveryforthepurposesofsettlementofweightandmoisturecontent.Representativesamplesshallbetakenfromeachlotwiththefollowingdistribution:

-2setsforsupplier

-2setstobekeptbyCIQ/CCICinreserveforumpirepurpose.

-2setstobeheldbySeller’srepresentativeinreserveforumpirepurpose.

AllsamplesshallbesealedandsignedjointlybyCIQ/CCICandSeller’srepresentative.

9.ASSAYING:

9.A.1AssaysforzincshallbemadeindependentlybyBuyerandSeller,onalotbylotbasis,fromsamplestakenattheaboveoperations.Theseresultsshallbeexchangedinthenormalcommercialmannerlatest45daysfromdateoftheweighing/sampling/moisturereport.ShouldthedifferencebetweenBuyer'sandSeller’sresultsbenotmorethan:

thentheexactmeanof
