ThisNon-DisclosureAgreement（the―Agreement‖）is

披露方或接受方单独称为―一方‖，合称为―双方‖。
TheDisclosingPartyandtheReceivingPartywillbereferredtoindividuallythe―Party‖andcollectivelyasthe―Parties‖.
鉴于:

双方为发展、评估双方进行业务往来的机会（―业务往
来‖），追求双方的共同利益，将进行协商和讨论。
在讨论和
协商过程中，披露方将向接受方披露保密信息。
TheParties,fortheirmutualbenefits,willdiscussandnegotiatewitheachotherinordertodevelopandevaluatethepotentialopportunityforbusinessdealingswitheachother（the―BusinessDealing‖）.Intheprocessofdiscussionandnegotiation,thePartiesmayhaveexchangedorwishfurthertoexchangeConfidentialInformationasdefinedbelow.
为保证保密信息的安全和机密以及双方的合法权利，经
过平等协商和在公平、平等的原则基础上，双方约定如下:

1.术语Terms
1.1本协议所指的―保密信息‖，是指在本协议签订之前或
之后，由披露方或受其委托的第三方所披露或者提供的，不
论是否以口头、书面或电子形式为载体;也不论披露方是否
在该信息上标明―保密‖或其他类似标记的所有数据、信息和
资料。
保密信息包括但不限于:
―ConfidentialInformation‖shallmean,anydata,informationormaterialthataredisclosedorfurnishedbytheDisclosingPartyorthethirdpartiesauthorizedbyDisclosingPartyafterorpriortotheexecutionofthis

orotherwise）.TheConfidentialInformationincludesbutnotlimitedto:
（1）与该披露方及其供应商、子公司、关联公司、客户、
董事、股东未来的或潜在的业务、项目、产品、系统、服务、
技术、运作、流程、计划、发明创造、技术诀窍、设计、软
件等相关的所有数据、信息和资料;及alldata,information
andmaterials,inrelationtotheDisclosingPartyanditssuppliers,Affiliated,subsidiaries,customers,directors,shareholders,concerningitsbusinesses,projects,products,systems,services,technologies,operations,processes,plans,inventions,know-how,designs,software;and
（2）关于披露方及其供应商、子公司、关联公司、客户、
董事、股东的各种管理制度、操作规范、市场策略、竞争策
略、价格策略、市场营销的所有数据、信息和资料;及
alldata,informationandmaterials,inrelationtotheDisclosingPartyanditssuppliers,Affiliated,subsidiaries,customers,directors,shareholders,concerningthesystemofmanagement,thespecificationofoperation,marketingstrategy,competitionstrategy,pricestrategy,andsalespromotion;and

（3）关于本协议及业务往来（已经进行了和拟进行的）的信
息和细节。
theinformationanddetailsofthisAgreementandtheBusinessDealing。
1.2尽管存在上述规定，保密信息不包括以下信息:
Notwithstandingtheprovisionsaforesaid,theConfidentialInformationshallnotincludethefollowing:
（1）接受方已经独立开发的信息，且接受方未曾违反任何
法律、法规或侵犯披露方的任何权利，并且该等信息是在接
受方依照本协议条款从披露方获悉该等信息之前独立开发
的;或
informationthattheReceivingPartyhasdevelopedindependentlyandwithoutviolatinganylaworregulation
ortherightsoftheDisclosingPartypriortoacquiringthesamefromtheDisclosingPartyinaccordancewiththetermsofthisAgreement;or
（2）接受方在依照本协议条款从披露方获悉之前已合法占
有的信息，且接受方无需对该等信息承担任何具有约束力的
保密义务;或
informationthattheReceivingPartyalreadyhadinitspossessionlegallypriortoacquiringthesamefromtheDisclosingPartyinaccordancewiththetermsofthis

Agreementandwhich,isnotsubjecttoanyotherdutyofconfidentialitybindingontheReceivingParty;or
（3）属于公知信息，且公知状态并非由于接受方的过错所
导致;或
Informationthat,throughnofaultoftheReceivingParty,becomesknowntothepublic;or
（4）接受方在未违反其对披露方承担的任何义务的情况下
从第三方获得的信息。
InformationobtainedfromathirdpartyinamannerwhichdoesnotbreachanyofReceivingParty?
sobligationstotheDisclosingParty.
1.3―专业顾问‖指为本协议之目的，由一方雇用的以提供
建议的律师、会计师、审计师、财务顾问、银行和其他专业
或技术顾问及其承包人;
―ProfessionalAdvisors‖shallmeanslawyers,accountants,auditors,financialadvisers,banksandotherprofessionalsortechnicaladvisersandtheiremployeesandcontractorsretainedbyeitherPartytoprovideadviceforthepurposeofthisAgreement.
1.4―关联公司‖指直接或间接控制或受控于该方或者与该
方受到共同直接或间接控制的公司或其他实体。
―Affiliates‖ofapartymeansacorporationorotherentity

indirectlycontrolledbyorundercommonControlas,suchParty.
1.5―控制‖指直接或间接拥有一个实体至少百分之五十
（50%）的表决权（或相当于）或行使管理控制的权利。
―Control‖meansthedirectorindirectownershipofatleastfiftypercent（50%）ofthevotingrights（ortheirequivalent）ofanentityortherighttoexercisemanagementcontrol.
2.保密信息的使用UseofConfidentialInformation
2.1接受方应确保披露方的保密信息得到严格的保密。
未
经披露方事先书面同意，接受方不得基于本合同以外的目的
使用保密信息，也不得将保密信息披露给任何第三方。
TheReceivingPartyshallmaintainConfidentialInformationinstrictconfidentiality.WithoutthepriorwrittenconsentoftheDisclosingParty,theReceivingPartyshallnotusetheConfidentialInformationforanypurposeotherthanthisAgreement,andshallnotdiscloseorfurnishConfidentialInformationtoanythirdparty.
2.2接受方应建立并维持有效的安全保密措施来保护保密
信息，防止任何未经本协议授权而对保密信息的了解或使
用;在履行上述义务时，接受方均应采取不低于保护其自身
保密信息所采用的措施，并自行承担相关的费用。

TheReceivingPartyshallestablishandmaintaintheeffectivesecuritymeasurestoprotecttheConfidentialInformationfromanyunauthorizedaccessoruse.InperformingtheobligationsunderthisAgreement,theReceivingPartyshalltakesafeguardmeasurestoprotecttheConfidentialInformationinamannernolessstrictlowerthanthatitaffordstoitsowninformationregardedassecretandconfidential.
2.3若接受方的有关董事、监事、经理、高级职员和雇员
其职责要求他们获知或者处理保密信息，则接受方将保证指
示该等人员遵守保密义务，并责成上述人员签订一份与本协
议条款同样严格的保密协议。
Ifthedirectors,supervisers,managers,officers,andemployeesoftheReceivingPartywhosedutiesrequirethemtoaccessorprocesstheConfidentialInformation,theReceivingPartyshallcauseeachofitsdirectors,supervisers,employeesorofficersandemployeestoexecuteaseparateconfidentialityagreementontermsnolessstrictthanthosesetoutherein.
2.4除非为实现本业务往来之目的而必须得到其专业顾
问、供应商、分支机构、关联机构的服务，而由此专业顾问、
供应商、分支机构、关联机构必须知晓该等保密信息外，不

得向上述机构/人员披露保密信息;并且，接受方在向上述机
构/人员披露保密信息时，应要求其签订与本协议条款同样严
格的保密协议，以确保保密信息的保密性。
TheReceivingPartyshallnotdisclosetheConfidentialInformationtoitsProfessionalAdvisers,suppliers,subsidiaries,AffiliatedexceptforthemwhoseservicesarerequiredforthepurposeofBusinessDealing,andsuchdisclosureshallbemadeonlyonaneed-to-knowbasis.Inaddition,theReceivingPartyshallexecuteaconfidentialityagreementontermsnolessstrictthanthosesetouthereinpriortodisclosingConfidentialInformationtosuchinstitutions/staffstoensuretheconfidentialityofConfidentialInformation.
2.5接受方不得复印、复制披露方所提供的保密信息，除
非是因为业务往来必须且副本或复制品应属于披露方的财
产。
即使在上述情况下，副本的数量也不得超过符合本业务
往来之目的的必要限度，同时，接受方对复印件、复制品应
采用与原件相同或相应的的保密水平。
TheReceivingPartyshallnotcopy,orreproduceanypartoftheConfidentialInformationexceptasmaybenecessaryfortheBusinessDealingandanycopiesofreproductionssomadeshallbethepropertyoftheDisclosingParty.

Notwithstandingthestipulationaforesaid,suchcopiesandreproductionsshallnotexceedthenumberwhichisnecessaryforthepurposeoftheBusinessDealing.Inaddition,theReceivingPartyshallapplythesamelevelorcorrespondingdegreeofconfidentialitytothecopiesandreproductionsasitappliestotheoriginals.
3.强制性披露CompulsiveDisclosure
相关法律、法规、法院命令、政府机关或者法律法规授权
的组织要求接受方披露保密信息，接受方披露该等信息不受
本协议的约束，条件是接受方应即时通知披露方该等保密信
息被要求披露。
ThedisclosureoftheConfidentialInformationmadebytheReceivingPartyinaccordancewithapplicablelaws,regulationsortheorderofcourt,governmentauthorityororganizations（authorizedbythelaworregulations）isnotsubjecttothetermsofthisAgreement,providedthattheReceivingPartyshallgivepromptnoticetotheDisclosingPartyoftherequestforsuchdisclosure.
4.保密信息的所有权OwnershipoftheConfidential
Information
披露方保留对其所披露的保密信息的所有权利和利益，除
披露方书面同意外，本协议的任何规定均未向接受方明示或

者暗示授予任何与保密信息有关的任何专有权或所有权。
TheDisclosingPartyreservesallrightsandinterestsintheConfidentialInformation.WithoutwrittenconsentoftheDisclosingParty,norightsorinterestsintheConfidentialInformationareexpresslyorimpliedlygrantedtotheReceivingParty.
5.陈述与保证RepresentationsandWarranties
披露方不对保密信息是否适于特定目的进行陈述和保证，
也不对应用上述保密信息是否会导致侵犯第三方权利或利
益进行任何的陈述和保证;同时，披露方亦无义务主动向接
受方提供额外信息以及对保密信息进行更新。
TheDisclosingPartymakesnorepresentationsorwarrantstomerchantabilityorfitnessforaparticularpurpose,orastowhetherornottheexploitationofanysuchConfidentialInformationwillinfringeanyrightsorinterestsofanyotherperson.Inaddition,theDisclosingPartyhasnoobligationtoprovidetheReceivingPartywithaccesstoanyadditionalinformationortoupdatetheConfidentialInformation.
6.文件退还ReturnofDocuments
接受方应在业务往来终止后的十五（15）个日历日内，向
披露方退还其全部保密信息及其全部副本（不论其是否是在

计算机磁盘、光盘读取器、光盘、硬盘或软件中或纸张载体
上存储、保存或记录的）;若接受方退还上述保密信息及其
全部副本为不可行，则接受方应将其销毁，或者从计算机或
其他电子系统中将其删除。
