甲方（发包方）：

PartyA（Employer）

乙方（被特许方/承包商）：

PartyB（Franchisee/Contractor）

鉴于甲方通过特许经营方式，赋予特许经营者依法投资建设、经营、管理本项目的权利，并在特许经营期满后向政府（甲方）或其指定机构移交本项目。

鉴于乙方同意以依法取得特许经营权的方式投资建设、经营、管理本项目，并在特许经营期满后向政府（甲方）或其指定机构移交本项目。

甲、乙双方经过友好协商，就本项目特许经营权投资建设、经营、管理、移交等有关事宜达成以下一致意见，并签订本合同，以兹双方共同遵守。

WHEREASpartyA,bythemodeoffranchisingoperation,grantthefranchiseewiththerightsofinvestment/construction,operationandmanagementthisproject inaccordancewithlawandtransferthisprojectupontheexpirationoffranchisingtermtothegovernment（partyA）orthedesignedauthoritybygovernment.

WHEREASpartyBacknowledgeandagree,bythewayofacquirementoffranchisingrightsinaccordancewithlaw,tomakeinvestment/construction,operation,managementandofthisproject,andtransferthisprojectupontheexpirationoffranchisingtermtothegovernment（partyA）orthedesignedauthoritybygovernment.

NOWTHEREFORETHISCONTRACTWITNESSESthatpartieshereto,throughamicablenegotiationontheconcernedissuesofinvestment/construction,operationandmanagementthisproject’sfranchisingrights,havereachedthemutualagreementandenterintothiscontractforpartiesabideby.

第一章  项目概况 ArticleOneProjectOverview

附属设施（包含但不限于服务区及设施、停车场及设施、收费站及设施、养护区及设施、管理办公区及设施、收费系统、监控系统、通信设施（高速公路正常运行所必需）、供配电设施、广告设施等）。

项目规格及标准：

本项目路线全长    公里，设计速度为    公里/小时，路基宽度    米，双向六车道高速公路技术标准建设，路面采用沥青混凝土，桥涵设计荷载采用公路—Ⅰ级，其他技术指标应符合交通部颁发的《公路工程技术标准》（JTC  B01-2003）中的规定。

建设期：

本项目建设期为    个月。

SpecificationandStandardofProject:

Totalroutelengthofprojectis     kilometers,thedesignspeedas     kilometers/hour,thewidthofroadbedas     meters,theconstructionstandardoftwo-waysixlanesofexpressway,asphaltconcretepavement,bridgedesignloadbyhighway–I,othertechnicalindicatorsshouldbesubjecttothestipulationsofTechnicalStandardofHighwayEngineering （JTC B01-2003）issuedbytheMinistryofCommunications.

第二章  投资资金 ArticleFour  InvestmentCapital

2.1 本项目投资预计金额为：

    万元（以政府交通行政主管部门批准的初步概算为准），本项目的资金来源应符合国家产业政策和资金管理的有关规定。

Thebudgetamountofthisprojectinvestmentis     millionYuan,subjecttotheprimarybudgetapprovedbytheadministrationauthorityofcommunications.ThefundingsourcesofprojectshouldbeinconformitywiththerelevantprovisionsofState’sindustrialpolicyandfundmanagement.

2.2 乙方应准备充足资金，确保本项目的资本金足额到位，以保证本项目工程建设的顺利实施。

PartyBshouldprepareadequateandenoughfundandensurefullfundinitsaccountforthesmoothimplementationofproject.

2.3 甲方有权监督乙方资金的到位情况。

在建设期间，如果乙方由于资金不足的原因，导致未能按施工承包协议约定的支付期限支付工程款，经甲方同意延期    个月后仍拖延支付工程款超过 3 个月以上的，甲方有权终止本合同，并追究因此造成的经济损失。

PartyAisentitletosupervisepartyB’sfundinitsbankaccount.ProvidedthatthefailureofeffectingWork’spaymentinstipulationofcontractduringconstruction,duetopartyB’sinadequacyoffund,andstilldelaythepaymentmorethanthreemonthsafterpartyA’sconsentofexpirationof     months,partyAisentitletoeffectterminationofthiscontractandclaimthecompensationofeconomiclossconsequentthereonorincidentalthereto.

2.4 本项目的资金投入应按工程建设进度的需要，分期、分批按计划注入。

在本项目全面竣工验收合格后，乙方根据批准的预算及实施过程中经审计认可的变更编制竣工结算，送甲方初审后，报审计机构审计。

Theinvestmentoffundtothisprojectshould,subjecttothenecessityofconstructionprogress,beeffectedinseparatetermsandbatches.PartyBshould,uponacceptanceoffullcompletionofthisproject,submitpartyAwiththefinalsettlementwhicharepreparedinaccordancewiththeapprovedbudgetandthealterationswhichareconfirmedbyauditduringtheimplementationofWorkforpartyA’spreliminaryreviewbeforeapplicationofAuditAgencyforauditing.

第三章  特许经营权  ArticleThree  FranchisingRights

3.1 特许经营权内容：

本项目的投资建设、经营、管理。

Thecontentsoffranchisingrightsareinclusiveofinvestedconstruction,operationandmanagement/administration.

3.2 特许经营权授予：

依照本合同的规定，甲方代表政府在此将本项目的特许经营权授予给乙方。

本合同签订后，乙方即获得对本项目进行投资建设、经营、管理的权利。

AwardofFranchisingRights:

PartyAwillhereby,pursuanttotheprovisionshereof,forandonbehalfofGovernment,grantpartyBwiththefranchisingrightsofthisprojectoperation.PartyBwill,uponthesignatureofthiscontract,enjoytherightsofinvestedconstruction,operationandmanagement/administration.

3.3 本合同授予乙方的特许经营权是独占性的，专属于乙方；甲方保证不将特许经营权的任何部分或全部再授予任何第三方。

ThefranchisingrightsofoperationbeingawardedbythiscontractisexclusivetopartyBandpartyAguaranteesthatnoanypartoralloffranchisingrightswillbeawardedtoanyotherparty.

3.4 特许经营期：

授予乙方特许经营权的期限，其中：

建设期 4 年，自本项目开工日起计算；收费经营期为 30年，建设完成后，按政府批准的开始收费之日起计算。

如本项目提前进入运行，该提前时间不计算在30年收费经营期之内，该提前运行期间收益由项目公司为维护本项目自主使用。

FranchisingPeriod:

ThetermlimitedwhichisawardedtopartyB’soperation,includingfouryearsconstructionperiodcountingfromtheprojectcommencementdate;thetermofchargingoperationis30years,whichwillbecountedfromthechargingdateapprovedbyGovernmentsubsequenttothecompletionofproject.

Providedthattheprojectisintoadvanceoperationpriortoschedule,  theadvanceperiodwillnotcalculatedintothe30year’soperationperiod,andtheproceedsthereofwillbeusedformaintenanceofprojectattheprojectcompanysolediscretion.

3.5 特许经营期的延长：

在特许经营期内，由于不可抗力或非乙方的原因，致使乙方无法正常经营的，或出现本合同中约定的需延长特许经营期的其他情形，乙方有权要求延长特许经营期；具体延长期限由双方协商后确定，并报有权批准的政府及部门批准后执行。

在特许经营期内乙方享有国家给予高速公路投资建设、经营的各种优惠政策，上述政策包括现行的及经营期间新出台的各项优惠政策。

ExtensionofFranchisingTerm:

ProvidedthatpartyBfailtocarryoutnormaloperationduringfranchisingterm,duetoforcemajuereandnon-partyB’sreason,orothermatterswhicharestipulatedhereoftoneedextensionoffranchisingterm,partyBisentitletorequiretheextensionoffranchisingoperation,however,thespecificextensionlimitedtimeshouldbeconfirmedbyparties’negotiationandputintoexecutionsubjecttotheapproveofGovernmentandcompetentauthority.

PartyBwill,intheperiodoffranchising,enjoyvariouspreferentialpoliciesofStateonexpresswayinvestmentandoperation,whichareincludingthevariouspreferentialpoliciesin  currentandnewissuedduringtheoperationperiod.

第四章  土地征用  ArticleSixLandAcquisition

4.1 由甲方协助乙方开展本项目征地拆迁、安置、补偿及地方协调等工作。

PartyAwillmakeavailabletopartyBassistanceofdemolition,resettlement,compensation,localcoordinationandotherworks,whicharerelatedonlandacquisition.

4.2项目永久性用地，包括但不仅限于下列建筑物用地：

高速公路、连接线、服务区、停车场、管理处、收费站、交警及路政基础设施等建设用地。

项目永久性征地、拆迁、安置和补偿的全部费用由乙方（项目公司）承担。

Permanentlandfortheprojectincludebutnotlimitedtothelandusedforfollowingbuildings:

Theconstructionlandofinfrastructuressuchashighway,connectingline,servicezone,parkinglot,managementoffice,tollstation,trafficpolice,roadadministrationandsoon.TheExpensesrelatingtothepermanentland,demolition,resettlementandcompensationshallbeontheaccountofpartyB（ProjectCompany）.

4.3  乙方（项目公司）负责与项目有关的拆迁、安置、补偿支付的有关费用；拆迁、补偿、安置工作由甲方协同有关各级政府完成；乙方及其为本项目成立项目公司对拆迁、安置、补偿费用的使用进行监督，确保该费用落实，以利于本项目的施工、运行正常进行。

Therelevantcostandexpenseof demolition,resettlementandcompensation,whicharerelatedtotheprojectwillbepartyB（Projectcompany）‘sliabilities;theworksofdemolition,resettlementandcompensationwillbeaccomplishedbyvariousgovernmentswiththeassistanceofpartyA;PartyBandtheprojectcompanywhichisestablishedforthisprojectwillmakesupervisiononthe  fundusefordemolition,resettlementandcompensationandensurethatfundinaccountsoastofacilitatethenormalexecutionandoperationofthisproject.

4.4 在特许经营期内永久性用地由乙方无偿使用。

双方应按照国家有关规定，及时向国土行政主管部门申请土地使用权登记，取得《国有土地使用权证》。
