ThisContract（hereinafterknownas“Contract”/以下称为“合同”）ismadebyandbetweentheSellerandtheBuyerwherebytheSelleragreestosellandtheBuyeragreestobuytheundermentionedProduct,onthetermsandconditionsstatedbelow:

买卖双方同意按照本合同下列规定条款和条件交易:

IronoreofFe63.5%ondrybasis.拉丁美洲/薩爾瓦多和洪都拉斯铁矿砂按条款（3）所定之品质规格:

铁矿砂含铁量为63.5%干基。

50,000DMT（FiftyThousandDryMetricTons+/-5%）合同总数量:

50,000干公吨±5%。

Clause-5PriceAdjustmentRelatingtoQuality/条款-5价格因品质调整Thepriceofironorestipulatedintheclausenumberfour（4）shallbeadjustedbythefollowingbonusandpenalties.通过奖罚办法来调整条款（4）所规定的价格。

5.1IronContent“Fe”/铁含量:

Bonus/增加价格:

Foreach1%ofFeabove63.5%（Fe）thepriceshallbeincreasedbyUSD3.50perdrymetricton（fractionsprorate）.在铁含量63.5%的基础上,每增加1%则每干吨价格增加3.5美元（以此方法按比例计算）.Penalties减少价格:

Foreach1%Febelow63.5%（Fe）thepriceshallbedecreasedbyUSD3.50perdrymetricton（fractionsprorate）.在铁含量63.5%的基础上,每减少1%则每干吨价格减少3.5美元（以此方法按比例计算）.TheBuyerhastherighttorejecttheProductifFecontentisbelow63.5%.如铁含量低于61.5%,买方有权拒收。

5.2OtherElements“impurities”/其它元素（杂质）:

Ifthecompositionofironoreinrespectofsilicon（sio）,aluminum（alo）,phosphorus（p）,223sulphur（s）,andtitanium（tio）exceedstherespectiveguaranteedmaximumassetforth2inclausenumberthree（3）,theBuyershallacceptsuchdeliveryofironorebyimposingpenaltiesprovidedbelow,fractionsprorate.如卖方所交货的铁矿砂成分含二氧化硅,氧化铝,磷,硫,超过条款（3）所规定的含量,买方将会接受交货并接受按以下降价比例计算罚款。

5.2

（1）Silicon（sio）/二氧化硅:

2USD$0.05（fiveUScents）perdrymetrictonforeach0.1%inexcessofguaranteed5.39%maximumassetforthinclausethree（3）.TheBuyermayrejectthecargoifSioexceeds6.00%2按条款（3）所规定最多不得超过5.39%,每超过0.1%,每干吨降价0.05美元。

如二氧化硅超过6.00%,买方有权拒收。

5.2

（2）Aluminum（Alo）/氧化铝:

23USD$0.05（fiveUScents）perdrymetrictonforeach0.1%inexcessofguaranteed1.16%maximumassetforthinclausethree（3）.TheBuyermayrejectthecargoifAloexceeds2%23按条款（3）所规定最多不得超过1.16%,每超过0.1%,每干吨降价0.05美元。

如氧化铝超过2%,买方有权拒收。

5.2（3）Phosphorus（p）/磷:

USD$0.05（fiveUScents）perdrymetrictonneforeach0.01%inexcessofguaranteed0.01%maximumassetforthinclausethree（3）.TheBuyermayrejectthecargoifpexceeds0.07%按条款（3）所规定最多不得超0.01%,每超过0.01%,每干吨降价0.05美元。

如超过0.07%,买方有权拒收。

USD$0.05（fiveUScents）perdrymetrictonneforeach0.01%inexcessofguaranteed0.01%maximumassetforthinclausethree（3）.TheBuyermayrejectthecargoifsexceeds0.09%按条款（3）所规定最多不得超过0.01%,每超过0.01%,每干吨降价0.05美元。

如超过0.09%,买方有权拒收。

5.3Size/粒度:

Intheeventthattheoversizequantityexceeds5cm,therespectiveguaranteedmaximumassetforthinclausethree（3）,theSellershallpaytotheBuyerthepenaltyatUSD0.50perdrymetricton,fractionsprorateforthequantitiesoforesabove10mminexcessof30%max.如卖方所交货的铁矿砂有30%以上超过条款（3）限制的粒度50毫米,卖方将按超量每干吨0.5美元降价并按降价比例计算罚款付给买方。

5.4Moisture/水分:

Intheeventthatthefreemoisturelossat105degreescentigradeexceedstherespectiveguaranteedmaximumassetforthinclausethree（3）,theSellershallcompensatetheBuyerforallthelossesofactualseafreightandProductweightcausedbytheexcessofmoisturecontentover8%.TheBuyershallprovidetheSellerwithCertificateissuedbyCIQasevidenceforthesaidclaim.如卖方所交货的铁矿砂在105℃下水分自然流失超过条款（3）限制的8%,卖方须赔偿买方因货物水分超过规定所损失的实际海运费及货物重量。

但买方必须提供CIQ水分检验超标证明作为赔偿的依据。

5.5LimitofLiability/限制责任:

TheSeller‟sliabilityforfailuretodeliverironoreconformingtothespecificationsassetforthinclausethree（3）shallbelimitedtothepriceadjustmentclausefive（5）whichshallbetheBuyer‟ssoleandexclusiveremedyforsuchnon-conformance.卖方不能提供按条款（3）所规定品质规格的货物,其责任只受条款（5）的规限,此作为买方之唯一补救办法。

Clause-6PerformanceBond（P/B）andL/CPayment/条款-6履约保函和信用证付款6.1PerformanceBond（P/B）/履约保函:

BeforetheissueofoperativeP/B,theSellershallsendP/BformattotheBuyerforBuyer‟sapprovalwithinthree（3）internationalbankingdaysaftersigningofthisContract.卖方在开出生效履约保函给买方之前,卖方必须在本合同签订后5个国际银行工作日内,开出履约保函式样给买方确认。

Withinthree（3）internationalbankingdaysafterreceiptofSeller‟sP/Bformat,theBuyershallsendL/CtextformattotheSellerforSeller‟sapproval.买方在收到卖方履约保函式样后5个国际银行工作日内,买方必须开出信用证式样给卖方确认。

UponBuyer‟sacceptanceofSeller‟sP/Bformatinwriting,theSeller„sultimatesuppliershallwithinfive（5）internationalbankingdaysthereafterissuedirectly,throughbanktobank,anon-operativeperformancebond（P/B）fortheamountofUSDxxx,000.00（USDollarsOneHundredThirtyThousandOnly）,coveringUSDxxx/MTforthefirstmonthlyshipmentquantityof50,000MT（FiftyThousandMetricTons）totheBuyer.卖方的最终供货商在收到买方履约保函式样确认书后,必须在5个国际银行工作日内,通过银行对银行向买方直接开出暂不生效履约保函,其金额为此合同首月交货数量50,000干公吨,以每公吨xxx美元计算的总金额壹拾叁万美元（US$xxx,000.00）。

SubjecttotheSeller‟sreceiptofmasteroperativeL/Ccoveringtheshipmentquantityofonemonths（FiftyThousandMetricTons）perissueatCIFUSDxxx.00/MTChinafromtheBuyerwithinfive（5）internationalbankingdaysaftertheBuyerinreceiptofSeller‟sultimatesupplier‟snon-operativeP/B,theSellershallwithinfive（5）internationalbankingdaysthereaftertransfertheoperativeL/CtotheSeller‟sultimatesupplier‟sbank.Thenon-operativeP/BreceivedbytheBuyerwillbecomeoperativeimmediatelyaftertheSeller‟sultimatesupplierinreceiptoftheSeller‟stransferredoperativeL/C.买方在收到卖方最终供货商的暂不生效履约保函后5个国际银行工作日内,将开出1个月交货总数量50,000干公吨,每公吨xxx美元CIF中国的生效信用证。

而卖方基于收到买方生效信用证后,必须在5个国际银行工作日内将此生效信用证转给其最终供货商银行。

在卖方最终供货商收到由卖方转给的生效信用证后,买方已收到的暂不生效履约保函将即时启动成为生效履约保函。

TheP/Bshallbevaliduntilthecompletionofloadingof50,000Mt（FiftyThousandMetricTons）oftheProductatloadingport.ThedateofcompletionofloadingshallrefertothedateofshipmentshownintheBillsofLading.履约保函有效期至货物50,000干公吨在装货港全数完成船装为止。

完成船装之日期以海运提单的装船期为准。

IftheSellerfailstomaketheshipmentontimeasstipulatedintheL/Cissuedandintheabsenceofanyfurtheragreementbetweentheparties,issuedL/CwillberevokedwithoutanyobjectionbySeller‟sbankortheSellerwherebyP/BwillbedrawnbytheBuyer.如果卖方未能按信用证规定时间装船付运,买卖双方又没有达成新的交货协议,该已开出的信用证会被撤销,同时买方将会收取履约保函之保证金,卖方及其银行均不得反对。

6.2L/CPayment/信用证付款:

TheBuyershallissueoperativeL/CasconditionalpaymenttotheSellerwithinfive（5）internationalbankingdaysaftertheBuyerinreceiptofSeller‟sultimatesupplier‟snon-operativeP/B.买方在收到卖方最终供货商的暂不生效履约保函后5个国际银行工作日内,必须开出已生效有条件信用证给卖方。
