ThankyouforyourinterestinanannualmaintenancecontractforPanasonicCopier.Theservicecontractwillentitleyoutothebelow:

（a）PreventiveMaintenance:

Thiswillbecarriedoutevery2months（i.e.6servicesduringtheyear）

（b）Servicecalls:

Theservicedept.willattendto12callsbythecustomeronfaultsontheequipmentduringtheperiodcontract.

（c）Consumables:

Consumablesliketoner,drum,rollers,andbladeswillbepurchasedbytheclientbutnolabourchargeforfitting,changingoradjustingtheconsumables.

（d）Spares:

AnestimateforanysparesrequiredwillbegivenanduponreceiptofLocalPurchaseOrderthepartschanged.NoLabourchargewillbeleviedforfixingthespares.

（e）CourtesyCopier:

Ineventofamajorbreakdownonthecopier,weshallprovideyouwithafreereplacementcopierfortheperiodprovided:

Theestimateforpartsin（d）isapprovedandaLocalPurchaseOrderissued.

2.2SERVICEPERIOD

Serviceshallbeprovidedonsiteduringnormalofficehours8:

30am-5:

00pmMondaytoFriday,（exceptpublicholidays）unlessotherspecialarrangementsaremadeandagreeduponbetweentheClientandCBS.AnychangeintheabovetimeschedulemustbebroughttothenoticeofCBSaweekinadvance.

2.3LOCATIONALCHANGE

TheClientshallberequiredtonotifyCBSinadvanceofanyintendedlocationalchangeoftheequipmenttoensurethattheequipmentisreinstalledsuccessfullywithoutalteringcontractspecifications.

2.4DURATIONANDTERMINATIONOFCONTRACT

Thiscontractisvalidfor1（one）yearfromdateofthisagreement.IncasetheClientorCBSdesirestoterminatethiscontract,awrittennoticeofnotlessthan30（thirty）dayspriortoterminationmustbeservedbyeitherpartyontheother.Prorataamountofservicecontractwillhavetobepaidbytheclientincaseofterminationofthecontract.ThiscontractshallautomaticallyterminateiftheClientsells,transfers,ordisposestheequipmentinrelationtowhichthiscontractapplies.Thechargesshallprevailasintheearliercontract,unlessalteredbywrittenconsentofbothCBSandtheClient.

2.5GENERALCONDITIONSOFTHECONTRACT

1.Equipmentspecificationchanges,alterationsoradditionalattachmentsmaynecessitateachangeintheservicingchargerates.

2.Repairsoradjustmentsbyunauthorisedpersons,malfunctionofequipmentduetoattachmentofotherequipmentnotcoveredbythiscontract,malfunctionofequipmentduetouncontrolledpowerfluctuationsandlightening,grossnegligence,accident,misuseofequipmentoruseofsub-standardconsumablesrendersthiscontractvoid.

3.ThiscontractisnottransferableorassignablewithoutthewrittenconsentofCBS.

4.CBSreservestherighttoexcludeanyequipmentfromthiscontractwheninitsopinion,thespecificationsgivenoritsconditionaredoubtful.

5.UndernocircumstanceswillCBSberesponsibleforanylossofprofitabilityoranyconsequentialloss,howeverrising.

6.CBSshallundernocircumstancesberesponsibleforthemisinterpretationofthiscontract.

7.TheclientshallensurethattheequipmentremainscleanatalltimesandonlyallowCBSpersonnelaccesstotheequipmentforthepurposesofservicingandwillfacilitatetheirworkineverywaypossible.

8.Theclientshallensurethattheequipmentisinsuredagainstanydamage,injuryorlosstotheequipmentcausedbyfire,water,explosion,riotsoranyotheractoromissionbeyondtheforeseeablecontrolofCBS.

9.AllsparespartsandconsumableproductsshallbepurchasedfromCBSduringthecontractperiod.ThecontractshallbeterminatedandCBSshallnotbeliableforrefundtotheClientiftheaboveisnotadheredto.

2.6BREACHOFCONTRACT

（a）Iftheclientisinbreachofanytermsofthiscontract,CBSshallservewrittennoticeontheclientspecifyingsuchbreachandrequiringthesametoberemediedwithinaperiodof14（fourteen）days.Iftheclientshallfailtoremedysuchbreachwithin14（fourteen）daysthiscontractshallterminateforthwithwithoutanyfurtheractiononthepartofCBSbutwithoutprejudicetoanyoutstandingrightsorremediesofeitherpartyhereunder.

（b）CBSmayterminatethiscontractifthroughmisuseornegligencenotattributabletoCBStheequipmentisinitsopinionnotsuitableforuseandmaintenanceortheequipmentisinterferedwithbyanyotherpersonotherthanaCBSauthorisedrepresentativeortheClienthasusedaccessoriesormaterialsnotrecommendedorauthorisedbyCBSmanufacturers.

2.7SEPARATECONTRACT

Insofarasthiscontractrelatestomorethanoneitemofequipment,itshallbeaseparatecontractinrespectofeachsuchitemofequipment.

3.CHARGESSCHEDULE

3.1Routinepreventivemaintenanceandservicetomaintainpeakefficiencyofequipmenttominimizeinterruptionshallbecarriedoutonceevery

2monthseffectivefromthedateofawardofthecontract.Forclientsup-country,routineserviceshallbebetween45daystosixtydayssubjecttoamaximumof8servicesinoneyear.

3.2CBSwillcarryoutroutineservicingofthemachineandthechargeisdependentontheparticularmodelofthesame.Thesechargesshouldbepaidwithin15daysofthedateofthisagreementfailuretowhichcontractshallberenderedvoid.

3.4CBSreservestherighttovaryitschargesatanytimeduringthecurrencyofthisagreement.

3.5ThiscontracttogetherwiththescheduleofchargesshallconstitutetheentireAgreementbetweenthepartiesheretoandnostatementorrepresentation,oralorotherwiseshallbebindingoneitherparty,otherthanthetermsandconditionshereinsetout.
