CLAUSE1-SCOPEOFTHECONTRACT合同范围

ThebuyerhasagreedtobuyonaCIFbasis,aquantityof100,000MT（OneHundredThousandMetricTons）permonthofRUSSIANMAZUTGRADEM-100,GOST10585-75for12months.

买方同意这项M-100,GOST10585-75买卖100,000（10万吨）1个月为期12个月，价格为到岸价。

签妥合同后，于五个银行工作日内须向卖方发出银行跟单信用証草稿副本。

OneoriginalandonecopyofthecertificateofquantityandqualityissuedbyCIQatthedischargeport.IntheeventthatBuyerisunabletoprovidethesaidCIQinspectionreportwithin7days,SGSreportfromportofloadingwillbeusedinsteadforthepayment.

买家如不能在7天内提交中国商验报告到银行，卖家将会以装货港的SGS报告作为信用

证付款文件。

Shipmentwillstartaccordingtoconditionsofthecontractandaccordingtoagreedschedule.

装运将会开始于合同生效和双方同意的时间表。

Eachpartyheretowillbearitsrespectivebankingcosts/charges.双方各自承担自己银行的费用。

E11-INSURANCE保险

Sellerathisownexpenseshallprocureapolicywithafirstclassmarineinsuranceinstitutetocoverthe110%（onehundredtenpercent）ofthevalueofthecargo.Theinsurancepolicywillcoverallrisksoflossordamagestosaidcargo,includingwar,hijacking,explosions,etc.fromthetimecargohaspassedintotheship'smanifoldflangesattheloadingport.

卖家需购入保额百分之一百一十,保险需包含此等风险：

战争、劫持、爆炸,直至

船到达目的港。

3.CopyofStatementofAvailabilityoftheProducts

4.Copyoftherefinerycommitmenttoproducetheproduct

5.Copyoforigincertificate.

6.CopyofissuedtankreceiptsandSGSreportbycertifyingthequantityandqualityofthe

atloadingport.

7.CopyofCharterPartyAgreement（s）totransporttheproducttodischargeorAuthoritynumber,nameofloadingportcontractnumber.

ThequalityandtheweightoftheproductsshallbeascertainedandcertifiedbySGSatloadingportatSeller'scostSGSCIQatthedischargingportattheBuyer'scostbo.

在装货港口的产品质量和重量将由卖家负责费用聘请SGS验证,而在卸货港口的产品

质量和重量将由买家负责SGS/CIQ验证费用。

CLAUSE16-TAXESANDOBLIGATIONS税项和义务

16.1TheSellershallpayalltaxes,dutiesandpermitsrelatedtoExport.所有一切与出口有关之税项、关税和许可证等费用，将由卖家支付和负责。

16.2TheBuyerorBuyer'sAgentshallpayalltaxes,dutiesandpermitsrelatedtoImport.所有一切与进口有关之税项、关税和许可证等费用，将由买家支付和负责。

E17-APPLICABLELAW适用的法律

TheEnglish（UK）orHongKongLawshallgovernallmattersrelatingtothevalidity,interpretationorperformanceofthiscontract.

此合同之所有有效性,翻译及履行将由英国或是香港法律管理
