SolutionProviderAgreement供给解决方案-

1.DELIVERYOFSOURCEMATERIALTOSOURCEFILE.Uponexecutionofthisagreement,DepositorshalldelivertoSOURCEFILEaparcel（theParcel）sealedbyDepositor,whichDepositorrepresentsandwarrantscontainstheSourceMaterial..DuringthecourseoftheAgreement,andatthesametimeasrevisionstotheOBJECTCODE,（includinganyIMPROVEMENTS,CORRECTIONS,ENHANCEMENTS,UPGRADES,andUPDATESwhichPROVIDERisrequiredtoincorporateinthe[Software]aredeliveredbyDepositor,DepositorshalldelivertoSOURCEFILEtherevisedSourceMaterialEscrowMaterialsSOURCEFILEhasnoknowledgeof,andmakesnorepresentationswithrespectto,thecontentsorsubstanceoftheParcel,theSoftwareortheSourceMaterial.DepositorshallsendtoSOURCEFILEaduplicateoftheSourceMaterialwithinthree（3）daysafterreceivingwrittennoticefromSOURCEFILEthattheSourceMaterialhasbeendestroyedordamaged.AllsupplementsshallbesubjecttothetermsandprovisionsofthisAgreement.2.ACKNOWLEDGMENTOFRECEIPTBYSOURCEFILE.SOURCEFILEshallpromptlyacknowledgetoDepositorandtoBeneficiarythereceiptoftheParcelandanysupplementstotheSourceMaterialwhichareaddedtotheParcel.DepositorshallprovidesupplementstotheSourceMaterialforeachversionoftheSoftware.ARsuchsupplementsshallbesubjecttothetermsandprovisionsofthisAgreement.SOURCEFILEwillnotifyBeneficiaryandDepositorofeachupdatetotheSourceMaterial.Suchnotificationwillbesentviacertifiedmail,returnreceiptrequired.SOURCEFILEwillprovideanaccountstatusreporttotheBeneficiaryandDepositoronasemi-annualbasis.3.ACKNOWLEDGMENTBYBENEFICIARIES.ForpurposesofthisAgreement,alicenseeoftheSoftwareunderafullyexecutedLicenseAgreement,shallbeaBeneficiaryhereunderwithsuchrightsofaBeneficiaryassetforthherein,onlyif（i）suchlicenseehassenttoSOURCEFILEafullyexecutedcopyoftheformofacknowledgmentattachedheretoasExhibitB,inwhichsuchlicenseeacceptsthetermsofthisAgreementand（ii）allfeesarepaid.ThenamesandaddressesoftheBeneficiariesshallbedescribedinoneormoreschedulesofBeneficiaries.AscheduleofBeneficiarieseffectiveasofthedateofthisAgreementisattachedheretoasExhibitC.AllotherlicenseesoftheSoftwareshallhavenorightshereunderandSOURCEFILEshallhavenodutiestosuchlicensees.4.TERMSANDCONDITIONSOFTHESOURCEMATERIALESCROW.TheParcelshallbeheldbySOURCEFILEuponthefollowingtermsandconditions:

（i）Beneficiary’srighttopossessionoftheSourceCodeissubjecttoBeneficiary’sexecutionofaregistrationdocumentwithSOURCEFILEandpaymenttoBBBofanannualfeeforBeneficiary’sparticipationinsuchescrowaccount.SuchregistrationdocumentshallprovideBeneficiaryaccesstotheSourceCode,therighttouseandmodifytheSourceCodesolelytomaintainandsupportBeneficiary’scurrentandfuturecustomersoftheLicensedMaterialandtherighttoproduceobjectcodecopiesofthemodifiedLicensedMaterialaspartofBeneficiary’sapplicationsforuseinaccordancewiththetermsoftheAgreement,subjecttothefollowingconditions:

（a）BeneficiaryisincompliancewiththetermsoftheAgreement;（b）BeneficiaryhasavalidlicensetotheLicensedMaterial;and（c）BeneficiaryhasavalidmaintenanceagreementwithBBBforsupportoftheLicensedMaterial,andeither

（1）ApetitioninbankruptcyhasbeenfiledinBBB’sname,whethervoluntarilyorinvoluntarily,andsuchpetitionisnotwithdrawnwithin90daysofsuchfilingor

（2）pursuanttoBBB’sobligationsunderavalidmaintenanceagreementwithBeneficiary,BBBhasconsistentlyandrepeatedlyfailedorrefusedtocorrectacatastrophicerrorornumerousindividualerrorsintheLicensedMaterialswhichrenderthelicensedmaterialscommerciallyunusable.Providedthattheaboveconditionsexist,andBeneficiaryhasgivenDepositorwrittennoticeofsuchbreachwhichwasnotcuredwithin60days（theReleaseCondition）,thenSOURCEFILEshallfollowthefollowingproceduressetforthinthisSection4,parts（h）,（iii）,（iv）and（v）.（ii）SOURCEFILEshallpromptlynotifyDepositoroftheoccurrenceoftheReleaseConditionandshallprovidetoDepositoracopyofBeneficiary’snoticetoSOURCEFILE.（iii）IfSOURCEFILEdoesnotreceiveContraryInstructions,asdefinedbelow,fromDepositorwithinsixty（60）daysfollowingSOURCEFILE’sdeliveryofacopyofsuchnoticetoDepositor,SOURCEFILEshalldeliveracopyoftheSourceMaterialtoBeneficiary.ContraryInstructionsforthepurposesofthisSection4shallmeanthefilingofwrittennoticewithSOURCEFILEbyDepositor,withacopytotheBeneficiarydemandingdelivery,statingthattheReleaseConditionhasnotoccurredorhasbeencured.（iv）IfSOURCEFILEreceivesContraryInstructionsfromDepositorwithinsixty（60）daysofthegivingofsuchnoticetoDepositor,SOURCEFILEshallnotdeliveracopyoftheSourceMaterialtotheBeneficiary,butshallcontinuetostoretheParceluntil:

（1）otherwisedirectedbytheDepositorandBeneficiaryjointly;

（2）SOURCEFILEhasreceivedacopyofanorderofacourtofcompetentjurisdictiondirectingSOURCEFILEastothedispositionoftheSourceMaterial;or（3）SOURCEFILEhasdepositedtheParcelwithacourtofcompetentjurisdictionoraTrusteeorreceiverselectedbysuchcourtpursuanttothisSection4,part（v）below.（v）UponreceiptofContraryInstructionsfromDepositor,SOURCEFILEshallhavetheabsoluteright,atSOURCEFILE’selection,tofileanactionininterpleaderrequiringtheDepositorandBeneficiarytoanswerandlitigatetheirseveralclaimsandrightsamongstthemselves.SOURCEFILEisherebyauthorizedtocomplywiththeapplicableinterpleaderstatutesoftheStateof_________（state）inthisregard.5.TERMOFAGREEMENT.ThisAgreementshallhaveaninitialtermofthree（3）years.Thetermshallbeautomaticallyrenewedonayearlybasisthereafter,unlessDepositor,Beneficiary,orSOURCEFILEnotifiestheotherpartiesinwritingatleastforty-five（45）dayspriortotheendofthethencurrenttermofitsintentiontoterminatethisAgreement.6.COMPENSATIONOFSOURCEFILE.DepositororBeneficiaryagreetopaySOURCEFILEreasonablecompensationfortheservicestoberenderedhereunderinaccordancewithSOURCEFILE’sthencurrentscheduleoffees,exceptthatanyfeesassociatedwithEscrowReleaseRequestsandTechnicalReview/VerificationRequestsinitiatedbyaBeneficiarymustbepaidbythatBeneficiaryinaccordancewithSOURCEFILE’sthencurrentscheduleoffees.DepositororBeneficiarywillpayorreimburseSOURCEFILEuponrequestforallreasonableexpenses,disbursementsandadvances,includingsoftwareduplicationcharges,incurredormadebyitinconnectionwithcarryingoutitsdutieshereunder.7.LIMITATIONOFDUTIESOFSOURCEFILE.SOURCEFILEundertakestoperformonlysuchdutiesasareexpresslysetforthherein.8.LIMITATIONOFLIABILITYOFSOURCEFILE.SOURCEFILEmayrelyonandshallsuffernoliabilityasaresultofactingorrefrainingfromactinguponanywrittennotice,instructionorrequestfurnishedtoSOURCEFILEhereunderwhichisreasonablybelievedbySOURCEFILEtobegenuineandtohavebeensignedorpresentedbyapersonreasonablybelievedbySOURCEFILEtobeauthorizedtoactonbehalfofthepartieshereto.SOURCEFILEshallnotbeliableforanyactiontakenbyitingoodfaithandbelievedbyittobeauthorizedorwithintherightsorpowersconferreduponitbythisAgreement.SOURCEFILEmayconsultwithcounselofitsownchoice,andshallhavefullandcompleteauthorizationandprotectionforanyactiontakenorsufferedbyithereunderingoodfaithandinaccordancewiththeopinionofsuchcounsel.9.INDEMNIFICATIONOFSOURCEFILE.SOURCEFILEshallberesponsibletoperformitsobligationsunderthisagreementandtoactinareasonableandprudentmannerwithregardtothisescrowarrangement.ProvidedthatSOURCEFILEhasactedinthemannerstatedintheprevioussentence,DepositorandBeneficiaryeachagreetoindemnify,defend,andholdharmlessSOURCEFILEanditsagentsandemployees（collectively,SOURCEFILE）fromanyandallclaims,demands,liability,costsandexpenses（includingattorney’sfees）incurredbySOURCEFILEdirectlyorindirectlyarisingfromorrelatingtotheSourceMaterialand/orSOURCEFILE’sperformanceofitsdutiesunderthisAgreement.10.RECORDKEEPINGANDINSPECTIONOFSOFTWARE.SOURCEFILEshallmaintaincompletewrittenrecordsofallmaterialsdepositedbyDepositorpursuanttothisAgreement.DuringthetermofthisAgreement,DepositorshallbeentitledatreasonabletimesduringnormalbusinesshoursanduponreasonablenoticetoSOURCEFILEtoinspecttherecordsofSOURCEFILEmaintainedpursuanttothisAgreementandtoinspectthefacilitiesofSOURCEFILEandthephysicalconditionoftheSourceMaterial.11.TECHNICALVERIFICATION.BeneficiaryreservestheoptiontorequestSOURCEFILEtoverifytheSourceMaterialforcompletenessandaccuracy.AtBeneficiary’sexpense,SOURCEFILEmayelecttoperformtheverificationatitssiteorattheDepositorssite.DepositoragreestoreasonablycooperatewithSOURCEFILEintheverificationprocessbyprovidingitsfacilitiesandcomputersystemsandbypermittingSOURCEFILEandatleastoneemployeeofBeneficiarytobepresentduringtheverificationofSourceMaterial.12.RESTRICTIONONACCESSTOSOURCEMATERIAL.SOURCEFILEshallmaintaintheSourceMaterialsinasecure,environmentallysafe,lockedreceptaclewhichisaccessibleonlytoauthorizedSOURCEFILEemployees.SOURCEFILEshallnotdisclosethecontentsofthisAgreementtoanythirdparty.If
