DISTRIBUTORAGREEMENT

ThisDistributorAgreement（“Agreement”）ismadeandenteredintoonthedateof（“EffectiveDate”）between:

acompanyincorporatedunderthelawsof,withaddressat

（Hereafterreferredas“Distributor”or“Purchaser”）.

XXXDevelopmentLimited,acompanyincorporatedunderthelawsofHongKong,withaddressat（Hereafterreferredas“XXX”or“Seller”or“Supplier”）.

WHEREAS

A.Distributorisanexperiencedandhighlyreputablecompany,isengagedinaproviding,distributingopensourcehardproducts,electronicdevices,computers,telecommunicationproducts;

B.XXXisaleadingsupplierofopensourcehardwareproducts,spareparts,accessoriesandrenderingafter-saleservices,trainingservices;

C.Distributorisinterestedtopromoteandbeanon-exclusivedistributorofcertainXXXproductsofferedandaswellasexploreadditionalandfutureopportunitieswithXXXrelatedtotheMarket.DistributorpresentsandwarrantstoXXXthatithasfullexperience,expertise,skillandcapacityinthisindustrysoastodetermineitsownbusinessmarketplanning.ThisshallmeanDistributordoesnotrelyonXXX’sexperience,skillandjudgmentastodetermineitsownbusinessmarketplanningXXXfullyreliesontherelevantpresentsandwarrantsmadebyDistributor;

D.ThisAgreementshallbeconsideredastoestablishaframeworkandgeneraltermsandconditionsunderwhichtherelevanttransactionsinPOsshallbeissuedandaccepted.ThisAgreementshallbeperformedthroughPOsplacedandacceptedunderit.ThegeneraltermsandconditionssetoutinthisAgreementshallgoverntheinterpretationofrelevantPOs.UponreceiptofeachwrittenPOunderthisAgreementfromthePurchaser,theSellershallconfirmitsacceptanceorrejectionexpresslyinwriting.AfteracceptanceofanyPO,bothPartiesshallperformsuchrelevantPOsinaccordancewiththetermsofsuchPOandthetermsandconditionsofthisAgreement.

E.ThisentireAgreementanditsAnnexures,andanyrelevantPOs,andanysupplementsandamendments,alterations,modificationsasagreedbythePartiesinwriting,shallnotbeinterpretedinaccordancewithContraProferentemRule.

TheabovepreamblesshallbeconsideredtobetheintegralpartofthisAgreement.

NOWTHEREFORE,inconsiderationoftheirmutualconsents,convents,considerations,thepartiesagreeasfollows:

1.DEFINITIONS

1.1“OpenSourceHardwareProducts”meanselectronicorcomputerhardwarebuiltfromdesigninformationthatcouldbecopyrightedorlicensedbuthasinsteadbeenmadeavailableforpublicuseatnocharge.Suchinformationcanincludedocumentation,schematicdiagrams,constructiondetails,partslistsandlogicdesigns.

1.2“ConfidentialInformation”meansnon-publicinformationthatapartydesignatesasbeing‘proprietary’or‘confidential’orwhichbyitsnatureorthecircumstancesreasonablyoughttobetreatedasconfidential.ConfidentialInformationincludestheparty’ssoftwareandprototypesandinformationrelatingtotheparty’sbusinessaffairs,includingbusinessmethods,marketingstrategies,pricing,competitorinformation,productdevelopmentstrategies,andfinancialresults.”ConfidentialInformationdoesnotincludeinformationwhich（a）isknownbythereceivingpartyoritsaffiliates（asdefinedbelow）,freeofanyobligationtokeepitconfidential;（b）isatthetimeofdisclosure,orthereafterbecomes,publiclyavailablethroughnowrongfulactofthereceivingpartyoritsaffiliates;（c）isindependentlydevelopedbythereceivingpartyoritsaffiliates,withoutrelyingonorreferringtotheConfidentialInformationofdisclosingparty;or（d）isapprovedforreleasebypriorwrittenauthorizationofthedisclosingparty.ForpurposesofthisSection1.2,“affiliates”meansanycorporationorotherbusinessentityinwhich,butonlyforsolongas,eitherPartyownsorcontrolsdirectlyorindirectlymorethan50%oftheoutstandingstockorothervotingrightsentitledtoelectdirectors.

1.3“EndUser（s）”meansanindividualthatacquirestheProducts,

1.4“EffectiveDate”meansthedateonwhichthisAgreementisexecutedbyauthorizedofficersofbothparties.IftheAgreementissignedontwodifferentdates,theEffectiveDateshallbethelatterdate.

1.5“IntellectualPropertyRights”meansanycopyrights,trademarks,servicemarks,tradesecrets,patents,patentapplications,moralrights,contractualrightsofnon-disclosureoranyotherintellectualpropertyorproprietaryrights,howeverarising,throughouttheworld.

1.6“PO”meanspurchaseorderwhichisfirmandirrevocableproposalunderthisagreementandasmaybeissuedfromthedistributortoseller.

1.7“Territory”shallmean.

1.8“Affiliate”means,inrespectofaParty,anypersonorentitywhichdirectlyorindirectlyControls,isControlledbyori
