　　anyclaimbythebuyersregardingthecargoshallbesupportedbysurveyreportissuedbyasurveyorapprovedbythesellerandlodgedwithin45daysafterthearrivalofthecargoattheportofdestinaton.thesellerwillnotconsiderclaimsinrespectofmatterswithinresponsibilityofinsurancepanyorshippingpany.

　　shouldthesellerfailtomakedeliveryontime,thebuyershallagreetopostponethedeliveryontheconditonthattheselleragreesofpayapenaltywhichshallbedeductedbythepayingbankatthetimeofpayment.therateofpenaltyischargedat%ofthetotalvalueofthecargowhosedeliveryhasbeendelayedforeveryweek,odddayslessthanaweekshouldbecountedasaweek.butthetotalamountofpenaltyshallnotexceed5%ofthetotalvalueofthecargoinvolvedinthelatedelivery.incasethesellerfailotmakedelivery10weekslaterthanthetimeofshipmentstipulatedonthecontract,thebuyershallhavbetherighttocancelthecontractandthesellershallstillpaytheaforesaidpenaltytothebuerwithoutdelay.

　　incasethequalityand/orquantity/weightarefoundthebuyerstobenotinconformitywiththecontractafterarrivalofthegoodsattheportofdestination,thebuyersmaylodgeclaimwiththesellerssupportedbysurveyreportissuedbyaninspectionorganizaitonagreeduponbybothparties,withtheexception,however,ofthoseclaimsforwhichtheinsurancepanyand/ortheshippingpanyaretobeheldresponsible.claimforqualitydiscrepancyshouldbefiledbythebuyerswithin30daysafterarrivalofthego

　　thesellershallnotbeheldresponsibleforlatedeliveryornon—deliveryofthegoodsduetoflood,fire,earthquake,snowstorm,drought,hailstorm,hurricane,orothereventsthatarebeyondthecontroloftheseller.butthesellershallnotifythebuyerbycabelassoonaspossibleandgivethebuyeracertificateby6registeredmailissueddbythechinacouncilforthepromotionofinternationaltradeorotherpetentauthorities.

　　ifshipmentofthecontractedgoodsispreventedordelayedinwholeorinpartduetoforcemajeure,thesellersshallnotbeliablefornon—shipmentorlateshipmentofthegoodsunderthiscontract.however,thesellershallnotifythebuyersbyfaxortelexandfurnishthelatterwithin15daysbyregisteredairmailwithacertificateissuedbythepetentauthoritiesattheplaceofoccurrenceattestingsucheventorevents.

　　规定在我国仲裁的条款：

　　alldisputesinconnectionwithorarisingfromthecontractshallbesettledamicablythroughnegotiation.incasenosettlementcanbereachedbetweenthetwoparties,thecaseshallbesubmittedtothechinaintermationaleconomicandtradearbitrationmission,beijingforarbitraitoninaccordancewithitsrulesofarbitration.thearbitralawardisfinalandbindinguponbothparties.thearbitrationfeeshallbebornebythelosingpartyunlessotherwiseawardedbythearbitrationcourt.

　　规定在被诉方仲裁的条款：
