language&version/text）IntroductionnAconsiderablylargepartofinternationaltradeishandledbymeansofagency.Bothlarge-sizedandsmall-andmedium-sizedbusinessfirmsfinditmoreeconomicalandlessriskytoselland/orbuygoodsorserviceswiththehelpofforeignagents.Animportantreasonforappointingaforeignagentishisknowledgeofthelocalmarketconditionsandhisextensivebusinessconnections.Theagentknowswellwhatproductsaremostsuitableforthelocalmarketandwhatpricesareaffordabletothelocalcustomersorconsumers.Therefore,theprincipalcandeveloptradeinaforeignmarketbyappointinganagent,andcansaveboththeexpenseandthetroubleinvolvedinsettingupapresenceandlookingforpotentialbuyersorsellersinaforeignmarket.nAsfarasinternationaltradeingoodsisconcerned,therearemainlytwotypesofagent:

generalagentandexclusiveagent/soleagent.nAgeneralagentisanindividualorabusinessorganizationthatactsupontheinstructionsordirectionsgivenbytheprincipal（s）tosellortobuygoodsunderthebesttermsobtainable.Ageneralagentchargesacommissionfortheservicesprovidedundersomesortofagencyagreementorcontract.nAnexclusiveagentorasoleagentisanindividualorabusinessorganizationthatoperateexclusivelyforoneforeignprincipalwiththeexclusiveorsoleagencyrighttosellgoodsonacommissionbasisinacertainterritoryundersomekindofagencyagreementorcontract.I.Basiccontentsofanagencyagreementnthenatureandduration（term）oftheagency;ntheterritorytobecovered;ntheobligations/dutiesofbothagentandprincipal;nthemethodofpurchaseandsale;ndetailsofcommissionandexpensestobeallowed;nthegoverninglaw;nsendingmarketreports/accounts/payment;nthearbitrationarrangementintheeventofdisputes;notheritems.II.Theformatofanagreement/contract:

stylisticfeaturesnOpening/preamble;body;mainarticles/;andclosingparts.nAcontractisbynaturealegaldocument.Itisusuallymadeupofanopening,thebody,whichconsistsofgeneralandlegalclauses/articles,andtheconcludingpart.Theopeningpartofthecontractisoftencalledthepreamble,whichbrieflystatesthewillingnessandcommitmentsofthesigningpartiesandtheimplementationofthesaidContract.Itincludesnamesofthepartiesconcernedandthenatureoftheagreement,etc.Whileintheconcludingpart,itcontainstimeandplaceofsigning,andtheeffect-takingandexpiration,etc.EXAMPLEnPreamblenThisContractmadeandenteredintothisX（day）ofX（month）,20,-（year）,byandbetweenABCCo.Ltd.,acorporationorganizedandexistingunderthelawsofXXXcountry,havingitsprincipalofficeat（place）,（country）（hereinaftercalledtheEmployer）oftheonepartandXYZCo.Ltd.,acorporationorganizedandexistingunderthelawsofXXXcountry,havingitsprincipalofficeat（place）,（country）（hereinaftercalledtheContractor）oftheotherpartnWITNESSETHnWHEREAS,theEmployerisdesirousthatmanpowershouldbesuppliedforconstructionofXXXprojectat（place）,（country）（hereinaftercalledtheWorks）,andnWHEREAS,theContractorisdesiroustosupplythemanpowerfortheWorks,nNOWTHEREFORE,inconsiderationofthepremisesandofthemutualcovenantstobefaithfullyperformedhereincontained,thepartiesheretoagreeasfollows:
