三、翻译

1.Thepricequotedincludes5％commissiononFOBbasis.

该报价为FOB的价格并含5％的佣金。

2.UnderCPT,CIP,“carrier”meansanypersonwho,inacontractofcarriage,undertakestoperformortoprocuretheperformanceoftransport,byrail,road,air,sea,inlandwaterwayorbyacombinationofsuchmodes.

在CPT、CIP项下，“承运人”指在货物运输合同中承诺通过铁路、公路、航空、海运、内河水运或多式运输等方式完成货物运输的人。

3.UnderFCA,thechosenplaceofdeliveryhasanimpactontheobligationsofloadingandunloadingthegoodsatthatplace.Ifdeliveryoccursattheseller’spremise,thesellerisresponsibleforloading.Ifdeliveryoccursatanyotherplace,thesellerisnotresponsibleforunloading.

在FCA项下，交货地的选择对货物的装船与卸载责任有影响。

如果交货地基于卖方，卖方有装载责任。

如果交货地在其它地方，卖方对卸载没有责任。

4.UnderFOB，thesellermustdeliverthegoodsonthedateorwithintheagreedperiodatthenamedportofshipmentandinthemannercustomaryattheportonboardthevesselnominatedbythebuyer．Andthebuyermustbearallrisksoflossofordamagetothegoodsfromthetimetheyhavepassedtheship’srailatthenamedportofshipment．

在FOB项下，卖方必须在约定的日期或期限内，在指定的装运港，按照该港习惯方式，将货物交至买方指定的船只上。

买方必须自货物在指定的装运港越过船舷之刻起承当货物灭失或损坏的一切风险。

（1）、EXW（工厂交货）

a.内容

EXWtermmeansthesellerdeliverswhenheplacesthegoodsatthedisposalofthebuyerattheseller’spremisesoranothernamedplace（i.e.,works,factory,warehouse,etc.）notclearedforexportandnotloadedonanycollectionvehicle.

b.风险转移

Theseller’sobligationsceasewhenthebuyeracceptthegoodsatthefactoryorwarehouse.

◆FCAissuitablefordomestictradeandEXWissuitableforinternationaltrade.

◆PaymenttermsforEXWtransactionaregenerallycashinadvanceandopenaccount.

（2）、FCA（货交承运人）

a.内容

FCAmeansthatthesellerdeliversthegoods,clearforexport,tothecarrierspecifiedbythebuyeratthenamedplaceofdelivery.

b.风险转移

WhenusingtheFCAterm,itisadvisabletoclearlyspecifyinthecontractsofsaleandcarriagetheprecisepointofdelivery,astheriskpassestothebuyeratthatpoint.

◆Freightforwardercanalsoactas“carrier”.

◆Ifdeliveryoccursattheseller’spremises,thesellerisresponsibleforloading.Ifdeliveryoccursatanyotherplace,thesellerisNotresponsibleforunloading.

◆TheFCAtermisoftenusedwhenmakinganinitialquotationforthesaleofgoods.

（3）、FAS（装运港船边交货）

a.内容

FAStermmeansthatthesellerdeliverswhenthegoodsplacedalongsidethevessel（e.g.,onaquayorabarge）nominatedbythebuyeratthenamedportofshipment.

b.风险转移

Theriskoflossordamagetothegoodspasseswhenthegoodsarealongsidetheship,andthebuyerbearallcostsfromthemomentonwards.

◆WhenusingtheFASterm,itisadvisabletoclearlyspecifyinthecontractsofsaleandcarriage,notonlythenameportofshipment,butalsothepreciseloadingpointatorwithinthenamedportofshipment.

◆TheFAStermiscommonlyusedinthesaleofbulkcommoditycargosuchasoil,grains,andore.

◆UsualpaymenttermsforFAStransactionarecashinadvanceandopenaccount,butletterofcreditarealsoused.

（4）、FOB（装运港船上交货）

a.内容

b.风险转移

（5）、CFR（成本加运费）

a.内容

CFRtermmeansthatthesellerclearsthegoodsforexportanddeliversthemonboardthevesselattheportofshipment,orprocuresthegoodsalreadysodelivered.

b.风险转移

Theriskoflossofordamagetothegoodspasseswhenthegoodsareonboardthevessel.

◆Whenthegoodsareloadedonboardthevessel,thesellershouldsendshippingnoticetothebuyer.

◆WhenusingtheFASterm,itisadvisabletoclearlyspecifyinthecontractsofsaleandcarriage,notonlythenameportofshipment,butalsothepreciseloadingpointatorwithinthenamedportofshipment.

CFRLinerTerms

Theshipisresponsibleforthedischargeofgoods.Theunloadingchargesareincludedinthatispaidbytheseller.

CFRLanded

Thegoodsmustbeunloadedontothedock.Thesellerisresponsiblefordischargeofthegoodsandpaysthecost,includinglighterageandwharfagecharges.

CFREX-Ship’sHold

Thesellerfulfillshisobligationswhenhehasmadethegoodsavailabletothebuyerforunloading.Thebuyerpaysthecostfordischargingthegoodsfromtheship'shold.

（6）、CIF（成本、保险费加运费）

a.内容

CIFtermmeansthatsellerclearsthegoodsforexportanddeliversthemonboardthevesselattheportofshipment,orprocuresthegoodsalreadysodelivered.

b.风险转移

Theriskoflossofdamagetothegoodspasseswhenthegoodsareonboardthevessel.

◆Theselleralsocontractsfortheminimumcoverinsuranceagainstthebuyer’sriskoflossofordamagetothegoodsduringthecarriage.

（7）、CPT（运费付至指定目的地）

a.内容

CPTtermmeansthatthesellerdeliversthegoodstothecarrieroranotherpersonnominatedbytheselleratanagreedplaceofshipment.

b.风险转移

Thesellerfulfillsitsobligationtothedeliverwhenithandsthegoodsoverthecarrierinthemannerspecifiedinthechosenruleandnotwhenthegoodsreachtheplaceofdestination.
