Clause7.PerformanceBondandL/Cpayment

A.Sellershallthroughprimebank,issue2%performacebondofthecontractvalueforeachshipmentvaluetobuyer,infavorofbuyeruponreceiptofsignedfinalcontractwithin5bankingdays.theperformancebondshallkeepactive.Validandirrevocableandshallbevoidandnulluponbillofladingdateandothersshippingdocumentispresentedtobuyerbank.OncebuyerbankreceivesthePerformanceBond,within5bankingdays,buyershallopena100%Irrevocalbe,transferable,atsightDocumentaryletterofcreditforanamountofUSdollarsufficienttocover100%ofeachshipmentvalue（xxxmt）throughaprimebankthatisacceptabletothesellerwithalltermsinconformitywiththiscontracttoseller.

B.PaymentshallbeatsightuponnegotiationsofdocumentsunderanL/CinUnitedStatescurrencyopendinfavorofthesellertocover100%valueofcontractvalueplus/minus10%.ADocumentstobepresentedwithin21daysfromB/Ldate.

1.Thirdpartydocumentsacceptable,exceptDraftandInvoice.

2.Partialshipmentnotallowed,transhipmentnotallowed.

3.Charter’sB/Laccpetable,whichshouldbeissuedbythemasterortheownerofthevessel,orshippingcompanyoritsauthorizedagency.

C.ProvisonalPayment.

Provisionalpaymentistobe98%oftheCNFvalue,andsuchprovisionalpaymentshouldbereleasedagainstthepresentationoftheseller’sdocumentsasstipulatedinClause8anddraftwhichispayablebyL/Catsight.Shipmentcargovalueshallbecalculatedbytheresultofthedraftsurveyweightandchemicalanalysisatloadingportissuedbyindependentsurveyoragreedbybothparties.

1.Signedprovisionalcommercialinvoicefor98%ofCNFvalueinoneoriginaland2copiesindicatingvalueofgoodsshipped,nameofcarryingvessel,contractnumber,B/LNO.No.OftheL/C.

2.Three（3/3）fullsetoforiginal“Cleanonboard”billsofladingmadeouttoorderand

3.copiesissuedbyCCIC.

4.CertificateoftheWeightanddraftsurvey1originaland2copiesissuedbyCCIC

5.CertificateoftheOriginin1originaland2copiesissuedbythechamberofXXX.

6.CertifiedcopyoffaxadvisingshipmentdetailsadvisingtheContractNo,nameofthevessel,nameofthecommodity,approximateinvoicevalue,grossweightandb/ldate,relativefaxreportmustbepresentfornegotiation.

7.Photocopyofcertificateofauthorizationissuedbymasterofthecarryingvesselindicatingthenameofvesselandthenameandthecapacityofmasterandalsoshowingtheshippingagentatloadingporthaveobtainedauthorizationfromthemastertosignandissuetheoriginalb/ls.（incaseB/Lsignedbythemasterorowner,uchcertificateisnotrequired）.

8.Beneficiary’scertifiedcopyoffaxshipmentadviceddispatchedtotheapplictewithin3workingdaysafterB/LdateadvisingshipmentdetailsincludingcontractNo.L/CNo.Nameofthevessel,B/Ldate,nameofthecommodity,approximatelyinvoicevalueandETAdischaringport.ThecopyofFaxmustindicatethedateofFAX.

9.Draftsurveyreportofvesselissuedbytheshipmasteroritsagentin1original.

10.Ceritificateissuedbybeneficiaryindemnifyingtheapplicantthattheshipmentconfirmedtobedeliveredaspertermsinthecontract.Thecertificatemustincludetheactualshipmentdateofthgoods,namedloadingport,dischargeport,estimatedtimedeparture（ETD）,estimatedtimearrival（ETA）andvesselname.

A.Final2%payment.

1.Signedfinalcommercialinvoicein1originaland2copies,basedoninspectioncertificateofweightandinspectioncertificateofqualityissuedbyCIQ.

2.InspectionCertificateofweightin1copyissuedbyCIQ（tobeacceptedaspresentedphotocopyallowed）byfaxoremailallowed.

3.InspectionCertificateofQualityin1copyissuedbyCIQ（tobeacceptedaspresentedphotocopyallowed）byfaxoremailallowed.

4.IncaseCIQcertificateofweightand/orqualityisnotreceivedbythesellerwithin50daysafterB/LdateinChina,thenthesellerhastherighttonegotiatethefinalinvoicebasedonlocalportCertificateofQualityandcertificateofWeight.Insuchacaseadeclarationbythesellerofnon-receiptofCIQcertificateandthephotocopyofloadportweightandqualitytoaccompanydocuments.

5.Incasethereshouldbeanyamountofoverpaymentduetotheapplicantafteradjustmentshavebnmadeashereinaboveprovided,itshallbepaidbythebeneficiarytotheapplicantintheUnitedStatescurrencybytelegraphictransferorbyanymeanstobemutuallyagreeduponbetweenthebeneficiaryandtheapplicantfiveworkingdaysuponissuanceofthebeneficiary’sfinaldebitstatement.

Clause9:

LossofCargo.

Intheeventoflossofcargocausedbydamageatseaafterloadingonboardthevesselandbeforecompletionofdischargeattheportofdischarge,buyershallmakefinalpaymenttoseller,fortotallossofcargoonthebasisoftheanalysisattheportofloadingassetforthinClause10.a,andquantityasmanifestedonthebilloflading,andforpartiallossofcargoonthebasisoftheanalysiscarriedoutbybuyeronfinesdischargesassetforthinclause10.b,andquantityasmanifestedonthebilloflading.

Clause10.Weighing.

A.Atloadingport,CCICatseller’sexpenseshalldeterminetheweightoftheshipmentbydraftsurvey.theweightofOreascertainedandcertifiedbyCCIC,shallbethebasisofseller’sprovisionalinvoice.Buyermayatbuyer’sexpensehaveitsrepresentativepresentduringthedraftsurvey.

B.Buyershallatbuyer’sexpense,applytoCIQforweighingattheportofdestination.Theweightofshipmentatthedischargeportistobeascertainedbydraftsurvey.sellermayatseller’sexpensehavetheirrepresentativepresentatthetimeofsuchdetermination.TheweightthusdeterminedbyCIQshallbefinalforbalance2%paymentastowetweightinrelevantshipment.

C.Thedryweightshallbedeterminedbydeducingthefreemoisturefromeachwetweight.ifthereisadifferenceofdryweightover0.5%betweendeterminedattheloadportandthedischargeport,theactualweightdeterminedatthedischargeportshallbeadoptedasthedryweightforfinalbalance5%payment.

IfnodraftsurveyisperformedatthedischargeportortheCIQreportisnotreceivedbysellerwithin21calendardaysfromtheB/Ldateinchina,seller’sweightcertificateatloadingportwillberegardedasfinal.

Clause11.Sampling&Analysis

A.Attheloadingport,sellershall,atseller’sexpenses,appointCCICatloadingporttodeterminethespecificationsoffinescontainedineachshipmentandshallprovideacertificateshowingdetailsofthedetermination.Thepercentageofchemicalcontentsandthepercentageoffreemoisturelossat105degreecentigrade.Buyermayatbuyer’sexpensehavetheirrepresenatativepresentatthetimeofsa
