2.SERVICES.
ForProductsusedbyLicenseeinaccordancewiththetermsofthisAgreement,
LicenseeshallpurchasefromInformixINFORMIX-OpenLineforDevelopmentProducts
andINFORMIX-AssuranceforRuntimeProducts（INFORMIX-Assuranceand
INFORMIX-OpenLinearereferredtocollectivelyas'

3.PRODUCTSANDSYSTEMS.
（a）TheProductsassucharemadegenerallycommerciallyavailablefromInformix
arelicensedforuseinaccordancewiththeUserDocumentationandthis
Agreement.TheProductsandortheirsuccessorswillbecommerciallyavailable
andsupportedbyInformixforthetermoftheAgreement.
（b）TheProductsmayonlybeusedonthecomputersonwhichInformixhasmade
theProductsgenerallycommerciallyavailable（'

4.INFORMIX'
SFEES.
（a）（i）ForeachcopyoftheApplicationthatLicenseelicensestoareselleror
acustomer,LicenseeshallpayafeetoInformix[*].
5.PAYMENT.
（a）Duringthecalendaryearof1999,LicenseewillpayInformixthe[*],duein
connectiontothepreviouslicenseoftheProductsspecifiedinExhibitA,for

A.Licensee'
srights,representationsandobligations.
1.InformixherebygrantsandLicenseeherebyacceptsthenonexclusive,
nontransferable,royalty-bearingrightandlicensewithintheTerritoryandin
accordancewiththeUserDocumentationandthisAgreement:
（a）tointernallyusetheProductsontheComputerSystemstodevelopitsEnd
Item;
（b）todistributetheProductsontheComputerSystemswith,andforuse
byEndUsersSolelyasacomponentin,theEndItemandnotasacomponentinor
forusewithanyotherenditem,solution,orapplication;
and
（b）tomanufacturetheobjectcodeoftheProductsasspecifiedinPartI.
2.（a）LicenseeshallneverdistributeProductsonastandalonebasis.（b）The
objectcodeofProductsshallbedistributedinunalteredform.
3.AllfeeschargedbyLicenseeshallbeinLicensee'
ssolediscretion.
4.Licenseemaymake1back-upcopyofProductsusedinternallytodevelopEnd
Items.
5.NoProductsshallbedistributed,eitherdirectlyorindirectly,toanEnd
UserortoaReseller,priortoLicenseeensuringthatboththeEndUserandthe
Reseller（ateachtier）areboundbyprovisionswhichareasequallyprotective
ofInformix'
srightsasthosesetforthinPartII,sectionsA,'

Rights,RepresentationsandObligations'
（andincludinglimitingtheEndUserto
usingtheProductssolelyasacomponentintheEndItemandnotasacomponent

AtInformix'
srequest,
LicenseeshallsupplyInformixwithacopyoftheform（s）ofeachsuchwritten
agreement,includinganEnglishtranslationiftheagreementiswrittenina
languageotherthanEnglish.
6.ExceptasspecificallypermittedbythisAgreement,Licenseeshallnot
directlyorindirectly（a）useanyConfidentialInformationofInformixto
createanycomputersoftwareprogramoruserdocumentationwhichis
substantiallysimilartoanyProduct;
（b）reverseengineer,disassembleor
decompile,orotherwiseattempttoderivethesourcecodefor,anyProduct;
（c）
encumber,time-share,rentorleasetherightsgrantedbythisAgreement;
or（d）
copy,manufacture,adapt,createderivativeworksof,translate,localize,port
orotherwisemodifyanyProductsorotherConfidentialInformationofInformix
orgrantanyonealicensetoengageinsimilarconduct.Resultsofanybenchmark
orotherperformancetestsrunontheProductsmaynotbedisclosedtoanythird
partywithoutInformix'
spriorwrittenconsent.
7.AsLicenseedistributestheProductsaspartofanEndItemsuchthatthe
proprietarynoticesarenotvisibletoanEndUser,themanualaccompanyingthe
EndItemshallcontainthefollowingnotice:

uponcopyrightedmaterialsofInformixSoftware,Inc.,'
orsuchotherphraseas
thepartiesmaymutuallyagree,whichstatesthattheApplicationcontains
LicensedSoftware.
8.Licenseedoesnothave,andshallnotclaimthatithas,anyrightinorto
anyoftheProductsortheConfidentialInformationreceivedfromInformixother
thanasspecificallygrantedbythisAgreement.Licenseeshallpromptlynotify
InformixofanyactualorsuspectedunauthorizeduseoftheProductsoruseor
disclosureoftheConfidentialInformationreceivedfromInformix,andshall
providereasonableassistancetoInformix（atInformix'
sexpense）inthe
investigationandprosecutionofsuchunauthorizeduseordisclosure.
9.IfLicenseeislocatedinamemberstateoftheEuropeanEconomicCommunity,
itmayengageinsuchconductasisnecessarytoensuretheinteroperabilityof
theProductsinaccordancewiththeEuropeanCommunity'
sDirectiveonProtection
ofComputerSoftware（Brussels14May1991）andlocalenactmentthereof.
Additionally,useoftheProductsasdescribedintheUserDocumentation,
includingcreationofanApplication,shallnotbeconsideredusingtheProducts
tocreatederivativeworksbutshallbeconsideredamodificationofthe
ProductsforpurposesofInformix'
slimitedwarrantyinsectionD.
10.LicenseeshallcomplywiththeExportLaws.LicenseeherebyassuresInformix
thatitwillnotexportorre-exportdirectlyorindirectly（includingvia
remoteaccess）anypartoftheProduct（s）oranyConfidentialInformationtoany
countryforwhichavalidatedlicenseisrequiredundertheExportLawswithout
firstobtainingavalidatedlicense.IfatanytimeInformixdeterminesthelaws
ofanycountryareorbecomeinsufficienttoprotectInformix'
sintellectualor
proprietaryrightsintheProducts,Informixreservestherighttorestrictor
terminateLicensee'
sanditsResellers'
