Now,therefore,inconsiderationofthemutualcovenantscontainedherein,ProviderandRecipientagreeasfollows:

Article1–Definitions.

1.1Definitions.ForpurposesofthisAgreement,thefollowingtermsshallhavethemeaningssetforthbelow:

a）“ConfidentialInformation”shallmeananyinformationdisclosedbyonePartytotheotherPartypursuanttothisAgreementoranyinformationinanyformthatismarked“Confidential”,“CompanySecret”ordisclosedundercircumstancesthatreasonablyindicatethattheinformationisconfidentialoratradesecret.ConfidentialInformationalsomayincludeinformationdisclosedorallybyonePartytotheotherPartypursuanttothisAgreementundercircumstancesthatreasonablyindicatethattheinformationisconfidential.

b）“Disbursements”shallmeantheexpensesandcosts,chargedbythirdspartiestoProviderintheperformanceoftheServicesbyProvider.

c）“GAAP”shallmeanthegenerallyacceptedaccountingprinciplesapplicabletoProvider.

d）“IndirectTaxes”shallmeanvalueaddedtax,goodsandservicestax,andsimilartaxes.

e）“Parties”shallmeanRecipientandProvider,ortheirsuccessorsorpermittedassignees,asthecasemaybe,jointly.

f）“Party”shallmeaneitherRecipientorProvider,ortheirsuccessorsorpermittedassignees,asthecasemaybe.

g）“Person”shallmeanandincludeanindividual,abusinessentity,abusinesstrustpartnership,ajointventure,atrust,anestate,anassociation,anunincorporatedorganization,andagovernmentorotherdepartmentoragencythereof.

h）“Quarter”shallmeanoneofthethree-monthperiodsendingonMarch31,June30,September30andDecember31.

i）“Rules”hasthemeaninggiventoitinArticle8.3.

j）“Services”shallmeantheservicestoberenderedbyProviderunderthisAgreementaslistedonScheduleAhereto.

k）“ServicesCosts”shallmeanallofProvider’sactualoperatingexpensesandcostsincurredintheperformanceoftheServicesasmeasuredbyGAAP.

l）“ServicesFees”hasthemeaninggiventoinArticle3.2hereof.

m）“Specifications”shallmeananyandallreasonablerequirements,directions,criteria,proceduresandotherspecificationsestablishedbyRecipientconcerninganyaspectoftheperformanceoftheServicesfromtimetotimeandfurnishedtoProvider.

1.2Plurals,Gender.Unlessthereissomethinginconsistentinthesubjectorcontext,wordsdentingthesingularnumberincludethepluralandviceversa;

andwordsdenotingonegenderincludetheothergenderandtheneuter.

1.3CrossReferences.Unlessthecontextotherwiserequires,areferencetoanArticleorScheduleistoanarticleorscheduleofortothisAgreement.

1.4Headings.ThearticleheadingscontainedinthisAgreementareforinformationalpurposesonlyandarenottobeconstruedtoaffectthemeaningorapplicationofanyprovision.

Article2–ProvisionofServices.

2.1Appointment.SubjecttothetermsandconditionsofthisAgreement,PartiesconfirmtheappointmentofProviderbyRecipientandtheacceptancethereofbyProvider,toperformtheServicesandanyadditionalservicesastheymayagreeinwriting,onthetermsandundertheconditionsofthisAgreementaspertheEffectiveDate.

2.2AdditionalObligations.ServiceProvidershallemployqualifiedPersons,purchaseorleaseproperty,andacquireorconstructsuchequipmentandfacilitiesasarenecessaryfortheproperperformanceoftheServicesbyServiceProvider.

2.3Specifications.ProvidershallperformtheServicesinaccordancewithallSpecifications.IfProviderdeemsitappropriatetodeviatefromtheSpecificationsintheperformanceoftheServices,itrequirespriorwrittenapprovalofRecipienttodoso.

2.4NatureofRelationship.NothingcontainedinthisAgreementshallbeconstruedto:

a）giveeitherPartythepowertodirectandcontroltheday-to-dayactivitiesoftheotherParty;

b）constitutethePartiesaspartners,jointventurepartners,co-ownersorotherwiseasparticipantsinajointorcommonundertaking;

c）constituteProvidertobeacommercialagentwithinthemeaningofthemandatoryprovisionsofpublicorderwithrespecttocommercialagentsunderthelawsofthejurisdictioninwhichProviderislocated;

d）allowProvidertocreateorassumeobligationsonbehalfofRecipientexceptasprovidedherein.

2.5Non-exclusivity.ProvidermayprovideservicessimilartotheServicestoothercompaniesbelongingtoTraytonGroup.RecipientmaycontractwithothercompaniesbelongingtotheTraytonGroupfortheprovisionofservicessimilartotheServices.

2.6Insurance.ProviderwillensurethatpersonnelcarryingouttheServicesunderthisAgreementareadequatelyinsuredatalltimesintheircapacityasemployeesofProvider.Inaddition,ProvidershallobtainandmaintainthosetypesofinsurancecommonlyobtainedandmaintainedbyacompanyprovidingservicessimilartotheServices,includingbutnotlimitedtogeneralliabilityinsurance,employeescompensationinsuranceorsuchsimilarinsuranceasiscommonlyavailableinProvider’sjurisdictionandinsuranceforreasonableattorney’sfeesarisingoutof,relatingto,orresultingfrom,theServicespursuanttothisAgreement.

Article3–ServicesFeesandDisbursements.

3.1ScopingandBudget.Priortothefirstdayofeachcalendaryear,oratothertimesasthePartiesmayagree,thePartiesshallestablishthescopeandbudgetfortheServicestobeprovidedinthatcalendaryear,includingtheServiceCostsandtheDisbursementsinrelationthereto,allinaccordancewiththisArticle3.

3.2ServiceFees.Foreach[______]thePartiesshall,within[___]daysaftertheendofsuchQuarter,calculateandagreeupontheservicefeeduebytheRecipienttotheProviderinaccordancewithScheduleBhereto（the“ServiceFee”）.[PleasesupplementitaccordingtoTraytonGroup’spolicy]

3.3Disbursements.TheDisbursementsshallbechargedtoRecipientatcost.

3.4InvoicingandPayment.ProvidershallsendRecipientinvoicesfortheServicesFeesandDisbursementsperQuarter,includingaspecification.ProvidershallissuesuchinvoicetoRecipientwithintwenty（20）daysaftertheendofeachQuarterandRecipientshallpaysuchinvoicewithinone

（1）monthofreceipt.SuchinvoicesmaybeissuedtoRecipientinwritingorelectronically,providedthatallelectronicinvoicesshallcomplywithallapplicablelawsandregulationsforverifyingauthenticity.

3.5ExclusiveofIndirectTaxes.AnypaymentunderthisAgreementshallbecomputedexclusiveofIndirectTaxes.However,anyIndirectTaxwhichisrequiredtobeassessedupontheServiceFeesshallbeaddedtotheServicesFeesindeterminingtheoverallpaymentduetoProvider.AvalidIndirectTaxinvoiceshallbeissuedinrespectofthetransactioncoveredbytheconsideration.IntheeventthatIndirectTaxischargedinerror,avalidIndirectTaxcreditnoteoramendinginvoiceshouldbeissued,andtheIndirectTaxamountwillbeadjustedcorrespondingly.IfIndirectTaxeswerenotchargedbutsubsequentlyitisfoundthatitshouldhavebeenchargedorIndirectTaxesareassessedbytherelevanttaxauthorityasbeingdueontheconsideration,theIndirectTaxesdueuponsaidconsiderationwillbepaiduponpresentationofavalidIndirectTaxinvoice.

3.6Out-of-Scope.ProvidershallnotbeentitledtopaymentofandshallnotinvoiceServicesFeesandDisbursementsforServicesthatarenotagreedbetweenthePartiesaspartofthescopeandbudgetprovidedforinArticle3.1hereofunlessotherwiseagreedinwritingbetweenthePartiesinrelationthereto.

3.7Currency.ExceptasotherwiseagreedbytheParties,allinvoicesforServicesFeesandallpaymentsthereofunderthisAgreementshallbecalculatedandbepaidin[___________].

3.8ExchangeRates.AllriskswithregardtoexchangerateswillbebornebyRecipient.
