THISASSIGNMENTANDASSUMPTIONAGREEMENT（"Agreement"）dated_________（M,D,Y）byandbetweenAAACORPORATION,a_________（STATE）corporation（"AAA"）andBBB,INC.,a_________（STATE）corporation（"BBB"）.

StatementofPurpose

BBB,astenant,enteredintothatcertainleaseagreementdated_________（M,D,Y）（"Lease"）withCCC,N.V.（"Landlord"）coveringthepremisesat_________（"Premises"）,acompleteandcorrectcopyofwhichisattachedheretoasAttachmentA.BBBdesirestoassigntheLeasetoitsaffiliate,AAAandAAAdesirestoassumeallsuchinterests.ThepurposeofthisAgreementistosetforththeparties'understandingregardingtheassignmentandassumptionsoftheLease.

NOW,THEREFORE,inconsiderationoftheforegoingStatementofPurposeandthemutualagreementssetforthherein,theparties,intendingtobelegallybound,doherebyagreeasfollows:

1.Assignment.SubjecttoAAA'sagreementunderParagraph2below,allofBBB'saright,titleandinterestinandtotheLeaseareherebytransferred,conveyedandassignedtoAAA.BothpartiesshallreasonablycooperateandexecutesuchfurtherdocumentationortakeanyfurtheractionasmaybepermittedandnecessarytoeffectuatethetransferoftheLeasetoAAA.

2.Assumption.AAAdoesherebyassumeandagreetopay,performanddischarge,asandwhendue,alloftheobligationsoftheLease（the"AssumedObligations"）.Withoutlimitingthegeneralityoftheforegoing,AAAfurtheragreesthatitscurrentuseandanyfutureusewillbeapermitteduseundertheLease.Notwithstandinganythingtothecontrary,AAAagreestodefend,indemnifyandholdBBBandGTIharmlessforitsfailuretoperformanddischargetheAssumedObligations.

3.Miscellaneous.

3.1.ThisAgreementcontainsthefinal,completeandexclusivestatementoftheagreementbetweenthepartieswithrespecttothetransactionscontemplatedhereinandallpriororcontemporaneouswrittenororalagreementswithrespecttothesubjectmatterhereofaremergedherein.Nomodificationoramendmenthereofshallbeeffectiveunlessinwritingandexecutedbyeachofthepartieshereto.

3.2.ThisAgreementshallbebindinguponandinuretothebenefitofthepartiesheretoandtheirrespectivesuccessorsandassigns.

3.3.ThecaptionshereinareforconvenienceofreferenceonlyandshallnotbeconstruedasapartofthisAgreement.IfanyprovisionsoftheAgreementisdeemedtobeinvalidorunenforceable,thepartiesagreetosubstituteamutuallyagreeduponvalidandenforceableprovisionwhichreflecttheparties'originalintent.Notwithstanding,theinvalidityorunenforceabilityofanyprovisionofthisAgreementshallnotaffectthevalidityorenforceabilityoftheremainingportionsofthisAgreementoranypartthereof.ThisAgreementshallbeconstrued,interpreted,enforcedandgovernedbyandunderthelawsoftheStateofNorthCarolina.

3.4.ThisAgreementmaybeexercisedinanynumberofcounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichshallconstituteoneandthesameagreement.

INWITNESSWHEREOF,thisAgreementhasbeendulyexecutedbyAAAandBBBandshallbeeffectiveasof_________（M,D,Y）.
