乙方（PartyB）:
鉴于甲方业务需要，双方就甲方委托乙方为其提供生源事宜,经协商一致，达成如下约定：
PartyAengagesPartyBforprovidingtherecommendationserviceasdescribedinthisContract,bothpartieshaveagreedtothefollowingtermsandconditionsongoodfaithnegotiation:
一、合作内容WorkContents
1、乙方将向甲方推荐不少于______名学员（学员信息另附），每人报读课程费用不低于元人民币。
PartyBwillrecommendnolessthan______studentstoPartyA（studentinformationattached）,thecostofeachstudent’scourseisnotlessthanRMB.
2、乙方推荐学员将在年月日前缴清其学费，甲方在收到学费全款之后的五_个工作日内,将向乙方支付总金额的5%作为推广费用。
ThestudentsrecommendedbyPartyBshallpaidtheirtuitionfeebefore,andPartyAwillpayPartyB5%ofthepaidtuitionfeeasthecommission5workingdaysafterreceiptofthemoney.
3、乙方的收款信息PaymentinformationofPartyB:

4、乙方推荐的学员在学时内发生退费事宜，乙方需要按照退费金额，返还此金额的5%给甲方.
Iftherefundoftuitionfeeoccureddurningthestudyperiod,PartyBshallreturnthecommissiontoPartyAprorata.
5、经乙方要求，将在本协议生效同时，帮助乙方出具相应人员的语言学校接收函。
如因为其他原因推荐学生未能报读甲方课程或报读金额不足约定金额，则接收函自动作废。
AsrequiredbyPartyB,PartyAwillassistPartyBtoissuethecorrespondingletterofacceptance.IftherecommendstudentsfailtoeollinPartyAforanyreasonsorthesigneduptuitionfeeislessthantheagreedamount,theletterofacceptanceshallbecomeinvalidautomatically.
二、其它Others
2,在发生人力不可抗拒和不可控制的情况下，使此合约不能履行，甲乙双方均可免除承担本合约中义务的责任。
Neitherpartyshallbeliableforitsfailuretoperformtheagreementduetoanycontingencybeyondhumancontroloractsofgod.
3,双方对对方的保密信息及本协议的内容负有保密义务，只向公司有需要知悉人员披露,不得向任何第三方披露。
Bothpartiesareresponsibleforkeepingtheconfidentialinformationofoneanotherandcontentsofthiscontractfromanythirdparty,exceptpersonnelofthecompanieswhohastheneedtoknow.
4,本协议的订立、履行、变更、效力、解释及争议的解决均适用中华人民共和国法律。
双方因本协议而产生的任何争议，应首先通过友好协商解决；
如协商不成，双方均可向甲方所在地有管辖权的人民法院起诉。
ThisagreementissubjecttothelawsofthePeople’sRepublicofChina.Anyoralldisputesarisingoutofthisagreementshallbesettledthroughfriendlynegotiationbetweenthetwoparties;
wherenoagreementcanbereached,anypartyheretomaysubmitthedisputetothecompetentcourtlocatedinPartyA’saddress.
5，对于合同双方，本合同的中文和英文版本具有同等约束力。
本合同应签署一式两份，各缔约方应各保留一个副本。
ChineseVersionofthiscontractispreferred,andshallbesignedinduplicate,eachPartyshallretainonecopy.
6,任何对本协议的补充和修改必须经双方书面同意，并符合本协议约定的生效条件。
AnymodificationofthisContractshallbeagreeduponbybothpartiesinwritingandshallbemadepursuanttothevalidityrequirementsofthisagreement.
7,协议应自双方授权代表签字并加盖公章之日起生效。
有效期37天。
协议期满后，如双方需要再次合作，应另行签订协议。
Thiscontractshallcomeintoeffectonthedatewhenitissignedandsealedbytheauthorizedrepresentativeofbothpartieshereto.Theperiodofvalidityis37days.Aftertheagreementexpires,ifthebothpartiesneedtoworktogetheragain,shallsignthenewagreement.

A.PreconditiontotheCooperation
1.PartyAisabusinessentityincorporatedundertheapprovalofHenanProvincial
Government.Itisresponsibleexclusivelyforcoalbedmethane（CBM）exploration,extractionandproduction,developmentandutilizationinHenanProvinceandisthefirstprovincialCBMdevelopmentandutilizationcompanyinChina.PartyAhasobtainedthequalificationtoexclusivelycooperatewithforeignenterprises.
2.PartyBisacompanyincorporatedandoperatingunderthelawsofSingapore.The
companyhasthetechnicalandcapitalcapabilitiesoftassessingCBMresources,designingappraisalandpilotdrillingprogramsandsubjecttotechnicalsuccessofthoseprograms,movingtodevelopingandproducingcommerciallyviableCBM.Ithasdevelopedinnovative,lowcosthorizontalandverticaldrillingtechnologythatisinstrumentalinestablishingthesustainablegrowthofcommercialCBMproductionandpre-drainageofseveralcoalminingareas.
3.PartyCfocusesoncleanenergyandisengagedindevelopmentandutilizationof
automotivenewenergy,includingLPG,CNGandCBM.NowthecompanyhaseightCNGgasstations,twoLPGgasstationsandoneL-CNGgasstationinoperation.
4.ItistheintentionofthepartiesthatPartyAandPartyBwillcooperateandcarryout
explorationworkinthe6CBMblocksundertheprincipleof“easierblock/cherry-pickdevelopmentfirst”subjecttotheconditionthatthechoiceisbeneficialtoallparties.
5.AspartoftheprocessofenteringintothePSCs,thepartieswishtocommencea
technicalevaluationwithaviewtodeterminingthefeasibilityandscaleofCBMexplorationanddevelopmentwithinthecorrespondingareas.Tothisend,allpartiesagreetoincludeaconfidentialityclauseinthisLOIwiththeaimoffacilitatingtheprovidingandsharingofappropriatedata.
6.PartyBandPartyCagreetocoverthecoststocarryoutthetechnicalduediligence
andevaluation,andthepartiesagreetoformulatetheindicativetimetableforthenegotiationofthePSCindetailsafterthecompletiondetailsafterthecompletionofthetechnicalduediligenceandevaluation.
B.CooperationIntention
1.Evaluation.Thepartiesproposetocarryoutatechnicalcommercial&
legal
evaluationofthefeasibleareaselectedbyPartyAtodeterminethepotentialforCBMresources.Theevaluationshallalsoidentifyapreliminaryviewofthemostpromisingareasforinitialexplorationactivities,follow-upappraisalandpotentialdevelopmentofafull-scaleCBMprojectinthecorrespondingarea.
2.Technicaldata.PartyAwilluseitsbestendeavorstocoordinatethecollectionof
technicaldataforthecooperatedareas,asmaybenecessarytoconductthetechnical,commercialandlegalevaluation.Atthesametime,PartyAwillalsoarrangeforPartyBandPartyCtocarryoutsiteandundergroundminevisit（s）ofthecorrespondingareasasappropriateand,ifpossible,carryoutanalysisofphysicalcoalsamplesandavailabledrillcoresavailablefrompreviousdrillcoreprogramsundertakeninrespectofthecorrespondingareas.
PartyAshallendeavortoarrangeappropriatestaffandpartyBandPartyC’stechnicalpersonneltoworktogether,inordertocompleteallthetechnical,commercialandlegalevaluation,andefficientlyhandlethemutualinterferenceissuesthatmaybeoccurintheevaluationandminingwork.
3.Thepartiesshallusetheirbestendeavorstoworkco-operativelyatalltimeswithin
thescopeofthecontentofthecooperationandshall,wherepossible,openlyshareinformationbetweenthemthatwillassistinaccomplishingtheobjectiveandpurposesofthisLOI.
4.ProductionSharingContract.Allpartiesshallusetheirbestendeavorstoconclude
andsignthePSCs.TherightsandobligationsofeachpartywillbedefinedinPSCs.ThePSCsshallbereportedtothevariouscompetentgovernmentauthoritiesafterbeingsigned,andshallsubjecttotheapprovaloftherelevantregulatoryauthoritiesandtheMinistryofcommerceofthePeople’sRepublicofChinaandothergovernmentauthorities.
5.JointVenture.ThreepartiesplantosetupajointventurecompanyoutsideofChina,
theproportionoftheJointVenturetentativelyis:
（1）HenanCBM38%,PartyB/PartyC62%,PartyBhastherighttobringinastrategicpartner,PartyB’sfinalshareratiomustbenotlessthan31%.
（2）TheJointVenturewillsignthePSCwithHenanCBM,theparticipatinginterestinDevelopmentperiodwillbeHenanCBM20%andtheJointVenture80%respectivelyConfidentiality
1.ThepartiesshallensurethatallDatareferredtoinClause2aboveanddataobtained
fromanysubsequentjointevaluationactivityrelatingtothecooperation,includinganyphysicalsamplinganalysisinformation:
（1）IsusedsolelyforthepurposesstatedinthisLOI;
（2）Isonlydisclosedtoitsemployees,officers,consultantsanddirectorsfor
achievingthecooperationpurposewhoshallexecuteconfidentialityagreement.
2.Nopartyshalldisclosetoanypersonorinstitutionwithoutpriorconsentofall
partiesanyinformation,includingbutnotlimitedtothecooperationpartnersandcontent,technology,operatingmethods,legaldocumentsandanyotherinformation.
3.Ifanypartybreachestheconfidentialityterms,thenon-defaultpartywillprosecute
againstthedefaultpartyforlegalliabilitiesandclaimforcompensationforitslosses.
C.Miscellaneous
1.GoverningLaw.ThislOIshallbegovernedby,andconstruedaccordingto,theLaws
ofChina.
2.Termination.ThisLOIshallterminate:
（1）AftersixmonthsofexecutiondateofthisLOI;
（2）signthePSC
Theconditionofitem
（1）andItem
（2）thatoccursthelatershallprevail.Theconfidentialitytermsinclause3shallsurvivetheterminationofthisLOI.
3.WhereasPartyAisaState-ownedenterpriseunderthesupervisionofHenan
provinceofthePeople’sRepublicofChina,accordingtotherelevantlawsandregulations,rulesandpolicies,ifthemattersofthecooperationandcontentthereofneedtobeapprovedorrecored,theyshallbesubjecttotheapprovaloftheadministrativeauthorities.PartyBandPartyCfullyunderstandthisandhavenoobjection.
