　　12termsofpayment:

　　onemonthpriortothetimeofshipmentthebuyershallopenwiththebankof_______anirrevocableletterofcreditinfavourofthesellerpayableattheissuingbankagainstpresentationofdocumentsasstipulatedunderclause18.a.ofsectionii,thetermsofdeliveryofthiscontractafterdepartureofthecarryingvessel.thesaidletterofcreditshallremaininforcetillthe15thdayaftershipment.

　　underfobterms,thesellershallundertaketoloadthecontractedgoodsonboardthevesselnominatedbythebuyeronanydatenotifiedbythebuyer,withinthetimeofshipmentasstipulatedinclause8ofthiscontract.

　　underfasterms,thesellershallundertaketodeliverthecontractedgoodsunderthetackleofthevesselnominatedbythebuyeronanydatenotifiedbythebuyer,withinthetimeofshipmentasstipulatedinclause8ofthiscontract.

　　10-15dayspriortothedateofshipment,thebuyershallinformthesellerbycableortelexofthecontractnumber,nameofvessel,etaofvessel,quantitytobeloadedandthenameofshippingagent,soastoenablethesellertocontacttheshippingagentdirectandarrangetheshipmentofthegoods.thesellershalladvisebycableortelexintimethebuyeroftheresultthereof.should,forcertainreasons,itbexxenecessaryforthebuyertoreplacethenamedvesselwithanotherone,orshouldthenamedvesselarriveattheportofshipmentearlierorlaterthanthedateofarrivalaspreviouslynotifiedtotheseller,thebuyeroritsshippingagentshalladvisethesellertothiseffectinduetime.thesellershallalsokeepinclosecontactwiththeagentorthebuyer.

　　shouldthesellerfailtoloadthegoodsonboardortodeliverthegoodsunderthetackleofthevesselbookedbythebuyer.withinthetimeasnotifiedbythebuyer,afteritsarrivalattheportofshipmentthesellershallbefullyliabletothebuyerandresponsibleforalllossesandexpensessuchasdeadfreight,demurrage.consequentiallossesincurreduponand/orsufferedbythebuyer.

　　shouldthevesselbewithdrawnorreplacedordelayedeventuallyorthecargobeshutoutetc.,andthesellerbenotinformedingoodtimetostopdeliveryofthecargo,thecalculationofthelossinstorageexpensesandinsurancepremiumthussustainedattheloadingportshallbebasedontheloadingdatenotifiedbytheagenttotheseller（orbasedonthedateofthearrivalofthecargoattheloadingportincasethecargoshouldarrivetherelaterthanthenotifiedloadingdate）.theabovementionedlosstobecalculatedfromthe16thdayafterexpiryofthefreestoragetimeattheportshouldbebornebythebuyerwiththeexceptionofforcemajeure.however,thesellershallstillundertaketoloadthecargoimmediatelyuponthecarryingvessel'

sarrivalattheloadingportatitsownriskandexpenses.thepaymentoftheafore-saidexpensesshallbeeffectedagainstpresentationoftheoriginalvouchersafterthebuyer'

sverification.

　　thesellershallshipthegoodswithinthetimeasstipulatedinclause8ofthiscontractbyadirectvesselsailingfromtheportofloadingtochinaport.transhipmentonrouteisnotallowedwithoutthebuyer'

spriorconsent.thegoodsshallnotbecarriedbyvesselsflyingflagsofcountriesnotacceptabletotheportauthoritiesofchina.

　　thecarryingvesselcharteredbythesellershallbeseaworthyandcargoworthy.thesellershallbeobligedtoactprudentlyandconscientiouslywhenselectingthevesselandthecarrierwhencharteringsuchvessel.thebuyerisjustifiedinnotacceptingvesselscharteredbythesellerthatarenotmembersofthepiclub.

　　thecarryingvesselcharteredbythesellershallsailandarriveattheportofdestinationwithinthenormalandreasonableperiodoftime.anyunreasonableaviationordelayisnotallowed.

　　theageofthecarryingvesselcharteredbythesellershallnotexceed15years.incaseherageexceeds15years,theextraaverageinsurancepremiumthusincurredshallbebornebytheseller.vesselover20yearsofageshallinnoeventbeacceptabletothebuyer.

　　forcargolotsover1,000m/teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbythebuyer,thesellershall,atleast10dayspriortothedateofshipment,informthebuyerbytelexorcableofthefollowinginformation:

thecontractnumber,thenameofxxmodity,quantity,thenameofthecarryingvessel,theage,nationality,andparticularsofthecarryingvessel,theexpecteddateofloading,theexpectedtimeofarrivalattheportofdestination,thename,telexandcableaddressofthecarrier.

　　forcargolotsover1,000m/teach,oranyotherlotslessthan1,000metrictonsbutidentifiedbythebuyer,themasterofthecarryingvesselshallnotifythebuyerrespectively7（seven）daysand24（twenty-four）hourspriortothearrivalofthevesselattheportofdestination,bytelexorcableaboutitseta（expectedtimeofarrival）,contractnumber,thenameofxxmodity,andquantity.

　　ifgoodsaretobeshippedperlinervesselunderlinerbilloflading,thecarryingvesselmustbeclassifiedasthehighest____________orequivalentclassaspertheinstituteclassificationclauseandshallbesomaintainedthroughoutthedurationoftherelevantbilloflading.

　　nevertheless,themaximumageofthevesselshallnotexceed20yearsatthedateofloading.thesellershallbeartheaverageinsurancepremiumforlinervesselolderthan20years.undernocircum-stancesshallthebuyeracceptvesselover25yearsofage.

　　forbreakbulkcargoes,ifgoodsareshippedincontainersbythesellerwithoutpriorconsentofthebuyer,axxpensationofacertainamounttobeagreeduponbybothpartiesshallbepayabletothebuyerbytheseller.

　　thesellershallmaintainclosecontactwiththecarryingvesselandshallnotifythebuyerbyfastestmeansofxxmunicationaboutanyandallaccidentsthatmayoccurwhilethecarryingvesselisonroute.thesellershallassumefullresponsibilityandshallxxpensatethebuyerforalllossesincurredforitsfailuretogivetimelyadviceornotificationtothebuyer.

　　16cifterms:

ftermsofthiscontractwhichshallbeappliedthesellershallberesponsibleforcoveringthecargowithrelevantinsurancewithirrespectivepercentage.

　　17adviceofshipment:

　　within48hoursimmediatelyafterxxpletionofloadingofgoodsonboardthevesselthesellershalladvisethebuyerbycableortelexofthecontractnumber,thenameofgoods,weight（net/gross）orquantityloaded,invoicevalue,nameofvessel,portofloading,sailingdateandexpectedtimeofarrival（eta）attheportofdestination.shouldthebuyerbeunabletoarrangeinsuranceintimeowingtotheseller'

sfailuretogivetheabovementionedadviceofshipmentbycableortelex,thesellershallbeheldresponsibleforanyandalldamagesand/orlossesattributabletosuchfailure.

　　18shippingdocuments
