Section1.BackgroundofSubcontractAgreement

A.ContractorhasenteredacontractforconstructionwithOwnerName,[StreetAddress,CityState,ZipCode]（OWNER）.SubcontractorunderstandsthatthisAgreementbetweenContractorandSubcontractorismadepursuanttoandincompliancewithsaidcontractbetweenOwnerandContractor（PRIMECONTRACT）,whichprovidesthatContractorfurnishlabor,materials,andequipment,andperformtheconstructionservicesspecifiedtherein,onthe[GeneralProjectName]（PROJECT）,tobeperformedat[JobSiteDescription,StreetAddress,City,State,ZipCode].

B.ContractorandSubcontractoragreethatnotermscontainedinthisAgreementorinanyotherSubcontractDocumentsshallbeconstruedorinterpretedtocreateacontractualrelationshipbetweenSubcontractorandOwner,orSubcontractorandothercontractingpersonsorentitiesofanytierperformingontheProject,orSubcontractorandArchitect,orbetweenanypersonsorentitiesotherthantheContractorandSubcontractor.

C.Subcontractorisanindependentcontractor.ContractorandSubcontractoragreethatnotermscontainedinthisAgreementorinanyotherSubcontractDocumentmaybeconstruedorinterpretedascreatingajointventure,partnership,orotherbusinessentitybetweentheparties,norshallanyprovisionsintheSubcontractDocumentsbeinterpretedasmakingeitherpartyanemployee,servant,oragentfortheother,norhinderingeitherpartyfromcarryingonitsrespectivebusiness,norcreatinganyrelationshipotherthanthatofacontractorandsubcontractoronaconstructionproject.

D.ThepartiesintendforthetermscontainedinthisAgreementtobethefinalexpressionoftheiragreementwithrespecttotheseterms.ThepartiesalsointendforthisAgreementtobethecompleteandexclusivestatementofthetermsofthismutualagreementbetweentheContractorandSubcontractor,andshallsupersedeallpriordiscussions,negotiations,priorproposals,bids,understandings,representations,oragreements,whetheroralorwritten.Nootheragreementsofanykindexistbetweentheparties.

Section2.SubcontractDocuments

A.AsusedinthisAgreement,theSUBCONTRACTDOCUMENTSformtheentireSubcontractAgreementbetweenContractorandSubcontractor,andhavethesameeffectasifattachedtothisAgreementorrecitedherein.However,whereaprovisionofanySubcontractDocumentotherthanthisAgreementconflictswithorisinconsistentwithaprovisionofthisAgreement,thisAgreementshallgovern.TheSubcontractDocumentsshallbefurnishedtotheSubcontractoruponrequest;

ContractormaychargeSubcontractorthereasonablecostofreproductionofSubcontractDocuments.TheSubcontractDocumentsconsistofthefollowing:

1.ThisSubcontractAgreement;

2.ThePrimeContract,includingallcontractdocumentsincorporatedbyreferencetherein;

3.Anymodifications,changeorders,oramendmentstothePrimeContractissuedsubsequenttotheexecutionofthePrimeContract,whetheroccurringbeforeoraftertheexecutionofthisAgreement;

4.Anymodifications,changeorders,oramendmentstothisAgreementissuedsubsequenttotheexecutionofthisAgreement.

B.WherethisAgreementreferstoorreferencesaspecifictermcontainedinaSubcontractDocumentotherthanthisAgreement,thetermindicatedshallbethatprovisionasamendedorsupplementedbyotherprovisionsintheSubcontractDocuments.

C.SubcontractorcertifiesthatthefollowingpreliminaryinvestigationshavebeencompletedpriortotheexecutionofthisAgreement:

1.SubcontractoracknowledgesthatacopyofthePrimeContract,whichconsistsoftheentirecontractbetweentheOwnerandContractorandallContractDocumentsreferencedtherein,hasbeenmadeavailabletotheSubcontractor;

ContractormaychargeSubcontractorforthereasonablecostofreproductionofPrimeContractandContractDocuments.ContractorhasdeletedcontractcompensationamountscontainedinthePrimeContractpriortotransmissiontotheSubcontractor.

2.SubcontractorhasexaminedandisfullyfamiliarwithallthetermsandconditionsofthePrimeContract,allofthecomponentpartsthereof,itsplansandspecifications,andallschedulesandattachmentsincorporatedbyreferencetherein,includingallattachmentsidentifiedthereinas“contractdocuments,”allofwhichareincorporatedhereinasiffullysetforthtothee
