1.General

“MOU”shallmeantheinstantMemorandumofUnderstandinganditssubsequentamendments,ifany,madeintermsofthisMemorandumofUnderstanding.

ThisMOUisenteredbyandbetween:

1.3“Parties”shallmeanPartyAandPartyB.

1.4WHEREAS,******isinterestedinthetechnologies,products,servicesandtotalsolutionsinalllinksofsolarenergyanditsrelevantfieldsinAsia.THEREFORE,thePartiesagreetojointlyworktogetherintheconstructionofallrelatedprojectsinthescopeofsolarenergy（hereinafterreferredtoasthe“Projects”）.

1.5ThisMOUmaynotbeassigned,anditwillinuretothebenefitofthePartiesandtheirrespectivesuccessors.

2.Purpose

ThepurposeofthisMOUistoprovideaframeworkofcooperationandfacilitatecollaborationamongtheParties,onaexclusivebasisintheProjects.

PartyBwillappointPartyAasitsexclusivepartnerforallsolarprojectsundertakeninRajamangalaUniversityofTechnologyIsan,SakornNakornProvince.

3.DutiesandResponsibilities

3.1ThePartiesagreetocooperateinthefollowingareasofactivity:

3.4ThePartiesagreethatthispresentcooperationisbuiltonmutualtrustamongthePartiesandthatnoneofthePartiesshalldoanyactsthatunderminetheinterestsoftheotherPartyatalltimes.HonestandfrankdisclosuresofinformationoftheProjectsarerequiredthroughoutthetermofcooperationwhichisformedofandinrelationtothisMOUamongtheParties.

A.ThePartiesshall,onaregularbasis,keepeachotherinformedofandconsultduringtheprogressandshareinformationofandrelatingtotheProjectstrulyandaccurately.

B.ConsultationandexchangeofinformationanddocumentsunderthisArticleIIIshallbewithoutprejudicetoarrangementsaccordingtowhichcertaininformationanddocumentsmayberequiredtobemaintainedconfidentialandbeingofrestrictedcharacter.

C.EachofthePartiesshallatanytimethatdeemedappropriatetorequestandconvenemeetingsforreportingand/orreviewingtheprogressofactivitiesbeingcarriedoutunderthispresentMOUandforplanningandimplementingfutureactivities.

4.ImplementationoftheMOU

4.1Inordertoimplementthespecificactivitiesenvisionedhereunder,thePartiesshallconcludetransactionagreements,cost-sharingagreementsetc.whichshallspecifythescopeofworkandcostsorexpenses,salesrevenueorprofitrelatingtotheactivityandhowtheywilltobesharedand/orbornebytheParties.Thecost-sharingagreementsshallspecifyindetailtheexpensesneedtobeinvestedduringthewholeprocessoftheProjects,includingbutnotlimitedtothepreparation,operationandfinalizationoftheProjects.

4.2ThecostsofpublicrelationsactivitiesrelatingtothisMOU,thatarenototherwiseaddressedbyaspecificcost-sharingagreementconcludedhereunder,willbetheresponsibilityofeachpartyindependently.

4.3EachPartyshallberesponsibleforitsownactsandomissionsinconnectionwiththisMOUanditsimplementation.

5.LegalStatusofthePartiesuponenteringintothisMOU

5.1NoneofthePartiesshallusethename,logo,tradenamesortrademarksoftheotherPartiesoritssubsidiaries,and/oraffiliates,oranyabbreviationoftheaforesaid,forwhateverpurposesandinwhatevermanners,whetherornotitisinconnectionwithitsbusinessorotherwise,unlessexpresspriorwrittenapprovaloftheotherPartiesareobtainedineachcaseofusewithtermstobeagreed.Andacknowledgesthateitherpartyhasnorightswhatsoevertotheintellectualpropertyoftheother.

5.2BothpartiesacknowledgethattheyarefamiliarwithdynamicpoliticalenvironmentinthescopeofcooperationandthatnoneofthePartiesshallbeassociated,whetherdirectlyorindirectlyandinwhatevermanner,withanypoliticalorsectariancausesinthescopeofcooperation.IfanyPartydidhaveanysuchassociationand/orcausesinthescopeofcooperation,thatPartyshallinformtheotherPartiesimmediatelywithoutdelay.ThePartiesherebyagreethatwhenonePartyhasanypoliticalassociationand/orcausesinthescopeofcooperation,thisshallbealegitimatereasonforearlytermination,withoutcompensation,bytheotherPartiesofthisMOUandofallothertransactionagreements,cost-sharingagreementsetc.
