sRepublicofChinaonForeign-CapitalEnterprisesadoptedatthe18thMeetingoftheStandingCommitteeoftheNinthNationalPeople'

Article1WithaviewtoexpandingeconomiccooperationandtechnologicalexchangewithforeigncountriesandpromotingthedevelopmentofChina'

snationaleconomy,thePeople'

sRepublicofChinapermitsforeignenterprises,otherforeigneconomicorganizationsandindividuals（hereinaftercollectivelyreferredtoas"

foreigninvestors"

）tosetupenterpriseswithforeigncapitalinChinaandprotectsthelawfulrightsandinterestsofsuchenterprises.

Article2AsmentionedinthisLaw,"

enterpriseswithforeigncapital"

referstothoseenterprisesestablishedinChinabyforeigninvestors,exclusivelywiththeirowncapital,inaccordancewithrelevantChineselaws.ThetermdoesnotincludebranchessetupinChinabyforeignenterprisesandotherforeigneconomicorganizations.

Article3EnterpriseswithforeigncapitalshallbeestablishedinsuchamannerastohelpthedevelopmentofChina'

snationaleconomy.TheStatemayencouragetheestablishmentofforeign-capitalenterprisesthatareexport-orientedortechnologicallyadvanced.

RegulationsshallbeformulatedbytheStateCouncilregardingthelinesofbusinesswhichtheStateforbidsenterpriseswithforeigncapitaltoengageinoronwhichitplacescertainrestrictions.

Article4TheinvestmentsofaforeigninvestorinChina,theprofitsitearnsanditsotherlawfulrightsandinterestsareprotectedbyChineselaw.

EnterpriseswithforeigncapitalshallabidebyChineselawsandregulationsandmaynotengageinanyactivitiesdetrimentaltoChina'

spublicinterests.

Article5TheStatedoesnotnationalizeorrequisitionanyenterprisewithforeigncapital.However,underspecialcircumstanceswhenpublicinterestsrequire,enterpriseswithforeigncapitalmayberequisitionedthroughlegalproceduresandappropriatecompensationshallbemade.

Article6TheapplicationtoestablishanenterprisewithforeigncapitalshallbesubmittedforexaminationandapprovaltothedepartmentundertheStateCouncilwhichisinchargeofforeigneconomicrelationsandtrade,ortoaninstitutionauthorizedbytheStateCouncil.Theauthoritiesinchargeofexaminationandapprovalshall,within90daysfromthedatetheyreceivessuchapplication,decidewhetherornottograntapproval.

Article7Whentheapplicationfortheestablishmentofanenterprisewithforeigncapitalisapproved,theforeigninvestorshall,within30daysfromthedateofreceivingthecertificateofapproval,applytotheadministrativedepartmentforindustryandcommerceforregistrationinordertoobtainabusinesslicence.Thedateofissueofthebusinesslicenceofforeign-capitalenterpriseshallbethedateofitsestablishment.

Article8AnenterprisewithforeigncapitalwhichmeetstheconditionsforbeingconsideredalegalpersonunderChineselawshallacquirethestatusofaChineselegalpersoninaccordancewithlaw.

Article9AnenterprisewithforeigncapitalshallmakeinvestmentsinChinawithintheperiodapprovedbytheauthoritiesinchargeofexaminationandapproval.Ifitfailstodoso,theadministrativedepartmentsforindustryandcommerceshallhavethepowertocancelitsbusinesslicence.

Theadministrativedepartmentforindustryandcommerceshallinspectandsupervisetheinvestmentsituationofanenterprisewithforeigncapital.

Article10Intheeventofseparation,mergerorothermajorchange,anenterprisewithforeigncapitalshallreportthemattertoandseekapprovalfromtheauthoritiesinchargeofexaminationandapproval,andregisterthechangewiththeadministrativedepartmentforindustryandcommerce.

Article11Enterpriseswithforeigncapitalshallconducttheiroperationandmanagementinaccordancewiththeapprovedarticlesofassociationandshallbefreefromanyinterference.

Article12WhenemployingChineseworkersandstaff,anenterprisewithforeigncapitalshallconcludecontractswiththemaccordingtolaw,inwhichmattersconcerningemployment,dismissal,remuneration,welfarebenefits,occupationalprotectionandlabourinsuranceshallbeclearlyprescribed.

Article13Workersandstaffofenterpriseswithforeigncapitalmayorganizetradeunionsinaccordancewithlaw,inordertoconducttradeunionactivitiesandprotecttheirlawfulrightsandinterests.

Thesaidenterprisesshallprovidethenecessaryconditionsfortheactivitiesofthetradeunionsi
