甲、乙双方经过充分协商，愿意在本协议规定的领域内进行合作，并履行拟定范围内

的权利及义务，为保证双方合作的顺利进行，特签订本协议。

擅自违犯本协议的任一条款，都将被认为是破坏双方的合作，造成的一切损失由违约方承担。

Basedonfullyconsultation,PartyAandPartyBarewillingtocooperateinthefieldofthisAgreement,tofulfilltherightsandobligationswithinthescopetodevelopandarewillingtomaketheAgreementtoensurethesmoothlybilateralcooperation.ArbitrarilyviolatinganyprovisionofthisAgreement,willbeconsideredtodestroybilateralcooperation,andallthelossesarebornebythedefaultingparty

本协议及其附件中未记载的事项或在执行中双方增加的条款以《更改通知单》形式进

行沟通，更改通知单中的内容可作为本协议的补充附件，具有同样的效力，在其中有关条款与本协议冲突时，优先按更改通知单中规定的条款执行。

RegardtoitemsnotlistedinthisAgreementandannexorthenewitemsaddedbybothsidesduringthecooperation,twopartieswillcommunicateandaddthe"

ChangeNotification"

duringtheimplementation.Takenassupplementannex,the“ChangeNotification”hasthesameeffectwiththisAgreement.The“ChangeNotification”has

priorityinexecutionwhenitsitemsconflictwiththetermsofthisAgreement.

乙方必须完全按照甲方《供应商APQP跟踪指导书》要求进行本项目的零部件开发。

乙方必须提供生产能力和质量保证的相应资料。

乙方应按本合同4.2条款要求提交产品的所有文件，在提交样件时需提供自检报告。

甲方为了确认乙方制造的零部件的产品质量是否达到设计目标要求，在乙方对产品进行试验时，甲方将根据需要派人参与确认。

.PartyBmustprovideproductioncapacityinformation;

qualityassuranceinformationandalldocumentslistedinitem4.2requestedtoPartyA,samplessubmissionmustbewithself-inspectionreport.InordertoverifythequalityofproductsmanufacturedbyPartyBcanmeetthedesignobjectivesandrequirements,amongtheparts’testsdonebyPartyB,PartyAwillparticipateforconfirmationasneeded.RegardtothetestcontentswhichPartyBhastestcondition,PartyAwillgotoPartyB’stestsitetoconfirm,forthetestcontentswhichPartyBhasnotestconditionorregulationsmandatedtests,PartyBmustsubmitsamplestothenationalauthorityLabforidentificationandsubmittestreporttopartyAandthetestingfeeswillbepaidbythePartyB.

对于乙方暂时没有检测条件，但又属于法律法规强制要求或客户明确要求的检测，由

乙方提交其产品样件送到有资质机构进行鉴定并出具检测报告，乙方需把第三方出具的实

验报告原版提交给甲方。

费用由乙方支付。

如果需甲方支持完成检测（如甲方实验室具备

此项检测设备），费用由双方协商决定。

乙方应承认甲方的检测结果，否则由乙方委托具有资质的外部实验室完成，并提供检测报告，费用由乙方承担。

RegardtotheperformancetestingrequiredbylegalorcustomerthatPartyBhasnotestcondition,PartyBshallpresenttheproductsamplestothequalifiedinstitutiontoperformtestandprovideoriginaltestreporttoPartyA.InthiscasePartyBwillpayforthetest.IfPartyBneedsupportfromPartyA,PartyBmustnegotiatewithPartyAbeforethecontractsignature,then,PartyAwillbeinchargeofthesetests（ifPartyAhavetheselaboratorytestingequipment）andPartyBtrustthetestresults.Otherwise,PartyBcommissionedanexternallaboratorywhichqualifiedtocompletethetestsandprovide

thetestreports,thecostarebornebythePartyB.

条和样块按照标准要求提供。

乙方提供给甲方的材料自检报告不能用原材料供应商提供的

物性表进行代替（原材料物性表只作为参考），必须严格按照标准中要求的测试项目逐项进行测试，保证测试的结果真实有效。

3.6.1.1Testmethodsareaccordingtodrawingsandrelevantstandards,orthetechnicalspecificationsconfirmedbybothparties;

rawmaterials,samplesandspecimensmustbeinaccordancewiththestandardsrequest.MaterialinternaltestreportsuppliedbyPartyBcannotbereplacedbymaterialdatasheet（materialdatasheetonlyasareference）,PartyBmustbestrictlyinaccordancewiththestandardsrequirementstodothetest,toensurethatthematerialtestresultsarerealandvalid.

3.6.1.2乙方根据需要负责安排材料试验或委托第三方检测机构检测；

乙方在向甲方提供

首次试模件时要同时提交标准中要求的试验样块，交由甲方最终顾客检验。

若首次材料试验未通过，则后续的相关试验费用由乙方承担；

该费用由乙方直接到甲方财务部缴费或乙方同意该费用由甲方通知甲方财务部直接从乙方货款中扣除。

3.6.1.2PartyBisresponsibleforarrangingthenecessarymaterialstestingatthethirdpartytestingorganizations;

PartyBsuppliesthefirsttrial-outpartsaswellastestspecimensdescribedinstandardsforfinalcustomertesting.Ifthefirstmaterialtestfailed,thesubsequenttestcostarebornebyPartyB;

partyBdirectlypaysthefeetoPartyA’sfinancialdepartment,orPartyAinformsPartyBtodeductthefeefromthePartyB’scomponentincomegainedfromPartyA.
